AdministrationofSino-foreignEquityandCooperativeJointVenturesthatProduceandDistributeRadioandTelevisionProgrammesTentativeProvisions中外合资、合作广播电视节目制作经营企业管理暂行规定CLPReference：5600/04.10.28PRCReference：广电总局、商务部令第44号Promulgated:28October2004Effective：28November2004(PromulgatedbytheStateAdministrationofRadio，FilmandTelevisionandtheMinistryofCommerceonOctober282004andeffectiveasofNovember282004.)(国家广播电影电视总局、商务部于二零零四年十月二十八日发布，自二零零四年十一月二十八日起施行.)OrderofSARFTandMOFCOMNo。44广电总局、商务部令第44号PARTONE:GENERALPROVISIONS第一章总则Article1：TheseProvisionshavebeenformulatedpursuanttosuchprovisionsasthePRCSino-foreignEquityJointVentureLaw，thePRCSino-foreignCooperativeJointVentureLawandtheAdministrationofRadioandTelevisionRegulations,etc。，inordertopromotethedevelopmentofChina’sradioandtelevisionprogrammeproductionindustryandregulatetheadministrationofSino—foreignequityandcooperativejointventuresthatproduceanddistributeradioandtelevisionprogrammes。第一条为促进中国广播电视节目制作产业发展，规范对中外合资、合作广播电视节目制作经营企业的管理，根据《中华人民共和国中外合资经营企业法》、《中华人民共和国中外合作经营企业法》和《广播电视管理条例》等规定，制定本规定.Article2：TheseProvisionsshallgoverntheestablishmentandoperationofSino—foreignequityandcooperativejointventuresthatproduceanddistributeradioandtelevisionprogrammesinthePeople’sRepublicofChina.第二条凡在中华人民共和国境内设立、经营中外合资、合作广播电视节目制作经营企业,适用本规定。Article3：ForthepurposesoftheseProvisions,theterm"Sino—foreignequityandcooperativejointventuresthatproduceanddistributeradioandtelevisionprogrammes”meansequityandcooperativejointventuresthatareestablishedinChinabyforeignprofessionalradioandtelevisionenterprises（theForeignParty)togetherwithChineseradioandtelevisionprogrammeproductionorganizationsandotherdomesticinvestors(theChineseParty）andthatengageinradioandtelevisionprogrammeproductionanddistributionastheirmainorsidelinebusiness（JointVentures)。第三条本规定所称中外合资、合作广播电视节目制作经营企业，是指境外专业广播电视企业(以下简称“外方”)与中国广播电视节目制作机构和境内其它投资者(以下简称“中方")在中国境内合资、合作设立专门从事或兼营广播电视节目制作发行业务的企业(以下简称“合营企业”).Article4:Theestablishmentofwhollyforeign—ownedradioandtelevisionproductionenterprisesisprohibited.第四条不得设立外商独资广播电视节目制作经营企业。Article5:TheStateAdministrationofRadio,FilmandTelevisionandtheMinistryofCommerceshallbejointlyresponsiblefortheexaminationandapprovaloftheestablishmentofJointVenturesandtheregulationthereofnationwidebasedonthedivisionoftheirresponsibilities.第五条国家广播电影电视总局、商务部根据职责分工，共同负责全国合营企业的设立审批和监督管理工作。Provincial-levelradioandtelevisionadministrativedepartmentsshallberesponsiblefortheday—to-dayregulationofJointVentureswithintheirjurisdiction.省级广播电视行政部门负责本行政区域内合营企业的日常监督管理工作。PARTTWO：ESTABLISHMENT第二章机构设立Article6：ToapplytoestablishaJointVenture,thefollowingconditionsshallbesatisfied:第六条申请设立合营企业应当符合下列条件：(1）compliancewiththestateformulateddevelopmentanddistributionplanfortheradioandtelevisionprogrammeproductionindustry；(一)  符合国家制定的广播电视节目制作业的发展布局规划；（2)eachoftheChineseandForeignPartieshaveindependentlegalpersonstatus;oneoftheChinesePartiesshallbeanorganizationpossessingaPermittoProduceandDistributeRadioandTelevisionProgrammesorTelevisionDramaProductionPermit（TypeA)andtheForeignPartyshallbeaprofessionalradioortelevisionenterprise;(二)  中外合营各方均具有独立法人资格。其中,中方应有一家为持有《广播电视节目制作经营许可证》或《电视剧制作许可证（甲种）》的机构。外方应为专业广播电视企业;(3）theJointVentureshallbealimitedliabilitycompany；(三)  合营企业为有限责任公司；（4)registeredfundsofnotlessthanUS＄2millionortheequivalentinrenminbi；fortheestablishmentofaJointVenturespecializingintheproductionofanimatedpictures,registeredfundsofnotlessthanUS＄1millionortheequivalentinrenminbi;（四)  注册资金不少于200万美元或等值人民币；设立专门制作动画片的合营企业，注册资金不少于100万美元或等值人民币；(5）thelegalrepresentativemustbeappointedbytheChineseParty；（五）  法定代表人须由中方委派；(6)oneoftheorganizationscomprisingtheChinesePartytotheJointVentureshallholdnotlessthan51％oftheJointVenture'sshares;（六）  合营企业中的中方一家机构应在合营企业中拥有不低于51%的股份；（7）noneoftheapplicantshascommittedaviolationoflawsorregulationsorhasanotherrecordofimproperactivityduringthethreeyearspriortotheapplication；and（七）  申请各方在申请之日前的三年内,无违法违规和其它不良 ；（8)theJointVenturemusthaveanindependentcorporatelogo.(八)  合营企业须具有独立的企业标志。Article7:TheChinesePartymaymakeitscapitalcontributionincashorintheformofbuildings，factorybuildings，machinery,equipmentorothermaterial，industrialproperty,proprietarytechnology,premisesuserights，etc。forconsideration。TheForeignPartymustmakeitscapitalcontributionincashforeignexchange。第七条中方可以以现金方式出资，也可以用建筑物、厂房、机器设备或其它物料、工业产权、专有技朮、场地使用权等作价出资。外方须以现汇方式出资.Article8：ToestablishaJointVenture，theChinesePartycontrollingshareholdershallsubmitanapplicationtotheStateAdministrationofRadio，FilmandTelevisionandtheMinistryofCommerce，andmattersshallbehandledinaccordancewiththefollowingprocedure:第八条设立合营企业，由控股的中方向国家广播电影电视总局和商务部提出申请,并按照下列程序办理：(1)theChinesePartyshallsubmitanapplicationtotheprovinciallevelradioandtelevisionadministrativedepartmentoftheplacewhereitislocated；afterpreliminaryexaminationandapproval，theprovincial-levelradioandtelevisionadministrativedepartmentwillforwardtheapplicationtotheStateAdministrationofRadio,FilmandTelevision；theStateAdministrationofRadio,FilmandTelevisionwillrenderitsdecisiononwhetherornottograntapprovalwithin20workingdaysofthedateofreceiptofallthedocumentation；ifitgrantsitsapproval，theStateAdministrationofRadio,FilmandTelevisionwillissueanapprovaldocumentandifitdoesnotgrantapproval,itwillexplainthereasonthereforinwriting；(一）  中方向所在地省级广播电视行政部门提出申请，经初审同意后,由省级广播电视行政部门报国家广播电影电视总局，国家广播电影电视总局自收到全部文件之日起，在20个工作日内做出批准或不批准的决定。经批准的，由国家广播电影电视总局核发批准文件；不予批准的;书面说明理由.(2）onthestrengthoftheapprovaldocumentissuedbytheStateAdministrationofRadio，FilmandTelevision，theChinesePartyshallapplyforexaminationandapprovaltotheMinistryofCommerceviatheprovincial-levelcommerceadministrativedepartmentoftheplacewhereitislocated;theMinistryofCommercewillrenderitsdecisiononwhetherornottograntapprovalwithin20workingdaysofthedateofreceiptofallthedocumentation;ifitgrantsitsapproval，itwillissueaForeign—investedEnterpriseApprovalCertificateandifitdoesnotgrantapproval,itwillexplainthereasonthereforinwriting；（二）  中方持国家广播电影电视总局批准文件经所在地省级商务行政部门报商务部审批。商务部自收到全部文件之日起，在20个工作日内做出批准或不予批准的决定。经批准的，颁发《外商投资企业批准证书》；不予批准的，书面说明理由。（3)theStateAdministrationofRadio，FilmandTelevisionwillissueaPermittoProduceandDistributeRadioandTelevisionProgrammes（JointVenture）tothoseJointVenturesthatobtainaForeign—investedEnterpriseApprovalCertificate;and（三）  国家广播电影电视总局对取得《外商投资企业批准证书》的合营企业，核发《广播电视节目制作经营许可证（合营）》。(4）theJointVentureshallcarryoutbusinessregistrationproceduresinaccordancewiththelawonthestrengthofthePermittoProduceandDistributeRadioandTelevisionProgrammes（JointVenture)andForeign-investedEnterpriseApprovalCertificateandobtainanEnterpriseLegalPersonBusinessLicence。（四)  合营企业凭《广播电视节目制作经营许可证(合营）》和《外商投资企业批准证书》，依法办理工商注册登记手续,领取《企业法人营业执照》。WorkunitsatthecentralgovernmentlevelandorganizationsdirectlysubordinatetothemshallapplydirectlytotheStateAdministrationofRadio，FilmandTelevisionandtheMinistryofCommerce.中央单位及其直属机构直接向国家广播电影电视总局、商务部提出申请.Article9：WhenapplyingtoestablishaJointVenture，theinvestorsshallsubmitthefollowingmaterials:第九条申请设立合营企业时,投资者应当提交下列材料：(1）anapplicationstatingtheproposedJointVenture'sname,address，methodofcontactandnameofitslegalrepresentative；abasicoverviewofeachparty；theregisteredfundsoftheJointVenture;thecapitalcontributionratiosandorganizationalstructureofeachparty；thespecificreasonsforapplyingtoestablishtheJointVenture,itsstrengthsanddevelopmentplans，etc。;（一）  申请报告.报告应当载明拟设立的合营企业名称、地址、联系方式、法定代表人姓名；合作各方的背景概况；合营企业的注册资金；合作各方的出资比例、组织结构；申请设立合营企业的具体理由、优势和发展 计划 项目进度计划表范例计划下载计划下载计划下载课程教学计划下载 等；（2)thecontractforandarticlesofassociationoftheJointVenture(thecontractmustspecifythatprogrammetopicsandcontentsaresubjecttotheconsentoftheChineseParty)；（二）  合营企业合同、 章程 公司章程范本下载项目章程下载公司章程下载公司章程下载公司章程下载 (其中合同中须约定：节目选 题 快递公司问题件快递公司问题件货款处理关于圆的周长面积重点题型关于解方程组的题及答案关于南海问题 、 内容 财务内部控制制度的内容财务内部控制制度的内容人员招聘与配置的内容项目成本控制的内容消防安全演练内容 应经中方同意）；(3)theChineseParty’sregistrationdocumentsandPermittoProduceandDistributeRadioandTelevisionProgrammesorTelevisionDramaProductionPermit（TypeA)；(三)  中方企业的注册登记证明文件和《广播电视节目制作经营许可证》或《电视剧制作许可证(甲种)》；(4)theChineseParty'scertificateofcreditworthiness;(四)  中方资信证明;(5)theForeignParty'sbankcertificateofcreditworthiness，certificateoflawfulexistenceandproofthattheForeignPartyspecializesinradioortelevisionbusiness；(五）  外方的银行资信证明、合法存续证明和外方从事专业广播电视业务的证明；(6）theproofsofidentityofthelegalrepresentativeandthemainmanagerialofficers（membersoftheboardofdirectors,generalmanager,deputygeneralmanagersandchieffinancialofficer）；(六)  法定代表人和主要管理成员(董事会成员、总经理、副总经理、财务负责人）的身份证明；(7)thenoticeofpreliminaryapprovalofthenameoftheproposedJointVentureissuedbytheadministrationforindustryandcommerce；and(七）  工商行政部门对拟设立的合营企业名称预先核准通知书；(8）aspecimenoftheJointVenture'scorporatelogo。（八)  合营企业的企业标志样本。Article10：TheprovisionsofArticle6hereofshallbecompliedwithwhenachangeintheequityofanestablishedJointVentureoccursandthesameshallbesubmittedtotheMinistryofCommerceforexaminationandapproval.TheMinistryofCommercewillrenderitsdecisiononwhetherornottoapprovethechangeafterconsultationswiththeStateAdministrationofRadio,FilmandTelevision.第十条已设立的合营企业变更股权时，应符合本规定第六条规定，并报商务部审批，商务部经商国家广播电影电视总局后，做出是否同意变更的决定。Ifachangeinthelegalrepresentative,address,etc。ofaJointVentureoccurs,orifitintendstoestablishabranchorsub-branchorterminateitsradioortelevisionprogrammeproductionanddistributionbusiness,therelevantexaminationandapproval，deregistrationandothersuchproceduresshallbecarriedoutwiththeoriginalexaminationandapprovalauthority.合营企业法定代表人、地址等发生变更，设立分支机构或终止广播电视节目制作经营业务，报原批准机关办理相应审批、注销等手续.PARTTHREE:ADMINISTRATION第三章管理Article11：JointVenturesmustobservetherelevantlaws,regulationsandpoliciesofthePeople’sRepublicofChina，andtheirlegitimatebusinessactivitiesandlawfulrightsandinterestsshallbeprotectedbythelawsofthePeople'sRepublicofChina。第十一条合营企业必须遵守中华人民共和国有关法律、法规和相关政策，其正当经营活动及其合法权益受中华人民共和国法律保护。Article12：JointVenturesmayproducesuchradioandtelevisionprogrammesastopicalprogrammes,opinionprogrammes,varietyprogrammes，animatedpictures,etc.butmaynotproducecurrentpoliticsnewsprogrammesandsimilartopicalandopinionprogrammes。第十二条合营企业可以制作专题、专栏、综艺、动画片等广播电视节目，但不得制作时政新闻和同类的专题、专栏节目。Ifajointventureintendstoproducetelevisiondramas,itmustseparatelyapplyandobtainaTelevisionDramaProductionPermitinaccordancewiththerelevantprovisionsoftheStateAdministrationofRadio，FilmandTelevision.合营企业制作电视剧须按国家广播电影电视总局有关规定另行申领《电视剧制作许可证》。Article13:AJointVentureshallproduceradioandtelevisionprogrammesonChinesesubjectsthataccountfornotlessthantwo-thirdsofitstotalprogrammeseachyear。ThestateencouragestheengagementofChineseprofessionalstoparticipateintheprogrammeproductionofJointVentures。第十三条合营企业每年应当制作不少于节目总量三分之二的中国题材的广播电视节目。国家鼓励聘用中国专业人员参与合营企业的节目制作。Article14：JointVenturesarestrictlyprohibitedfromproducinganddealinginprogrammeswiththefollowingcontent：第十四条合营企业严禁制作、经营含有下列内容的节目：(1)contentthatopposesthefundamentalprinciplesdeterminedintheConstitution；（一)  反对宪法确定的基本原则的；(2)contentthatcompromisestheunity，sovereigntyorterritorialintegrityofthestate；（二）  危害国家统一、主权和领土完整的；（3）contentthatdisclosesstatesecrets,compromisesstatesecurityorharmsthedignityorinterestsofthestate；（三）  泄露国家秘密、危害国家安全或者损害国家荣誉和利益的；(4)contentthatincitesethnichatredorracialdiscrimination,damagesinter—ethnicunityorharmsnationalcustomsandpractices；（四）  煽动民族仇恨、民族歧视，破坏民族团结，或者侵害民族风俗、习惯的；(5)contentthatpropagateshereticalteachingsorsuperstition；(五)  宣扬邪教、迷信的；（6)contentthatdisruptssocialorderorsocialstability；（六）  扰乱社会秩序，破坏社会稳定的；(7)contentthatpropagatesobscenity,gamblingorviolenceorincitesthecommissionofcrimes；(七)  宣扬淫秽、赌博、暴力或者教唆犯罪的；(8）contentthatinsults,slandersorinfringesuponthelegitimaterightsandinterestsofathirdparty；（八)  侮辱或者诽谤他人，侵害他人合法权益的；(9）contentthatharmssocialmoralityorfinenationalcultureandtraditions；or(九）  危害社会公德或者民族优秀文化传统的；(10)othercontentprohibitedinlaws,administrativeregulationsorstateprovisions。（十)  有法律、行政法规和国家规定禁止的其它内容的。Article15：JointVenturesshallengageinproductionanddistributionactivitiesinstrictaccordancewiththescopeofbusinessapprovedintheirPermittoProduceandDistributeRadioandTelevisionProgrammes(JointVenture)。APermittoProduceandDistributeRadioandTelevisionProgrammes（JointVenture)shallbevalidfor10years。Anextensionapplicationmaybemadeattheexpirationofsuchterm。第十五条合营企业应严格按照《广播电视节目制作经营许可证(合营）》核准的业务范围开展制作经营活动。《广播电视节目制作经营许可证（合营)》有效期限为十年，届满可申请延长。Article16:JointVenturesenjoythesamerightsandbearthesameobligationsaswhollyChinese—ownedradioortelevisionprogrammeproductionanddistributionorganizations。TheradioandtelevisionprogrammestheyproduceshallbedeemedtobeprogrammesproducedinChinaandshallbeadministeredinaccordancewithrelevantstateprovisions.第十六条合营企业享有与内资广播电视节目制作经营机构同等的权利和义务。其制作的广播电视节目,视同国产节目，按国家有关规定管理.Radioortelevisionprogrammesco—producedbyaJointVenturewithanotherforeignorganizationorproducedusingotherfundsattractedfromabroadshallbeadministeredinaccordancewithstateprovisionsonSino-foreignco-producedprogrammes。ThedistributioninChinaofradioandtelevisionprogrammesfromabroadshallbeadministeredinaccordancewithregulationsontheimportofforeignprogrammes.合营企业与境外其它机构合作制作或吸纳境外其它资金制作的广播电视节目，按国家有关中外合作制作节目规定管理;在国内发行境外广播电视节目，按有关引进境外节目规定管理。Article17：ThestateencouragesJointVenturestodistributeorsellabroadoractasanagentintheexportofvarioustypesofradioandtelevisionprogrammesproducedinChina.第十七条国家鼓励合营企业向境外发行、销售或代理出口各类国产广播电视节目。Article18：AJointVenture’soperationsmaynotbeentrustedorleasedtotheForeignParty,aforeignorganizationoranotherforeign—investedenterpriseinChinanormayitsoperationsbecontractedtotheForeignParty,aforeignorganizationoranotherforeign-investedenterpriseinChina。第十八条合营企业不得委托或租赁给外方、境外机构或在境内的其它外商投资企业经营,不得让外方或其它境外机构、境内的其它外商投资企业承包经营.Article19:Thealteration,lease，lending,saleorforgingofthePermittoProduceandDistributeRadioandTelevisionProgrammes（JointVenture)ofaJointVentureinanymannerisprohibited。第十九条禁止以任何方式涂改、租借、出售和伪造合营企业的《广播电视节目制作经营许可证(合营）》。Article20:JointVenturesshallvoluntarilysubmitthemselvestotheregulationoftheradioandtelevisionadministrativedepartmentsandshallsubmittheirprogrammeproductionanddistributionresultsforthepreviousyeartotheStateAdministrationofRadio，FilmandTelevisionfortherecordbyJanuary31ofeachyear.第二十条合营企业应自觉接受广播电视行政部门的监督管理，并在每年1月31日前将其前一年度的节目制作、发行业绩向国家广播电影电视总局备案.PARTFOUR:PENALPROVISIONS第四章罚则Article21：ViolationshereofshallbepunishedinaccordancewiththePRCSino-foreignEquityJointVentureLaw,thePRCSino-foreignCooperativeJointVentureLawandtheAdministrationofRadioandTelevisionRegulations.Ifacriminaloffenceisconstituted，criminalliabilityshallbepursuedinaccordancewiththelaw。第二十一条对违反本规定的,依照《中华人民共和国中外合资经营企业法》、《中华人民共和国中外合作经营企业法》及《广播电视管理条例》进行处罚。构成犯罪的，依法追究刑事责任。PARTFIVE:SUPPLEMENTARYPROVISIONS第五章附则Article22:TheestablishmentofequityandcooperativejointventuresthatproduceanddistributeradioortelevisionprogrammesbydomesticorganizationsandenterprisesorothereconomicorganizationsfromtheHongKongSpecialAdministrativeRegion,theMacaoSpecialAdministrativeRegionandTaiwanshall，mutatismutandis,behandledinaccordancewiththeseProvisions.第二十二条香港特别行政区、澳门特别行政区和台湾地区的企业或其它经济组织与境内机构合资、合作设立广播电视节目制作经营企业的，参照本规定办理。Article23:TheStateAdministrationofRadio,FilmandTelevisionandtheMinistryofCommerceareinchargeofinterpretingtheseProvisions.第二十三条　本规定由国家广播电影电视总局和商务部负责解释。Article24:TheseProvisionsshallbeeffectiveasofNovember282004.第二十四条　本规定自2004年11月28日起施行。
