ACCOUNTINGSERVICESAGREEMENTTHISACCOUNTINGSERVICESAGREEMENT(this“Agreement”)ismadeeffectiveasof[March1,2016] BETWEEN: [XXKorea](the“Client”),acompanyorganizedandexistingat: [802,A-DongINNOVALLEY,253,Pangyo-ro,Bundang-gu,Seongnam-si,Gyeonggi-do,Korea] AND: [XXCorporation],(the“AccountingFirm”)anAccountingFirmorganizedandexistingat:[9thFloor,GangnamJeil-Bld,109Teheran-ro,Gangnam-gu,Seoul,Korea]NOW,THEREFORE,inconsiderationofthemutualcovenantssetforthhereinandintendingtobelegallybound,thepartiesheretoagreeasfollow;1.SERVICESTheAccountingFirmherebyagreestoprovidethefollowingservicestoClient(the“Service”).1)Makingaccountingnoteandpreparingforfinancialstatement2)Bookkeeping3)Reportingofpayrollandsocialsecurityinsurance4)Monthlyfinancialreportingtoparent[relevant]company5)FillingoutVATdeclaration6)CorporateTaxReturn7)Realtimecommunication(QQ–onlinechattingprogram)ThetermofServiceisforsixmonths,fromMarch1,2016toAugust31,2016.2.PAYMENTTheClientagreestopaytheAccountingFirmforservicesatthefollowingrates:1)DuringthetermofthisAgreement,ClientshallpaytheAccountingFirmfortheServicesunderthisAgreementforthesumofKRW1,100,000/month(VATincluded)fromMarch1,2016toAugust31,2016.PaymentshallbemadeandincludingtheexecutiondateofthisAgreement(whichexecutiondateshallbetheinitialpaymentdate).IntheeventofearlierterminationduetotheClient’scauses,paymentshallnotberefundable.2)ThepaymentforcorporatetaxreturninaccordancetothisAgreementisbasicallyasbelow(VATincluded),andtheClienthastopaytheabovementionedpaymenttotheAccountingFirmuntiltheduedateforcorporatetaxreturnperiod.(Unit:KRW) Salesamountinpreviousyear BasicFee AdditionalFee Notmorethan100,000,000 1,100,000 N/A 100,000,000~500,000,000 1,100,000 Excessover100,000,000x0.14% 500,000,000~1,000,000,000 1,716,000 Excessover500,000,000x0.10% Above1,000,000,000 2,266,000 Excessover1,000,000,000x0.08%3.TERMSThisAgreementiseffectivefromabovetothedateaftersixmonth. Thereafter, thisAgreementshallbeextendedautomaticallyforsuccessiveperiodsunless eitherpartygivestheotherpartynoticeofnon-extensioninwritingonemonthpriortotheexpiration oftheoriginaloranyextendedtermofthisAgreement.4.DUTIESTheAccountingFirmshallperformthefollowingduties: providenecessarydocuments,providereasonableandappropriateaccountingservicesinaccordancewithKoreanAccountingPrincipal.5.CONFIDENTIALITYTheAccountingFirmshallnot,duringthetermofthisAgreement,discloseanyproprietaryorconfidentialinformationrelatingtotheServices,thisAgreementortheClient’sbusinessoroperationswithoutthepriorconsentoftheClientandobligationtodiscloseConfidentialInformationbylaworbycourtorgovernmentalorder.6.RESPONSIBILITIESOFTERMINATION(a)IncaseofterminationduetotheClient’scauses,theAccountingFirmshallnotbeliablefortaxrelatedaffairsthatmayariseafterthisAgreementhasbeenterminated.(b)IftheAccountingFirmisunabletoperformthedutieslaidoutinthisAgreementduetoitscauses,theAccountingFirmshallreviewalltasksperformeduptothatpointintimeandconcludetheremainingtasksunderthisAgreementafterreachingamutualagreement.7.FAILURETOPERFORM(a)IftheAccountingFirmisnotabletoperformatasksetforthinthisAgreementduetodeficienciesinthematerialprovidedbytheClient,orduetothereceiptsofanyothermaterialthatismisleading,theAccountingFirmshallnotbeliablefortheServices.Inthiscase,however,theClientshallbeliableforthemonthlypaymenttotheAccountingFirm.(b)Inthecaseofinabilitytoperformataskduetonaturalcalamities,neithertheClientnortheAccountingFirmshallbeartheresponsibilityfortheinability.8.EXEMPTIONFROMRESPONSIBILITY(a)TheoccurrenceoftheClientnotprovidingthematerialrequiredfortheAccountingFirm‘sServiceattheappropriatetime,orprovidinganyinappropriatematerial,theClienttakesalltheresponsibilityfortheproblemscausedbytheabovementionedcircumstances.(b)IftheClienthasanobjectionafterthoroughlyreviewingthecontentofbookkeeping,theClientshallinformtheAccountingFirmimmediately,orelsetheClientmaynotclaimanycompensationregardingthecontentofbookkeepingagainsttheAccountingFirm.However,ifitisprovedthattheAccountingFirmhascausedtheClientanydamageintentionallyornegligently,theAccountingFirmshallcompensatetheClienttheamountlimiteduptothepaymentmadeforbookkeepingasmentionedinArticle2fortheperiodduringwhichtheAccountingFirmisprovedtohavecausedsuchdamage.9.OWNERSHIPOFREPORTSANDINTELLECTUALPROPERTYTheAccountingFirmhastheownershipofreportsandotherelectronicdocumentsprovidedbythefirmduringtheperformanceofservice.10.OTHERSTheparticularsthatarenotdefinedinthisAgreementshallbecooperativelydecideduponbyboththeClientandtheAccountingFirminaccordancewithgeneralcommercialcustom.11.EFFECTIVEDATEThisAgreementshalltakeeffectfromtheexecutiondateofthisAgreement.ProvidedthatServicethatwasprovidedpriortotheexecutiondateofthisAgreementshallbedeemedtohavebeenprovidedpursuanttothisAgreement.Thisdocumentwillbephoto-copied,twocopies,andheldbyCLIENTandACCOUNTINGFIRMaftertheyaresignedandsealed.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisAgreementasofthe (Date)3,1,2016 CLIENT Name:XXKoreaCo.,Ltd.
