法》等有关法律法规规定、缔约双方本着平等互利、等价有偿的原则，就甲方向乙方转让其出资的有关事宜，通过友好协商，订立本协议。 第一条标的及转让价款 1、甲方将其在C公司的全部出资及其权益（出资比例为2.13%）转让给乙方。 2、双方确定甲方向乙方转让该出资及其权益，乙方应向甲方支付转让价款总额为人民币壹千贰百贰拾万元（1220万元）。 第二条支付时间和支付方式 甲、乙双方委托C有限公司负责办理本协议第一条项下出资转让的报批及工商变更登记。乙方需在获得政府主管部门的批准后的５个工作天之内向甲方支付本协议项下第一条所述的价款总额。 第三条附带义务 甲方需在本协议按第九条的规定生效后向C有限公司提出其委派董事的辞任同意函。 第四条权益、 责任 安全质量包保责任状安全管理目标责任状8安全事故责任追究制幼儿园安全责任状占有损害赔偿请求权 及风险转移 乙方向甲方支付转让价款后，甲方在C有限公司的所有权益，责任及风险即时转移至乙方。 第五条声明、承诺和保证 1、甲方承诺对本协议第一条项下的出资为甲方合法全权所拥有，没有任何按揭、抵押、留置或第三者权益，不附带任何或然负债或其他潜在责任，亦不存在任何针对上述出资的诉讼、仲裁或争议。 2、如此次出资转让因甲、乙双方外的其他原因终止，甲方应在5个工作天之内向乙方返还其已支付的出资转让款。 3、本协议签署之日至本次股权转让变更登记完成之前，该期间C有限公司的资产无论发生任何变化均不再改变本协议所约定的股权转让价格（1220万元）。 第六条违约责任 本协议双方的任何一方违反其在本合同中的任何声明、承诺和保证，或本协议的任何一方因不履行或延迟履行本协议项下部分或全部义务，即构成违约。违约方因其违约行为给守约方造成的实际损失，违约方应对守约方做出足额赔偿。 第七条相关税费 因本协议第一条项下所指出资转让所发生的全部税项及费用，依照我国的相关法规办理；无规定者，由本协议双方平均分担。 第八条争议的解决 协议双方因履行本协议而发生的争议，应首先通过协商解决；如协商不成，将争议提交在北京的中国国际经济贸易仲裁委员会(CIETAC)仲裁裁决。 第九条协议的生效 本协议在获得中国政府主管部门的批准后即时生效。 第十条其它 本次转让为含权转让即“出资及其权益的转让”。 第十一条文本 本协议共三页，一式七份，甲乙双方和见证方各执两份，一份办理工商变更，七份具同等法律效力。  甲方：A公司法定代表人或授权代表 :    乙方： B有限公司法定代表人或授权代表 :    见证方：D管理委员会代表 :   二零零四年十一月廿九日  于北京 CCo.,LTD.ShareTransferAgreement  Transferor：AJointStockCo.,Ltd（“PartyA”）Transferee：BCo.,Ltd（”PartyB”）  TheParties,afterfriendlyconsultationsconductedinaccordancewiththeprincipleofequalityandmutualbenefit,haveagreedtoenterintothisAgreementregardingPartyAtransfersitssharestoPartyBinaccordancewiththeCompanyLawofthePeople’sRepublicofChina,theLawofthePeople’sRepublicofChinaonJointVenturesUsingChineseandForeignInvestment,ContractLawofthePeople’sRepublicofChinaBasedontheprinciplesofequality,mutualbenefitsandotherrelevantlawsandregulationsofthePRC. Article1SubjectofTransferandTransferredPrice 1.PartyAherebysellsandtransferstoPartyBallshares,rightsandintereststhereupon(shareratiois2.13%)heldbyPartyAinCCo.,Ltd. 2.ThePartiesconfirmthatPartyAshalltransfertoPartyBthesharesanditsrightsandinterestswhilePartyBshallpaytoPartyAatotalamountofRMB12,200,000forthetransferredshares. Article2PaymentTimeandPaymentTerms ThePartiesentrustCCo.,LtdtohandletheexaminationandapprovalproceduresandSAICregistrationastothesharetransferunderArticle1.PartyBshallpaythetotalpriceofthetransferredsharesunderArticle1withinfive(5)workingdaysuponobtainingtheapprovalfromthecompetentgovernmentauthorities. Article3AncillaryObligations PartyAshallissuetoCCo.,LtdanapprovalletterastoresigningofdirectorsappointedbyPartyAafterthisAgreementcomesintoeffectivenessinaccordancewithArticle9oftheAgreement. Article4TransferofRightsandInterests,LiabilitiesandRisks Alltherightsandinterests,liabilitiesandrisksofPartyAinCCo.,LtdshallbetransferredimmediatelytoPartyBafterPartyBpaysthetransferredpaymenttoPartyA. Article5Representations,WarrantiesandGuaranties 1.PartyAwarrantsthatheisthelegalownerofthesharesasreferredtoinArticle1andthesesharesarefreeandclearofanycharges,mortgages,liensorotherrightsofanythirdparty,andarefreeandclearofanyincidentaldebtsorotherpotentialliabilities,andarefreeofanylawsuits,arbitrationsordisputesinrelationtotheaboveshares. 2.PartyAshall,withinfive(5)workingdays,returntoPartyBthesharetransferpaymentalreadypaidbyPartyBincasethesharetransferterminatesduetoreasonsnotattributabletobothParties. 3.FromthesigningofthisAgreementtothecompletionofregistrationofthesharetransfer,theagreedsharetransferprice(RMB12,200,000)shallnotbevarieddisregardofanychangesastotheassetsofCCo.,Ltd. Article6BreachofContract EachPartyshallconstituteabreachofthecontractifitviolatesanyrepresentations,warrantiesandguarantiesunderthisAgreement,orfailstoperformordelayinitsperformanceofpartorallofitsobligationsunderthisAgreement.Thebreachingpartyshallmakesufficientcompensationtothenon-breachingpartybasedontheactuallossesitcausedtothenon-breachingparty. Article7RelatedTax AlltaxandfeesincurredoutoftheassetstransferasregulatedunderArticle1ofthisAgreementshallbepaidinaccordancewiththerelevantlawsandregulationsofPRC;incasethereisnosuchlawsandregulations,itshallbesharedevenlybetweenbothParties. Article8SettlementofDispute IntheeventofanydisputearisingbetweenthePartiesoutoforinrelationtoperformanceofthisAgreement,thePartiesshallattemptinthefirstinstancetoresolvesuchdisputethroughfriendlyconsultations;ifthedisputecannotbesettledthroughconsultations,thenthedisputeshallbesubmittedtotheChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)inBeijingforarbitration. Article9Effectiveness ThisAgreementshallbecomeeffectiveimmediatelyuponobtainingapprovalfromthecompetentauthorityofPRC. Article10Miscellaneous ThetransferunderthisAgreementshallmeantransferwithrightsandinterests,i.e.transferofinvestmenttogetherwithitsrightsandinterests. Article11Agreement ThisAgreementiscomposedofthreepagesandissignedinseven(7)originals.EachPartyandtheWitnessshallholdtwo(2)originalsandone(1)originalmaybesubmittedtotheStateAdministrationofIndustryandCommerce.Theseven(7)originalsshallhavethesamelegaleffects.  PartyA：ALegalRepresentativeorAuthorizedRepresentative:    PartyB： BCo.,LtdLegalRepresentativeorAuthorizedRepresentative:    Witness：DAdministrativeCommitteeRepresentative:   29th November,2004,Beijing
