THISINVESTMENTFRAMEWORKAGREEMENTCAgreement^isenteredintoasonthis[1stxx],xxxxbetween:本投资框架协议(以下简称“协议”)由下述双方于xxxx年_xx_N_xx_日签订:TheVendor：[xxxxx:ex]("PartyA");(CompanyRegistrationNo.xxxxxxx)出售方：[xxxxxxxxxxxx公司](以下简称"屮方")；TheInvestor：[xxxxxxxxxxxxxxxxxxxxxxx]("PartyB").(CompanyRegistrationNo.xxxxxxxx)投资方:[xxxxxxxxxxx公司](以下简称"乙方")WHEREAS:鉴于:Xxxxxxxxxxxcompany(^TargetCompany")isacompanyestablishedunderthelawsofthexxxxx.(CompanyRegistrationNo.xxxxxxx).TargetCompanyisownedasto[xx%]byPartyA.xxxxxxxxxx公司(以下简称“LI标公司")为一家依据XXXXXX法律成立的公司，中方拥有U标公司[XX%]的股份。NowThereforeinconsiderationofthepromises,covenants,terms,conditionsrepresentationsandwarrantieshereinaftersetforth,thepartiesheretoagreeasfollows:因此，根据下面的承诺、约定、条件条款、声明和保证，双方同意如下：OBJECTIVE/U标PartyAandPartyBdesiretodiscussthepurchasingbyPartyB(orthroughitsaffiliates)xx%oftheequityofTargetCompanyownedbyPartyA(the"ProposedTransaction^・1.1屮方和乙方希望就乙方(或通过其关联公司)收购山屮方所拥有的LI标公司的xx%股权(以下简称“拟定交易'J进行磋商。ThepurposeofthisAgreementistorecordcertainaspectsoftheProposedTransactionthatthePartiesmutuallyacknowledgeandtooutlinefuturearrangementstobeundertakenbythePartiesinrelationtotheProposedTransaction.1.2本协议的LI的系明确屮乙双方就拟定交易达成一致及相关进一步安排的约定。PROPOSEDTRANSACTION/拟定交易InrespectoftheProposedTransaction,thePartiesanticipatethatthemainviabletermsandconditionsareasfollows:就拟定交易，中、乙双方预计可行的主要交易条款如下：PartyBwill,throughitselforitsaffiliates,purchasexx%oftheequityofTargetCompanyownedbyPartyAatapriceofUSDxxxxxxx(the°PurchasePrice").2.1乙方拟以美元xxxxx元的价格(“收购价款”)，通过其自身或其关联公司向屮方购买屮方所拥有的LI标公司xx%的股权。Duringsuchperiod,providedthatPartyBbecomesawareoftheexistenceofundisclosedindebtednessincurredbytheTargetCompanytothecompletionoftheProposedTransactionorPartyAbreachesanyrelevantrepresentationandwarrant,whichcauseanylosstotheTargetCompany,PartyBshallhavetherighttodeducttheamountofsuchlossfromtheresidualPurchasePriceandholdPartyAaccountableforanybreachliability.2.2若在此期间，乙方发现LI标公司在拟定交易完成询存在未披露债务或中方违反任何相关陈述保证与承诺而导致LI标公司承受损失，则乙方有权从收购价款中扣除损失并追究屮方的违约责任。BothPartiesshallcompletetheproceduresforthechangeoftheshareholdersoftheTargetCompanywithin[xx]monthsafterthepayment.2.3双方应于款项支付后【XX】个月内共同完成U标公司股东变更手续。ThePartiesfurtherascertainthatifpriortothecloseoftheProposedTransactionthereisanyeventorcircumstancewhichoccursthatmightreasonablybeexpectedtohaveamaterialadverseeffectontheprospects,business,operationsorfinancialconditionofTargetCompany("MaterialAdverseEffects"),thePartyBshallhavetherighttorevaluatethePurchasePriceorunilaterallyrescindtheProposedTransactionwithnoliabilities.2.4屮、乙双方进一步明确，若在拟定交易交割之前，产生任何可能被合理期待的、能对口标公司的前景、商业、业务或财务状况造成重大实质不利影响的事件或情形(“重大不利影响”)，则乙方有权对收购价款的估值进行调整或者单方解除拟定交易，而无需承担任何责任。TheMaterialAdverseEffectsasdefinedinClause2.4shallincludebutnotlimitedto:2.5本协议第2.4条中所约定的“重大不利影响”包括但不限于：Politics,macroeconomicsand/orsocialenvironmenthasbeenorwillbeChangedsignificantly;政治、宏观经济和/或社会环境已经或者将发生重大变化：Theoperationmodels,thestructureofmajorbusinessoftheTargetCompanyhasbeenorwillbechangedsignificantly；LI标公司的经营模式、主营业务的结构已经或者将发生重大变化;TheindustryrankingorthebusinessenvironmentoftheTargetCompanyhasbeenorwillbechangedsignificantly;口标公司行业地位或所处行业的经营环境已经或者将发生重大变化；TheTargetCompanypossessallthenecessarycertifications,approvalsandpermitstoholditscurrentassetsandconductcurrentbusiness;thereexistsnoMaterialAdverseEffectorothercircumstanceinrelatingtothepotentialMaterialAdverseEffectontheequityownership/validexisting,financialsituation,profits,businessforward-looking,reputationsorthemajorbusinessoftheTargetCompany；III标公司持有其现有资产以及开展现行业务所需的全部执照、批文和许可,公司所有权/存续的合法性、财务状况、盈利、业务前景、声誉或主营业务未出现重大不利变化或涉及潜在重大不利变化的任何情况；APPLICABLELAW,JURISDICTIONANDDISPUTERESOLUTION/管辖法律适用及争议解决ThisAgreementisgovernedbyandconstruedexclusivelyunderxxxxxlawwithoutregardtoconflictsoflawsprinciples・3.1本协议除冲突法原则外应适用xxxx法律并依其解释。AlldisputesoutoforinconnectionwiththisAgreement,itscompletionoritsimplementationtotheextentpermissiblebylawshallbesubjecttoarbitrationby[xxxxxxxxxx].3.2因本协议及其签署、执行（在法律允许范围内）所产生的任何相关争议应当提交[xxxxxxxxx]进行仲裁。COST/费用EachPartyshallbearitsowncostsarisingfromthefeesofitsrespectivetaxadvisor,legaladvisorandaccountantandanyotherexpensesincurredatanytimeinconnectionwiththenegotiationsorconsummationofthisAgreement,whetherornotthefinaltransactiondocumentswillbeconcludedandexecuted・双方将承担其自身在商谈或执行本协议过程中（任何时间）所产生的税务顾问费、法律顾问费及会计费和其他任何费用，无论最终交易文件是否会被签署和执行。NOTICES/通知Unlessotherwiseexpresslyagreedinwriting,alldeclarationsorcommunicationsinconnectionwiththisAgreementshallonlybevalidlyservediftheyaredeliveredinwriting（emailandfaxissufficient）tothefollowingaddressesfordeliveryoftheParties.除非经书面同意，所有有关本协议的申明和通讯将仅在以书面形式（电子邮件和传真即可）传达至双方下述传达地址时有效送达。（a）至甲方的申明和通讯：FordeclarationsorcommunicationstobemadetoPartyA:[ADDRESS:xxxxxxxxxx](B)FordeclarationsorcommunicationstobemadetoPartyB:(B)至乙方的申明和通讯：[ADDRESS：xxxxxxxxxxxx]EFFECTIVENESS,TERMINATION/生效、终止ThisAgreementshallbecomeeffectiveonthedateofsigningandremaininfullforceuntilxxxxxxx本协议应自签署之日起生效直至xxxx年X月XX日.Allamendment,supplement,deleteoralterationunderthecontractshallformanintegralpartofthecontractandshallhavethesameforceasthecontractitself.对协议的有效修订、补充、删减或更改事项应构成本协议不可分割的一部分，与本协议正文一样具有同等法律效力。LANGUAGEANDCOUNTERPARTS/文字和文本ThisAgreementisexecutedinEnglishandChineseintwo(2)originalcounterpartsineachlanguage.IntheeventofanyconflictbetweentheEnglishlanguageandChineselanguageversionsofthisAgreement,orintheeventofanymisunderstandingorambiguities,theChineselanguageversionshallprevail・本协议以中、英两(2)种文字文本签署，每种文字的原始文本一式两(2)份。如果本协议的中文文本和英文文本之间发生任何冲突，或如果有任何误解或不明确,则以中文文本为准。INWITNESSWHEREOF,thePartiesheretohavecausedthisAgreementtobeexecutedasofthedatefirstabovewrittenbytheirdulyauthorizedrepresentatives.鉴此，本协议双方已责成各自按规定程序授权的代
