Fourshortwordssumupwhathasliftedmostsuccessfulindividualsabovethecrowd:alittlebitmore.------------------------------------------author------------------------------------------date中国银行抵押合同英文翻译中国银行抵押合同英文翻译中国银行抵押合同英文翻译----------------------------------------------------------------------------------------------------中国银行抵押合同英文翻译--------------------------------------------------FixedAssetLoansContractCode:HaAZhongyinDiZiDi(2017)No.001Borrower:Co.,Ltd.BusinessLicenseNo.:LegalRepresentative/Principal:DomicileAddress:ProvinceZipCode:AccountOpeningFinancialInstitutionsandAccountNo.:BankofChinaGroupInvestmentLimitedSub-branchAccountNo.:Telephone:Fax:Lender:BankofChinaGroupInvestmentLimitedLegalRepresentative/Principal:DomicileAddress:ProvinceZipCode:Telephone:Fax:Inordertoguaranteetheperformanceofthedebtunderthe"mastercontract"mentionedinarticle1ofthiscontract,themortgagorvoluntarilytakesthepropertywhichhasbeenincludedinthelistofpropertiesattachedtothelistofcollateralasthemortgageguaranteeforthecreditor'srightsofthemortgagee.Thepartiesenterintothiscontractthroughequalconsultation.Unlessotherwiseagreedherein,theinterpretationoftermshereinshallbedeterminedinaccordancewiththemastercontract.Article1MasterContractThemastercontractofthiscontractis:MortgageeandCo.,Ltd.signedtheFixedAssetLoansContractwhichcodeisNo.anditsamendedorsupplemented.Article2RightofPrincipalCreditorUnderthemaincontractofcreditor'srightsconstitutetheprincipalclaimofthiscontract,includingtheprincipalandinterest(includingstatutoryinterest,compoundinterest,defaultinterest,agreement),defaultfine,compensationfordamage,andthecostofthecreditor'srights(includingbutnotlimitedtocourtcosts,attorneyfees,notarizationfees,execution,etc.),wastheguarantorforthedebtor/(counterguaranteecase,similarlyhereinafter)breachofcontractandcauseslossestothemortgageeandallotheraccruedexpenses.Article3CollateralSeeappendix“listofcollateral”fordetailsofthecollateral.Duringthemortgageperiod,whenthecollateralisdamaged,lostorexpropriated,etc.,themortgageemayreceiveprioritycompensationforinsurance,compensationorcompensation.Iftheperiodfortheperformanceofthesecuredcreditor'srightsisnotexpired,suchinsurancemoney,compensationorcompensationmayalsobedeposited.Ifthecollateralisahouse,themortgagorshalltimelynotifythemortgageewhenheknowstheinformationofthehousetobedemolished.Housestobedemolishedduringtheperiodofmortgage,suchasmortgagesforhousesdemolishedusingcompensationintheformofpropertyrightexchange,themortgagorshall,inaccordancewithrequirementsofthemortgageeandthedebtor,themortgageeshallnegotiatethedebts,orinaccordancewiththerequirementsforthemortgageetopropertyrightsexchangehousesorothermortgagesresettingmortgageandsignanewmortgageagreement,aftertheoriginalmortgagepropertylossandthenewmortgageregistrationhasnotbeendealtwithbefore,themortgagorshall,inaccordancewithrequirementsofthemortgageeandhavesecuredpartyprovideguaranteeconditions.Ifthehouseiscompensatedintheformofcompensation,themortgageeshallhavetherighttoreceiveprioritycompensationforsuchcompensation,orrequirethemortgagortocontinuetousethecompensationassecuritypropertybyopeningaspecialdepositaccountordepositcertificate,andsignthecorrespondingdepositpledgeagreementordepositcertificate.Article4MortgageRegistrationMortgageregistrationisrequiredaccordingtolaw.Within15daysaftersigningthiscontract,themortgagorandthemortgageeshallgototherelevantregistrationdepartmenttohandlethemortgageregistrationprocedures.Mortgageregisteritemoccurrencechange,needtocarryonchangetoregisteraccordingtothelaw,guarantorandhypothecpersonshouldbeinthedaythatregisteritemchange10daysgouptodealwithchangetoregisterabranchtoregister.Article5PossessionandCustodyofCollateralThecollateralhereundershallbeownedandkeptbythemortgagor,buttheownershipcertificateofthecollateralshallbekeptbythemortgagee.Themortgagoragreestoacceptandeffectivelycooperatewiththeinspectionofthecollateralbythemortgageeanditsdesignatedinstitutionsandindividualsatanytime.Themortgagorshallproperlykeep,maintainandmaintainthecollateralandtakeeffectivemeasurestoguaranteethesafetyandintegrityofthecollateral.Ifthecollateralneedstoberepaired,themortgagorshalltimelycarryoutandbearthecorrespondingexpenses.Withoutthewrittenconsentofthemortgagee,themortgagorshallnottransfer,leaseorlendthecollateralinwholeorinpart,makecapitalcontributionintheformofphysicalobjects,transform,rebuildordisposeofthecollateralinanyothermanner;Ifthemortgageeagreesinwriting,theproceedsfromthedisposalofthecollateralshallbeusedtopayoffthecreditor'srightsinadvanceortoputindepositwithathirdpartydesignatedbythemortgagee.Article6DisposalofReducedValueofCollateralWherethemortgagor'sactissufficienttoreducethevalueofthecollateralbeforetheprincipalclaimsunderthiscontracthavebeenfullypaidoff,themortgageeshallhavetherighttodemandthatthemortgagorceasethebehavior.Wherethevalueofthemortgagedpropertyisreduced,themortgageehastherighttorequirethemortgagortorestorethevalueofthecollateral,ortoprovideotherguaranteesequivalenttothereducedvalueandrecognizedasthemortgagee.Ifthemortgagordoesnotrestorethevalueofthemortgagedpropertyanddoesnotprovideaguarantee,themortgageehastherighttorequirethedebtortopayoffthedebtinadvance.Ifthedebtorfailstoperformthedebtasrequired,themortgageehastherighttoexercisethemortgage.Ifthelossordecreaseinvalueofthecollateraliscausedbynaturaldisaster,accident,infringementorotherreasons,themortgagorshallimmediatelytakemeasurestopreventfurtherexpansionofthelossandimmediatelynotifythemortgagorinwriting.Article7FruitsThedebtorfailstoperformduedebts,orothercircumstancesoftheimplementationofthiscontractagreementhypothec,causingthemortgagedpropertyisheldinthepeople'scourtinaccordancewiththelaw,fromthedateofseizure,themortgageehastherighttocollectthenaturalfruitsofthemortgagedpropertyorlegalfruits,butthemortgageefailstonotifythepersonwhohastheobligationtopaylegalfruits.Thefruitsspecifiedintheprecedingparagraphshallfirstbeusedtocovertheexpensesforcollectingfruits.Article8InsuranceofCollateral(Thisisanoptionalarticle.Choose1ofthefollowingitem:1.Applicable2.Notapplicable)Theamountinsuredshallnotbelessthantheassessedvalueofthecollateral.Thecontentsofthepolicyshallconformtotherequirementsofthemortgageeandshallnotbesubjecttorestrictiveconditionswhichareharmfultotherightsandinterestsofthemortgagee.Themortgagorshallnotinterrupt,terminate,amendoralterthepolicyforanyreason,andshalltakeallreasonableandnecessarymeasurestoensurethattheinsuranceprovidedforinthisarticleremainsvalid,untiltheprincipalclaimsunderthiscontracthavebeenfullypaidoff.Ifthemortgagorfailstotakeoutinsuranceorviolatestheaforementionedagreement,themortgageeshallhavetherighttodecidetotakeoutinsuranceorcontinuetotakeoutinsuranceforthecollateral,andtheinsuranceexpensesshallbebornebythemortgagor,andmaybeincludedinthescopeoftheprincipalclaimtogetherwiththelossesthatmaythusbecausedtothemortgagee.Within15daysafterthesigningofthiscontract,themortgagorshallsubmittheoriginalinsurancepolicyofthecollateraltothemortgageeandtransfertherightofclaimforinsurancebenefitsduetotheoccurrenceoftheinsuranceeventtothemortgagee.Theoriginalinsurancepolicyshallbeheldbythemortgageeuntilthecontractisfullypaid.Article9OccurrenceofGuaranteeLiabilityIfthedebtor/guarantorfailstopayoffthemortgageeasagreedupononanynormalorearlyrepaymentday,themortgageeshallhavetherighttoexercisethemortgageaccordingtolawandasagreedherein.Thedateofnormalpaymentreferredtointheprecedingparagraphshallbethedateofprincipalrepayment,interestpaymentorthedateonwhichthedebtor/guarantorshallmakeanypaymenttothemortgageepursuanttotheprovisionsofsuchcontract.Thedateofadvancepaymentreferredtointheprecedingparagraphshallbethedateonwhichthedebtor/guarantoragreestoadvancepaymentandthedateonwhichthemortgageerequeststhedebtor/guarantortorecovertheprincipalandinterestoftheclaim/oranyotherpaymentpursuanttothecontractorotherprovisions.Article10PeriodMortgageExerciseThemortgageeshallexercisethemortgagerightwithinthelimitationperiodofthemainclaimactionaftertheoccurrenceofthereguaranteeresponsibility.Iftheprincipalclaimispaidininstallments,themortgageeshallexercisetherightofmortgagebeforetheexpirationofthelimitationperiodofactionbasedonthelasttermoftheclaim.Article11RealizationofMortgageAfterguaranteeliabilityoccurs,themortgageehastherighttoenterintoanagreementwiththemortgagortodiscountorauctionthecollateral,andtheproceedsfromthesaleofthecollateralarepreferredtorepaytheprincipalcreditor'srights.Ifnoagreementisreached,themortgageeshallhavetherighttorequestthepeople'scourttosellthecollateralaccordingtolaw.Theproceedsfromthedisposalofthecollateralshallbeusedtopayofftheprincipalclaimsafterthepriorityisgiventothedisposalexpensesofthecollateralandtheexpensespayabletothemortgageehereunderbythemortgagor.Lorddebtoutsidethiscontractatthesametimethereareotherthings,guaranteeorwarrantydoesnotaffecttherightofmortgageofanyrightunderthishumanisticanditsexercise,themortgageehastherighttodecidetheguaranteerighttoexercisetheorder,themortgagorshallguaranteeliabilityinaccordancewiththiscontract,shallnotexistotherdefensescreditorsguaranteeandtheexerciseoftheorder.Article12RelationshipbetweenThisContractandMasterContractWherebothpartiesofthemastercontractterminatethemastercontractorcausethemastercontracttoexpireinadvance,themortgagorshallbeliableforthesecurityoftheclaimsincurredunderthemastercontract.Thepartiestothemastercontractagreetochangethecontentsofthemastercontract,exceptforcaseswherecurrency,interestrate,amount,termorotherchangesleadtotheincreaseoftheamountofprincipalclaimsorextendthetermofperformanceofthemastercontract,withoutobtainingtheconsentofthemortgagor,themortgagorshallthrowthecollateralunderthiscontracttobeartheguaranteeresponsibilityforthechangedmastercontract.Ifitisnecessarytoobtaintheconsentofthemortgagor,withoutthewrittenconsentofthemortgagorortherefusalofthemortgagor,themortgagorshallnotbeliablefortheincreaseoftheamountoftheprincipalcreditor'srights,andtheextensionofthetimelimitfortheperformanceoftheprincipalcontract,theperiodforexercisingtherightofmortgageshallremaintheoriginalperiod.Afterthemortgageeopenstheletterofcreditforthedebtor/guarantor,themortgageeshallconductimportbillofexchangefinancingorotherformsoffollow-upfinancingsuccessivelywiththedebtor/guarantor,withouttheconsentofthemortgagor,themortgagorshallassumethecontinuousanduninterruptedguaranteeresponsibilityforthesefinancing.Themortgagorandthemortgageeshallsigntheimportbillofexchangeagreementorotherfollow-upfinancingagreement------withindaystohandlethemortgageregistration.Ifanyothermortgageeexistsonthemortgagedpropertyhereunder,theabovechangesshallnotadverselyaffectthemortgageewithoutthewrittenconsentofothermortgagees.Article13StatementsandCommitmentsThestatementandcommitmentsofmortgagorareasfollows:Themortgagor,whoislegallyregisteredandexisting,hasthefullcapacityforcivilrightsandconductrequiredfortheexecutionandperformanceofthiscontract,andhasthelegalownershipordispositionofthecollateral;Themortgagorwarrantsthatthereisnootherco-owneroverthemortgagedproperty,orthemortgagorhaswrittenpermissionfromallco-ownersnotwithstandingtheco-owner.Themortgagorundertakestogivethewrittenpermissiontothemortgageeforpreservationbeforesigningthiscontract.Themortgagorfullyunderstandsthecontentofthemastercontract.Signingandperformingthiscontractisbasedontherealintentionexpressedbythemortgagor,andhasobtainedlegalandeffectiveauthorizationaccordingtotheenterprisearticlesofassociationorotherinternalmanagementdocuments.Themortgagorisathirdpartyandthecompany,andthemortgagorprovidessuchguarantee,whichhasbeenadoptedbytheboardofdirectorsortheboardofshareholdersinaccordancewiththeprovisionsofthearticlesofassociationandtheresolutionofthegeneralmeetingofshareholders;Wherethetotalamountoftheguaranteeandtheamountofthesingleguaranteearelimitedinthearticlesofassociation,theguaranteeunderthiscontractshallnotexceedtheprescribedlimit.Signingandperformingthiscontractshallnotviolateanycontract,agreementorotherlegaldocumentsbindingonthemortgagor;Themortgagorhasorwillobtainallrelevantapprovals,permits,recordsorregistrationsrequiredfortheestablishmentofthismortgage.Alldocumentsandinformationprovidedbythemortgagortothemortgageeareaccurate,true,completeandvalid.Themortgagorhasnotconcealedfromthemortgageeanyguaranteepropertyrightinthecollateralasofthedateofsigningthiscontract.Ifanewguaranteepropertyrightisestablishedonthemortgagedpropertyandthemortgagedpropertyissealeduporinvolvedinamajorlawsuitorarbitrationcase,themortgagorshallpromptlynotifythemortgagee.Ifthecollateralisunderconstruction,themortgagorpromisesthatthereisnorightofprioritytobepaidbyathirdpartyonthecollateral;Wherethereisathirdparty'spriorclaim,themortgagorpromisestomakethethirdpartyissueawrittenwaiverofthepriorclaimandsubmitittothemortgageeforcustody.Article14CulpainContrahendoAftertheconclusionofthiscontract,ifthemortgagorrefusesordelaysinregisteringthemortgageorbecauseofotherreasonsofthemortgagor,thecontractcannottakeeffectandthemortgagerightcannotbesetupinasmallway,itshallconstitutetheculpaincontrahendo.Themortgagorshallbeliableforthelossessufferedbythemortgagee.Article15DefaultEventandSolutionsOneofthefollowingshallconstituteorbedeemedtobethedefaultofthemortgagorunderthiscontract:Themortgagor,inviolationoftheprovisionsofthiscontract,arbitrarilytransfers,leases,lends,investsintheformofmaterialobject,rebuilds,rebuildsordisposesofthecollateralinwholeorinpartinanyothermanner.Themortgagorshallobstructthemortgagee'slawfuldispositionofthecollateralinaccordancewiththerelevantprovisionsofthiscontract.Incaseofthedecreaseofthevalueofthecollateralmentionedinarticle6ofthiscontract,themortgagorshallnotprovidecorrespondingguaranteeasrequiredbythemortgagee.Thestatementmadebythemortgagorinthiscontractisuntrueorinbreachofthepromisemadebythemortgagorinthiscontract.Themortgagorviolatesotherprovisionsofthiscontractconcerningtherightsandobligationsoftheparties.Themortgagorterminatesbusinessordisbands,revocationorbankruptcyoccurs.ThemortgagorisindefaultunderothercontractswiththemortgageeorotherinstitutionsofBankofChinaGroupInvestmentLimited.Incaseoftheeventofdefaultspecifiedintheprecedingparagraph,themortgageeshallhavetherighttotakeoneormoreofthefollowingmeasuresdependingonthespecificcircumstances:Themortgagorisrequiredtocorrectthebreachwithinatimelimit.Toreduce,suspendorterminatethecreditlinetothemortgagorinwholeorinpart.Tosuspendorterminatethebusinessapplicationofthemortgagorunderothercontractsinpartorinwhole;Theissuanceandprocessingofundevelopedloansandunprocessedtradefinancingshallbesuspendedorterminatedinwholeorinpart.Declaretheprincipalandinterestofthemortgage/tradefinanceandotherpayablestobefullyorpartiallydueimmediatelyunderothercontracts.Thiscontractshallbeterminatedordissolved,andothercontractsbetweenthemortgagorandthemortgageeshallbeterminatedinwholeorinpart.Themortgagorisrequiredtocompensateforthelosscausedtothemortgageeduetothedefault.Exerciseofmortgage.Othermeasuresdeemednecessarybythemortgagee.Article16ReservationofRightThefailureofeitherpartytoexercisepartorallofitsrightshereunderortorequiretheotherpartytoperform,assumepartorallofitsobligationsandresponsibilitiesshallnotconstituteawaiverofsuchrightsorawaiverofsuchobligationsandliabilities.Anytoleranceofonepartytotheotherparty,extensionorpostponementoftheexerciseoftherightsunderthiscontractshallnotaffectanyrightsthatithasunderthelawsandregulationsofthiscontract,norshallitbedeemedasawaiverofsuchrights.Article17Change,ModifyandTerminationThiscontractmaybemodifiedormodifiedinwritinguponmutualagreementofbothparties.Anymodificationormodificationshallconstituteanintegralpartofthiscontract.Exceptasotherwiseprovidedbylaws,regulationsoragreedbythepartiesatthetime,thiscontractshallnotbeterminateduntilalltherightsandobligationshereunderhavebeenperformed.Exceptasotherwiseprovidedbylaws,regulationsoragreedbythepartiesatthetime,theinvalidityofanyprovisionofthiscontractshallnotaffectthelegaleffectofanyotherprovision.Article18LawAppliesandDisputesSettlementThecontractshallbegovernedbythelawsofthePeople'sRepublicofChina.Alldisputesanddisputesarisingfromtheperformanceofthiscontractmaybesettledbybothpartiesthroughnegotiation.Ifnoagreementcanbereachedthroughnegotiation,bothpartiesagreetoadoptthesamedisputesettlementmethodasagreedinthemastercontractDuringthedisputeresolutionperiod,ifthedisputedoesnotaffecttheperformanceofotherprovisionsofthiscontract,theotherprovisionsshallbeperformed.Article19AttachmentThefollowingannexesandotherannexesconfirmedbybothpartiesshallformanintegralpartofthiscontractandhavethesamelegaleffectasthiscontract.ListofCollateralArticle20OtherAgreementsWithoutthewrittenconsentoftheLender,theBorrowershallnotassignanyrightsandobligationshereundertoanythirdparty.IfthelenderentrustsotherinstitutionsofBankofChinaGroupInvestmentLimitedtoperformtherightsandobligationshereunderduetobusinessneeds,ortheloanbusinesshereunderistransferredtootherinstitutionsofBankofChinaGroupInvestmentLimitedforacceptanceandmanagement,andtheBorroweracknowledgesthis.ThelenderauthorizesotherinstitutionsofBankofChinaGroupInvestmentLimited,orotherinstitutionsofBankofChinaGroupInvestmentLimitedwhoundertakestheborrowingbusinessunderthiscontract,toexerciseallrightsunderthiscontract,tofilealawsuitinthenameoftheinstitutioninthedisputeunderthiscontract,andtosubmitthedisputetothearbitrationinstitutionforadjudicationorapplicationforenforcement.Withoutprejudicetootherprovisionsofthiscontract,thiscontractislegallybindingonbothpartiesandtheirrespectivesuccessorsandassigns.Unlessotherwiseagreed,bothpartiesshalldesignatetheplaceofdomicilesetforthhereinasthecommunicationandcontactaddressandundertaketonotifytheotherpartyinwritingincaseofanychangeofthecommunicationandcontactaddress.Thetitleandbusinessnameinthiscontractshallonlybeusedforconvenienceandshallnotbeusedtointerpretthetermsandrightsandobligationsoftheparties.Article21ContractValidationandEstablishmentofMortgageRightThiscontractshallcomeintoforceuponbeingsignedandaffixedofficialsealbythelegalrepresentative,personinchargeorauthorizedsignatoryofbothparties.However,ifmortgageregistrationisrequiredaccordingtolaw,itshalltakeeffectfromthedateofcompletionofmortgageregistrationprocedures.Themortgageisestablishedwhenthecontractcomesintoforce.Thiscontractismadeintriplicate,withbothpartiesdebtor/guarantorholdingonecopy,whichhasthesamelegaleffect.Authorizedsignatory:(signature)Authorizedsignatory:(signature)(seal)Attachment:ListofCollateralCode:HaAZhongyinMortgageListNo.CollateralNameQuantityEstimatedValueOwnership/RightofUse(DocumentofTitleNo.)AddressRegistrationAuthority
