保护甲方权益。       PartyBmayusethetrade-marksownedbyPartyAforthesaleoftheAutomobilepaintcoveredhereinwithinthevalidityofthisagreement,andshallacknowledgethatallpatents,trademarks,copyrightsoranyotherindustrialpropertyrightsusedorembodiedintheAutomobilepaintshallremaintobethesolepropertiesofPartyA.Shouldanyinfringementbefound,PartyBshallpromptlynotifyandassistPartyAtotakestepstoprotectthelatter'srights.10.协议有效期ValidityofAgreement本协议经有关双方如期签署后生效，有效期为_____年，从20___年___月___日至20___年____月____日。      Thisagreement,whendulysignedbythebothpartiesconcerned,shallremaineffectfor_____monthsfrom________（date）to________（date）.11.协议的终止Termination 在本协议有效期内，如果一方被发现违背协议条款，另一方有权终止协议。         Duringthevalidityofthisagreement,ifeitherofthetwopartiesisfoundtohaveviolatedthestipulationsherein,theotherpartyhastherighttoterminatethisagreement.12.不可抗力ForceMajeure 由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议，该方不负责任。但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的 寄交对方。           Eitherpartyshallnotberesponsibleforfailureordelaytoperformalloranypartofthisagreementduetoflood,fire,earthquake,draught,waroranyothereventswhichcouldnotbepredicted,controlled,avoidedorovercomebytherelativeparty. However,thepartyaffectedbytheeventofForceMajeureshallinformtheotherpartyofitsoccurrenceinwritingassoonaspossibleandthereaftersendacertificateoftheeventissuedbytherelevantauthoritiestotheotherpartywithin15daysafteritsoccurrence.检验和收货InspectionandAcceptance在收到货物后，经销商应及时检查货物确定是否有货物短缺、瑕疵和损坏。经销商应在收到货物后天内书面通知供应商索赔。在收到通知后天内，供应商应调查货物短缺、瑕疵和损坏的索赔，并通知经销商结果，如确认存在货物在交付时短缺、瑕疵和损坏，供应商应予以更换。PromptlyuponthereceiptofashipmentofProducts,Distributorshallexaminetheshipmenttodeterminewhetheranyitemoritemsincludedintheshipmentareinshortsupply,defectiveordamaged.Within__________daysofreceiptoftheshipment,DistributorshallnotifySupplierinwritingofanyshortages,defectsordamage,whichDistributorclaimsexistedatthetimeofdelivery.Within______daysafterthereceiptofsuchnotice,Supplierwillinvestigatetheclaimofshortages,defectsordamage,informDistributorofitsfindings,anddelivertoDistributorProductstoreplaceanywhichSupplierdetermines,wereinshortsupply,defectiveordamagedatthetimeofdelivery.13.仲裁Arbitration因凡因本
