责任 安全质量包保责任状安全管理目标责任状8安全事故责任追究制幼儿园安全责任状占有损害赔偿请求权 Ⅲ,theliabilityforbreachofcontract3、受托方未根据协议约定确保质量地完成工作任务，每违约一次按服务协议总额0.05%计算向委托方支付违约金，违约金最多不超出当月服务协议额50%。Ifthetrusteefailuretocompletetherequiredworkthatpursuanttotherequirementofthequalityguaranteeofthiscontract,thetrusteeshallpaytotheentrustingpartyliquidateddamages0.05%ofthecontractvalueforeachbreach,butthetotalliquidateddamagesshallnotexceed50%ofthecontractvalue.四、付款 ：Ⅳ,Paymentterms委托方收到受托方发票并不说明委托方已经向受托方支付了协议全款。双方一致认同，委托方货款支付以抵达受托方指定银行账户为标准。Bothpartiesagreethatthepaymentbyentrustingpartyenterintothedesignatedbankaccountofthetrusteeshallbedeemedaspaymentaccomplished.协议签署生效后30天内，买方向卖方支付协议全款。买方付款前，卖方向买方提供协议全额增值税专用发票，对应税率见附件约定.Within30daysofthiscontractsigned,thebuyerpaytothesellerfullamountofthiscontract.Butbeforethepaymentismade,thesellershallissuetheVATinvoicewithfullamountofthecontractvaluetothebuyer,therelevanttaxrateshallbeexhibitinappendix.五、处理争议Ⅴ,Disputeresolution如推行本协议发生争议，双方应首先协商处理。如协商不成，任何一方均可向委托方所在地人民法院提起诉讼，经过法律程序给予处理。Intheeventofanydisputesarisebythiscontract;suchdisputeshallberesolvedthroughfriendlynegotiation;iffailuretomaketheconsensusofthepartiesthroughnegotiation,eitherpartymaybringsuchdisputetothepeople’scourtwheretheentrustingpartylocated.六、不可抗力、政府行为及免责条款Ⅵ,Forcemajeure,governmentbehaviorandtheexemptionclause1、本协议双方中任何首先临不可抗力事件，包含但不限于火灾、水灾、地震、台风、自然灾难、原厂商原因等过程中可能发生不可预见、不可避免且无法控制情况，致使协议推行拖延或推行不能，受不可抗力影响一方应以书面形式将相关情况立即通知对方，除支付义务外本协议约定推行期限应自动顺延。如前述不可抗力致使协议推行拖延或不能推行情况连续达一百二十日，且双方未能就协议变更达成一致意见，未受不可抗力影响一方可提前一周通知对方后终止协议；Intheeventofanyforcemajeureofeitherpartyhereof,forcemajeurehereinmeansunforeseeable,unavoidableanduncontrollableeventsthatincludingbutwithoutlimitationfire,flood,earthquake,typhoon,actofgod,orautomakers’interruptions,whichmakestheaffectedpartydelaytoperformorfailuretoperformthecontractliabilities;theaffectedpartyshallusewrittennoticetoinformtheotherpartyabouttheforcemajeureevent,exceptotherwisethepaymentobligations,otherperformanceliabilitiesshallbeextendaccordingly.Ifthecontinuousoftheaforesaidcircumstancemakestheperformanceofthiscontractdelayedorunperformedover120colanderdays,andthebothpartiesfailuretomakenewagreement,theunaffectedpartymayupononeweekinadvancewithwrittennoticetoterminatethiscontractwithoutanyotherliabilities.2、因政府颁布法律、法规、行政命令及相关权力机关抽象行政行为原因造成任何一方拖延或不能推行本协议所约定义务，应立即通知对方，协议约定推行期限对应顺延，所以造成对方损失相互不负担违约责任。协议任何一方上级主管单位针对本协议相关项目标具体行政行为造成该方无法推行协议不在免责范围之内。Anydelayorfailureperformancetothiscontractofeitherparty,underthereasonoflaw,regulation,governmentdecreeoranyotherabstractadministrativeacts,whichmakethecontractdelayedorcannotbeperformed;theaffectedpartyshallinformtheotherpartytimely,thecontractperiodshallbedelayedaccordingly;neitherpartywillnotberesponsibleforanylossoftheaforesaidreasons.Nevertheless,anyspecificadministrativeactthatleadtothiscontractcannotbeperformedshalldefinitelynotbeincluded.七、商业秘密Ⅶ,Confidential委托方和受托方全部有义务对在本协议签署、推行过程中知悉另一方商业秘密给予保护，不得向其它任何第三方泄露，本协议项下商业秘密包含双方明示并经过书面形式确定文件或以其它载体存在文件或信息。保密期限将不受本协议期限限制。受托方在推行本协议过程中触及和知晓相关委托方设备、网络情况、业务程序及方法、管理方法制度和专有技术等，不管此种信息形式和目标为何，均为委托方保密信息，未经一方书面同意，另一方不得复制、统计或以其它方法泄露上述信息。Bothparties,knowingtheotherparty’sconfidentialinformationbeforeorduringthiscontractperformance,shallkeepsecretandneverreleasetoanythirdparty;theconfidentialhereofshallmeans,explicitorimplied,anytypeofwrittendocumentoranyotherinformationormessagestoredinanymedia.Thetrustee,duringtheperformanceofthiscontact,withknoworobtainanyinformationaboutequipment,network,businessprocessorstructures,managementsystemsorproprietaryinformationandetc.thatbelongtotheentrustingparty,irrespectiveoftheinformationtypeorpurpose,theconfidentialinformationshallremainbelongstotheentrustingparty,withoutwrittenconsent;thetrusteecannotcopy,recordorreleasebyanyothermethod.八、技术结果归属Ⅷ,Ownershipofthetechnicalachievement1、委托方利用受托方提交技术服务工作结果所完成新技术结果，归委托方全部。Anynewtechnicalachievement,theentrustingpartycreatebyusingtechnicalserviceprovidedbytrustee,shallbeownedbyentrustingparty.2、受托方在服务过程中取得技术结果，包含但不限于新技术、新工艺、新方法、新发明、新发觉等，全部权及知识产权归受托方全部。Thenewtechnicalresultsacquiredduringtheserviceterms,includingbutnotlimitedtonewtechnology,invention,newdiscoveryandetc.,theownershiporintellectualpropertyrightshallalwaysbelongstotheentrustingparty.九、权利瑕疵担保Ⅸ,GuaranteeObligations因实施本协议需要，协议一方提供和本协议相关设备、材料、工序工艺、软件及其它知识产权，应保障对方在使用时不存在权利上瑕疵，不会发生侵犯第三方知识产权等情况。若发生侵害第三方权利情况，提供方应负责和第三方交涉，并负担由此产生全部法律和经济责任。因侵权给协议另一方造成损失应给赔偿。Duringthecontractperiod,anyequipment,material,technicalprocess,software,orotherintellectualpropertythatusedtoperformthiscontractbyoneparty,thepartyshallensure,usingtheaforesaid,willnorightdefectsandwillnotinfringetheintellectualpropertyofanythirdparty.Intheeventoftheinfringement,theprovidingpartyshallbesolelyresponsibleforanyliabilityofboththelegalandeconomical,andshallbeindemnifyforthelossthatcausedtotheotherparty.十、其它事项：Ⅹ,Miscellaneous1、本协议自委托方和受托方加盖双方印章后生效，协议传真件等同原件，有相同法律效力。本协议一式陆份，委托方执叁份，受托方执叁份。未尽事宜，依据《中国协议法》要求处理。Thiscontractshallbeenforceableonlyuponthesignedandsealedbythedulyauthorizedrepresentatives;thefacsimileshallbedeemedastheoriginalandenjoysamelegalforcewiththeoriginal.Thiscontractismadeinsixcopies,eitherofthepartyholdthreecopies.Anypendingmattersinthiscontract,thepartiesheretoshallprocessedinaccordancewith“ContractLawofthePRC”2、本协议推行中，双方经协商一致能够对本协议条款进行变更。该变更必需经过双方协商同意，并由双方授权代 签署书面补充协议和加盖企业印章，作为补充协议，补充协议也是协议一部分，一旦补充协议和原协议正本不一致，以补充协议为准。或委托方和受托方协商确定。Duringtheperformanceofthiscontract,thepartiesheretomayrevisethetermsandconditionshereofthroughfriendlynegotiation.Suchrevisehereofshallbethroughnegotiationandmutualconsensus;thesupplementaryagreementshallonlybesignedandsealedbythedulyauthorizedrepresentativesofthepartieshereto.Suchsupplementaryagreementshallbedeemedasintegralpartyofthiscontract,ifanydiscrepanciesbetweenthecontractandsupplementaryagreement,exceptnegotiatedbyandbetweentheentrustingpartyandtrusteeotherwise,thesupplementaryagreementshallprevail.
