Learning series speech, main understand master following aspects content: (1) ideal faith 第四条 本办法所称国有股是指国有股东持有的上市公司股份。 第五条 本办法所称国有股转持是指股份有限公司首次公开发行股票并上市时，按实际发行股份数量的 10%，将上市公司部分国有股转由全国社会保障基金理事会(以下简称社保基金会)持有。 第二章 转持范围、比例和方式 第六条 股权分置改革新老划断后，凡在境内证券市场首次公开发行股票并上市的含国有股的股份有限公司，除国务院另有规定的，均须按首次公开发行时实际发行股份数量的10%，将股份有限公司部分国有股转由社保基金会持有，国有股东持股数量少于应转持股份数量的，按实际持股数量转持。【持有股份公 司发行前1/30的股份将被转持，不足的就全部充公了】 第七条 股权分置改革新老划断后至本办法颁布前首次公开发行股票并上市的股份有限公司，由经国有资产监督管理机构确认的上市前国有股东承担转持义务。经确认的国有股东在履行转持义务前已发生股份 转让的，须按其承担的转持义务以上缴资金等方式替代转持国有股。 第八条 本办法颁布后首次公开发行股票并上市的股份有限公司，由经国有资产监督管理机构确认的国 有股东承担转持义务。 第九条 混合所有制的国有股东，由该类国有股东的国有出资人按其持股比例乘以该类国有股东应转持的权益额，履行转持义务。具体方式包括:在取得国有股东各出资人或各股东一致意见后，直接转持国有股，并由该国有股东的国有出资人对非国有出资人给予相应补偿;或者由该国有股东的国有出资人以分红或自有资金一次或分次上缴中央金库。【写的不好理解，需要追认到国有股东的各实际控制人吗,】 第十条 对符合直接转持股份条件，但根据国家相关规定需要保持国有控股地位的，经国有资产监督管理机构批准，允许国有股东在确保资金及时、足额上缴中央金库情况下，采取包括但不限于以分红或自有 资金等方式履行转持义务。 第三章 转持程序 the Communist Party of China, and a deep understanding of the party's nature, purpose, guiding principles, goals, organization, good style, deeply understand the conditions, rights and obligations of members, code of conduct, bearing in mind that oath, clear Members of the standards and conditions, enhance respect, abide by the Constitution, maintaining the party Constitution consciousness of the party Constitution. Learning series speech, main understand master following aspects content: (1) ideal faith 第十一条 股权分置改革新老划断后至本办法颁布前首次公开发行股票并上市的股份有限公司的转持 程序: 1、国有资产监督管理机构根据现有资料对转持公司中的国有股东身份和转持股份数量进行初步核定，并由财政部、国务院国资委、中国证券监督管理委员会(以下简称证监会)和社保基金会将上市公司名称、 国有股东名称及应转持股份数量等内容向社会联合公告。应转持股份自公告之日起予以冻结。 2、国有股东对转持公告如有疑义，应在公告发布后30个工作日内向国有资产监督管理机构反馈意见， 由国有资产监督管理机构予以重新核定。 3、对于以转持股份形式履行转持义务的，国有资产监督管理机构向中国证券登记结算有限责任公司(以下简称中国结算公司)下达国有股转持通知，并抄送社保基金会。中国结算公司在收到国有股转持通知后15 个工作日内，将各国有股东应转持股份，变更登记到社保基金会转持股票账户。 对于以上缴资金方式履行转持义务的，国有股东应及时足额就地上缴中央金库，凭一般缴款书(复印件) 到中国结算公司办理股份解冻手续。 4、国有股东在国有股转持程序完成后30个工作日内，应将转持股份情况，或以其他方式履行转持义务情况以及一般缴款书(复印件)等有关文件报国有资产监督管理机构备案，并抄送财政部和社保基金会。 第十二条 本办法颁布后首次公开发行股票并上市的股份有限公司的转持程序: 1、首次公开发行股票并上市的股份有限公司的第一大国有股东向国有资产监督管理机构申请确认国有股东身份和转持股份数量。国有资产监督管理机构确认后，出具国有股转持批复，并抄送社保基金会和中国结算公司。国有股转持批复应要求国有股东向社保基金会作出转持承诺，并载明各国有股东转持股份数量或上缴资金数量等内容。该批复应作为股份有限公司申请首次公开发行股票并上市的必备文件。 2、对于以转持股份形式履行转持义务的，中国结算公司在收到国有股转持批复后、首次公开发行股票上市前，将各国有股东应转持股份，变更登记到社保基金会转持股票账户。对于以上缴资金方式履行转持 义务的，国有股东须按国有股转持批复的要求，及时足额就地上缴到中央金库。 the Communist Party of China, and a deep understanding of the party's nature, purpose, guiding principles, goals, organization, good style, deeply understand the conditions, rights and obligations of members, code of conduct, bearing in mind that oath, clear Members of the standards and conditions, enhance respect, abide by the Constitution, maintaining the party Constitution consciousness of the party Constitution. Learning series speech, main understand master following aspects content: (1) ideal faith 3、国有股东在国有股转持工作完成后30个工作日内将转持股份情况，或以其他方式履行转持义务情况以及一般缴款书(复印件)等有关文件报国有资产监督管理机构备案，并抄送财政部和社保基金会。 第四章 转持股份的管理和处置 第十三条 转由社保基金会持有的境内上市公司国有股，社保基金会承继原国有股东的禁售期义务。对股权分置改革新老划断至本办法颁布前首次公开发行股票并上市的股份有限公司转持的股份，社保基金会 在承继原国有股东的法定和自愿承诺禁售期基础上，再将禁售期延长三年。 第十四条 社保基金会转持国有股后，享有转持股份的收益权和处置权，不干预上市公司日常经营管理。 第十五条 国有股转持给社保基金会和资金上缴中央金库后，相关国有单位核减国有权益，依次冲减未分配利润、盈余公积金、资本公积金和实收资本，并做好相应国有资产产权变动登记工作。对于转持股份，社保基金以发行价入账，并纳入基金总资产统一核算。对国有股东替代转持上缴中央金库的资金，财政部 应及时拨入社保基金账户。 第十六条 财政部负责对转持国有股充实全国社保基金的财务管理实施监管。财政部可委托专业中介机 构定期对社保基金会转持国有股的运营情况进行审计。 第十七条 社保基金会应设立专门账户用于接收转持股份，按本办法转持国有股以及转持股份在社保基 金各账户之间转账，免征过户费。 第十八条 国有股转持过程中涉及的信息披露事项，由相关方依照有关法律法规处理。 第五章 附则 第十九条 本办法由财政部商有关部门负责解释。 第二十条 境外上市公司减转持工作仍按现有相关规定执行。 the Communist Party of China, and a deep understanding of the party's nature, purpose, guiding principles, goals, organization, good style, deeply understand the conditions, rights and obligations of members, code of conduct, bearing in mind that oath, clear Members of the standards and conditions, enhance respect, abide by the Constitution, maintaining the party Constitution consciousness of the party Constitution.
