ContractNo.：协议编号：ThisAgreementismadeon__________,200_(the“EffectiveDate”)byandbetween:,acompanydulyincorporatedunderthelawsofthePepole’sRepublicofChina,withitsprincipalofficeat,Guangdong,China,(hereinafterreferredtoas“Supplier”)and_____,acompanydulyincorporatedunderthelawsof____,withitsprincipalofficeat_________________________(hereinafterreferredtoas“Distributor”).本协议于200年月日签署并生效，协议双方为：甲方：，一家依据中国法律设置存续企业，关键营业地址在（以下称为“供货商”）；乙方：：，一家依据法律设置存续企业，关键营业地址在（以下称为“经销商”）。WHEREAS,Supplierisinthebusinessofdesigning,developing,manufacturing,marketingandsellingLEDlightingproducts(“Products”).SupplierwishestoengageandselltoDistributor,andDistributoragreestotheengagementandtopurchasefromSupplierandpromote,marketandsellProductsintheterritoryspecifiedherein.鉴于，甲方为一家集LED照明产品研发、 设计 领导形象设计圆作业设计ao工艺污水处理厂设计附属工程施工组织设计清扫机器人结构设计 、生产制及销售于一体企业，且期望和乙方建立合作关系并销售产品予乙方，同时乙方同意和甲方建立合作关系并从甲方购置产品在本协议所指定区域内开展销售、推广业务活动。NOWTHEREFORE,inconsiderationofthemutualcovenantsandpremises,SupplierandDistributoragreeasfollows:所以，甲乙双方经协商达成以下条款约定：Article1.Distributorship经销合作关系SupplierherebyappointsDistributorasanon-exclusivedistributorofProducts(asfurthersetforthinExhibitA)underthetrademarkof“”intheterritoryof(“Territory”)toselltheProductstoitscustomers,subjecttoalldutiesofdistributorshipreasonablyimposedbySupplier,andDistributorherebyacceptssuchengagementandagreestobeboundbyallsuchdutiesincludingwithoutlimitationthedutiesherein.甲方在此授权乙方作为其“”商标产品（如附件一所表示）在区域内非独家经销商，在授权区域内开展产品销售，并在经销商责任范围内应由其负担全部责任，乙方同意接收甲方授权并受愿意受本协议约定及其它应由其负担义务、责任约束。Distributorshall,doitsefforts,achievethesalesvolumeasdollars.IfDistributorfailstoaccomplishseventypercent(70%)ofthesalesvolume,SupplierhastherighttocancelDistributor’squalificationandterminatethisagreement.乙方承诺将尽其最大努力在双方合作期内实现美元经销目标。若乙方完成产品销售量未能达成经销目标约定70%，甲方将有权取消乙方经销商资格并终止本协议。SuppliershallsupplyProductstoDistributorexclusively.Distributorshallnot,withoutSupplierwrittenconsent,duringtheperiodhereinandforfive(5)yearsthereafter,purchaseProductsfromanythirdparty.乙方只能选择甲方作为经销产品独家供货方。未经甲方事先书面同意，在双方合作期间及合作终止后五年内，乙方不得再行选择向其它任何第三方购置经销产品。TheTermofthisAgreementshallbeforone(1)yearfromtheEffectiveDatehereofandshallberenewedautomaticallyforone-yeartermsthereafterunlessterminatedinaccordancewiththetermshereinorwithawrittennoticeofnon-renewalbyonepartytotheotherthirty(30)dayspriortoagiventerm.Thenoticemustbemadebycertifiedmails.本协议项下双方合作期限自协议签署生效之日起为期一年。若未出现本协议约定能够提前终止或解除情形，或一方未在合作期限届满前以书面形式通知对方不再续约，则本协议于期限届满后自动续约一年。Article2.DutiesofDistributor乙方责任2.1DuringtheTermhereof,Distributorshall:(Ⅰ)exercisebesteffortstopromote,marketandselltheProductsintheTerritoryinaneffectivemannerandtomaintainandpromotethegoodwillofSupplieranditsProducts,(Ⅱ)activelyparticipateinanyandallmarketingactivitiesandpromotionsinitiatedand/orsponsoredbySuppliersubjecttoSupplier’sguidelines,(Ⅲ)maintaincompetentandaggressivesalesandtechnicalpersonneltoprovideforappropriatedemonstrationandsupportoftheProductsincludingwithoutlimitation,effectiveandtimelyresponsetoinquiriesfromthecustomersregardingtheProductscare,use,applicationandrelatedservice,(Ⅳ)providetoSupplierweeklyinventoryoftheProducts,monthlypoint-of-salesreportandquarterlysalesanalysisreports.DistributorwillfurnishsuchreportstoSupplieraccordingtothefollowingschedule:monthlyreportswithinfive(5)daysaftertheendofthemonth,andquarterlyreportswithinten(10)daysaftertheendofthecalendarquarter.AllreportsshallcomprisethequantitiesofanyandallProductssoldbyProducttypeincludingmodel,number,customernameandaddress,andsuchotherinformationpertainingtoDistributor’ssaleanddistributionhereunder,(Ⅴ)Distributoragreesthatitshallkeep,fortheminimumoftwo(2)years,customers’recordsandbooksofaccountsrelatingtoitsperformancehereof.Suppliermayinspect,atitsownexpenses,thedocumentsforDistributor’scompliancewiththisAgreementand/ordutiesotherwiseimposedbySupplierormutuallyagreed.(Ⅵ)WithoutSupplier’swrittenpermission,DistributoranditsagentsshallnotsellProductsinortootherterritorynotspecifiedherein,(VII)notpromote,marketandsellanyproductsincompetitionwithProducts.在本协议合作期内，乙方应:尽最大努力采取主动有效方法在授权区域内开展甲方产品销售推广、市场拓展活动，以扩大甲方企业及其产品在该区域良好声誉；依甲方指导标准要求，主动参与由甲方组织或赞助多种产品宣传推介或促销活动；乙方应配置充足有效地专职销售及技术人员提供合适产品展示和技术支持，包含但不限于立即有效反馈处理用户提出相关产品保养、使用、操作应用等方面要求及相关服务；乙方应向甲方提供周产品库存汇报、月销售报表及季度销售估计报表。乙方应依据以下时间表提交前述汇报：月度汇报应在当月结束后五日内提交；季度汇报应在每三个月结束后十日内提交。全部汇报应包含已销售产品数量、规格型号、用户名称、联络地址和和乙方销售活动或本协议相关其它内容等；乙方承诺对产品用户资料或本协议相关文件等最少保留两年，甲方有权自担费用对乙方推行本协议约定及其责任情况进行检验。除此之外其它费用由乙方负担或双方另行协商约定；未经甲方事先书面同意，乙方及其代理机构不得在本协议所授权区域外销售产品；合作期内，乙方不得销售、推广、拓展和甲方产品存在竞争关系其它任何产品。Article3:Price产品价格ProductspricemutuallyagreedattheinitialproductionofagivenProductshallremainfixedandcanbeadjustedsolelybySupplieraccordingtothemarketchange(onlyintheeventfluctuationexceeds5%).ThenewpriceshalltakeeffectontheProductyettodeliver.双方应在最初生产某一批产品基础上共同约定产品价格并给予确定，且只能由甲方依据市场改变调整产品价格（只有当价格波动超出5%时）新产品价格于甲方通知后生效实施。TheProductspriceshallincludecostsrelatedtotheProductsincludingwithoutlimitation,packaging,storage,forwardingagentandbrokeragefees.TheProductspriceshallbenetofanytaxes,dutiesandexcises,whichshallbebornewithDistributor.产品价格应包含包装、仓储、货运代理、经纪费等和产品相关各项成本，不包含应由乙方负担任何税费、税收。SupplieragreestoprovideDistributorcompetitiveProductsprice.DistributorshallissueordersonProductsforSupplier’sacceptanceattheProductspricethenineffect,providedthatSuppliershallnotbeobligatedtoacceptanyordersorsellanyProductstoDistributorifDistributorhasyettohonoritspaymentunderanyoutstandinginvoices.甲方同意为乙方提供含有竞争性产品价格，乙方采购订单产品价格需在甲方可接收价格范围内方有效。假如乙方未还未推行任何付款义务，甲方没有义务接收乙方下达采购订单或向乙方销售产品。Article4:ForecastandPurchaseOrder需求预估及采购订单下达DistributorshallprovidetoSupplier,byfaxore-mail,nextmonthrollingforecastattheturnofeachcalendarmonthonandbefore10th.Suppliershallconfirmtheforecastbeforethe15thofeachmouth.IntheeventSupplier’scapabilitycannotmeetDistributor’srequest,bothpartiesshalldiscussandconfirmtheproductionquantityofnextmonthonandbeforethe20th.乙方应以传真或电子邮件方法于每一日历月十日前滚动向甲方提供下月生产预估量划，甲方于每个月十五日前对 计划 项目进度计划表范例计划下载计划下载计划下载课程教学计划下载 进行确定。若甲方产能无法满足乙方要求，则双方应于每个月二十日前商讨并确定产品下月生产量。Basedontheforecastconfirmedbybothparties,Distributorwilldeliverofficialpurchaseorder(“PO”)forProductsonandbefore25thofeachmonth.Distributorshallpurchasetheminimumof__________unitsofeachProductunderagivenPO.在双方已确定需求预估量划范围内，乙方将在每个月二十五日前向甲方下达正式茶品采购订单，乙方于每一采购订单中所采购每一个类产品最少应达成件。DistributorshallspecifyinPOProducts,quantity,price,deliverydate,partnumberandsuchotherinformationasthepartiesmayagreefromtimetotime.DistributorcandelivertoSupplierthePObymail,facsimileoranyotherelectronicmeansasmutuallyagreed.乙方在采购订单中应明确产品数量、价格、交货时间、配件数量和由双方协商同意其它信息。乙方应经过邮件、传真或双方同意其它电子数据传送方法向甲方下达采购订单。ThePOshallnotbebindingonSupplierunlessitisacceptedbyawrittenconfirmationtoDistributorordeliveryoftheProductsontheDeliveryDate.SupplierwillacceptanyPOthatmateriallyconformtothetermshereof.NoadditionalordifferenttermsorconditionsproposedbyDistributorinthePOshallapplyunlessagreedtobySupplierinwriting.ThePOshallnotbecancelledoramendedbyDistributorexceptinadocumentsignedbybothparties.非经甲方书面确定接收或以其行为表明已依订单要求着手准备产品生产交货前，采购订单对甲方不含有约束力，甲方将接收任何和本协议内容实质上一致采购订单。乙方提出附加或不一样条件或要求在甲方书面同意接收前不发生法律效力。采购订单一经甲方确定，乙方不得随意取消或修改，除非双方协商同意并签署书面协议。SuppliershallprovideassistancewhenDistributorrequirestomodifyorreplacetheoriginaldesign(excepttheconfirmedPO),providedthatanycostsandexpensesoccursshallbebornebyDistributor.于乙方要求变更或修改产品原始设计（采购订单已确定除外），甲方可提供配合帮助，但由此所产生额外费用及成本应由乙方负担。Article5:QualityControl质量控制ProductsmanufacturedbySuppliershallmeettherequirementsofsafetyandinspectionstandardsasbothpartiesconfirmed.Thetechnologyrequirements,qualitystandards,inspectionitemsandrulesofProductsshallconformtotheinspectionstandardshereof.甲方生产产品质量应符合双方已确定产品安全及检验标准要求。产品技术要求、质量标准、检验项目及检验规则根据双方审核确定检验标准实施。AnykindsofproductsinspectedandqualifiedbytheauthoritativetestingagencywillbesealedbybothpartiesandbekeptbySupplierforacceptance.Productsqualitywillbesyntheticallyjudgedinaccordancewithnationalstandards,industrialstandardsorenterprisestandardsofSupplier.乙方提供多种型号产品经双方共同认可权威检测机构检测合格后，将由双方封存样品交予甲方保留。若双方对产品质量发生争议时，则以国家标准、行业标准及甲方企业标准进行综合分析判定。IfDistributorsubmitsproductsamplestoperformrelatedtestandcertification,allcostsandchargesoccurthereofshallbebornebyDistributor.Distributorshall,byappropriateway,informthetestingorcertificationagencythattheproductsareresearched,developed,designed,manufacturedandprovidedbySupplier,whichshallbeshowedclearlyintheidentificationresults.Theidentificationresultscanbesolelyusedtocarryoutforpurposeofthisagreement.若乙方需要提供样品进行相关检测或认证，所以所发生全部费用和成本由乙方负担。同时，乙方应经过合适方法通知检测或认证机构并在检测或认证结果中明确表明：该产品是系甲方负责研究、开发、设计、生产提供。但该检测或认证结果仅能为实现本协议目标使用。DistributorshallimburseSupplierallcostsandchargeswhichshallbebornewithSuppliercausedintheprocessofproductqualitycontrolundertookbyDistributor,includingbutnotlimitedassample,experiment,factoryinspection,transportation,testingandcertification,imbursementshallbemadebyDistributorwithinonemonthaftertheprocesscarriedout.乙方应赔偿甲方在产品质量控制过程中已支出全部各项费用和成本，包含但不限于样品价款、型式试验费、巡厂评审费、流转、检测认证费等，乙方应于前述费用发生当月即向甲方结算支付完成。Suppliershallrepairthenon-conformedProductsdiscoveredinthecourseofinspectionandre-submitwhichtoberecheckedandfinalacceptedbyDistributor.甲方应对验收过程中发觉不合格进行维修，并重新提交产品经乙方验收认可合格方可。Article6:Delivery产品交付SupplierwilldelivertheProductsinaccordancewiththecorrespondingPOtotheplacedesignatedbyDistributor(onlywithinShenzhen,China).甲方将产品在对应采购订单上所指定交货地点（仅限于深圳市）交付予乙方。ByDistributor’srequest,SuppliershalldelivertheProductsCIF(Inconterm),providedthatallcostsandchargesforCIFshallbeundertookbyDistributorincludingbutnotlimitedtransport,insurance,taxes,tariff,warehousing,loadingandunloadingexpenses,exportorimportexpensesetc.若乙方要求，甲方能够CIF交付方法向乙方交付产品，但采取该交付方法过程中所需要全部各项费用（包含但不限于运输费用、保险费、税费、关税、仓储费、装卸费、进出口税等）概由乙方负担。RiskoflossoftheProductsshallpassfromSuppliertoDistributorwhendelivered.DistributorshallberesponsibleforallinsuranceandlossanddamagetotheProductintransit.ThecarriershallbeconsideredasanagentofDistributor.DistributororDistributor’sdesignatedconsigneeorcarriershouldsigntheproductsreceipt(originaldocument)andacceptancedocumentstoSupplieronthesameday.BillofladingshallconstitutetheconclusiveevidenceofSupplier’sdeliveryoftheProducts.产品毁损灭失风险自甲方完成产品交付时起即转移予乙方。乙方应负担在运输过程中出现产品风险、损毁及保险损失，产品承运人为乙方代理人。乙方或乙方指定收货人、承运人应在收货当日向甲方签署收货凭证（原件）及出具验收文件。签发提单即证实甲方已完成产品交付。IfDistributorordesignatedconsigneerefusestoconfirmorinspectproductstimelywithoutanyreasonablereason,thepaymentobligationsofDistributorwillnotbeexempted,atthesametimeDistributoralsoshallbeartheriskandresponsibilityofproductsemergedthereafter.若乙方或其指定收货人无正当理由不立即接收产品或收货后不立即完成验收，并不所以免去乙方支付产品价款义务，且由此所产生风险和责任均由乙方负担。SupplierwillusereasonableeffortstomeettheDeliveryDate,butSupplierreservestherighttorefuse,cancelorpostponeanyshipmenttoBuyerifandwhen(i)Distributorfailstomakeanypaymentdue;(ii)Distributorbecomesinsolvent,makeanyassignmentforthebenefitofcreditors,makeanytransfertoanyreceiverorliquidatorforthebenefitofcreditorsorisfilinganinvoluntarypetitioninbankruptcy;or(iii)Distributorfailstoperformitsobligationshereunder.甲方将采取合理方法满足约定产品交货时间，但若乙方出现以下情形之一：乙方拖延支付产品价款；乙方企业已破产，放弃、转让任何债权利益， 申请 关于撤销行政处分的申请关于工程延期监理费的申请报告关于减免管理费的申请关于减租申请书的范文关于解除警告处分的申请 破产或乙方为推行本协议项下其应负义务，甲方保留拒绝、取消或拖延交付产品权利。Article7:Payment款项支付Distributorshall,whendeliversPO,makethirtypercent(30%)paymentasthedeposit.Theremainingseventypercent(70%)paymentshallbemadebeforethedeliverydatedeterminedbybothparties.乙方应在下达采购订单时支付30%产品总价作为定金，剩下70%产品总价在双方确定交货日期前给予支付完成。Allpaymentsshallbemadeindollars.IfDistributorfailstomakeanypaymentdue,Supplierisentitledtoalatepaymentchargeat_____%ofthedelayedpaymentperday.Supplierisfurtherentitledtoallcostsincurredincollectionincludingwithoutlimitation,attorneys’feesandcourtcosts.全部产品价款应以美元支付。若乙方未按约定立即付款而出现拖延，每逾期一天，甲方有权要求乙方支付未付款金额%违约金，同时甲方有权乙方赔偿所以所受之全部损失，包含但不限于律师费、诉讼费等。Article8：Warranty质量确保责任SupplierrepresentsandwarrantsthatallProductsshall(i)conformtotheSpecifications(assetforthinpurchaseorder),and(ii)befreefromanydefectsinmaterialandworkmanship,thewholelightsandpowerswarrantforthree(3)years,lightsourceswarrantforfive(5)yearsafterDistributor’sreceiptoftheProducts.Supplierwillreplace,rework,orrefundthedefectiveornon-conformingProducts;providedthatDistributorpromptlyinformsSupplierofthedefectsornon-conformitywithinwarrantyperiod.甲方在此承诺并确保，其交付产品质量符合采购订单所提出规格型号等要求；不存在任何设计或材质上瑕疵。自产品交付之日起，甲方为整灯及电源部分提供三年，光源部分提供五年保修服务。保修期内若出现产品质量问 ，甲方将在乙方通知后立即给予更换、维修或重作不合格产品。Exceptasexpresslysetforthherein,allwarranties,expressedorimplied,includingwarrantiesofmerchantabilityorfitnessforaparticularpurpose,areherebydisclaimed.Suppliershallnotbeliableforanyindirectorconsequentialdamages.除本协议有明确约定外，甲方不对相关产品适销性或特定目标负担任何明示或暗示确保责任；且甲方不负担任何间接、偶然损失负担赔偿责任。Article9：IntellectualPropertyandConfidentiality知识产权和保密责任Distributoracknowledgesthatallright,titleandinterestinandtocertainintellectualproperty,includingwithoutlimitationallSuppliertrademarks,tradenames,servicemarks,tradedressorotherdesignation,copyrights,tradesecrets,patents,advertisingmaterialandallgoodwill,ifany,ineachcase,whetherpresentlyexistingorlaterdevelopedbySupplier,(collectively"SupplierIntellectualPropertyRights"),andalldocumentationrelatingthereto,shallremainthesolepropertyofSupplier.NothinghereinshallgiveDistributortoanyright,titleorinterestinandtoanySupplierIntellectualPropertyRightsexceptasprovidedbelownorprejudiceorimpairtheinterestofSupplierinsuchrights.InnoeventshallDistributorchallengeorassistotherstochallengeanyoftheSupplierIntellectualPropertyRightsortheregistrationthereoforattempttoregisteranytrademark,tradenameoranyothermarkconfusinglysimilartoanyoftheSupplierIntellectualPropertyRights.IntheeventthatDistributorisinneedoftheSupplierintellectualproperties,DistributorshallgetthewrittenconsentofSupplierandpayrelativelicensefee.乙方认可隶属于本协议项下及产品全部知识产权（包含但不限于甲方现在或未来拥有商标、企业名称、服务标识、版权、商业秘密、专利、广告资料和声誉权，以下简称“甲方知识产权权利”）及和此相关全部文件资料所附随其它权利完全归属于甲方全部。双方之间合作并不所以组成甲方对乙方有任何权利、利益、全部权或知识产权方面授权或许可，乙方应该维护甲方作为权利人正当权利。在任何情况下，乙方不得出现侵犯或帮助其它人侵犯甲方知识产权，或申请和甲方知识产权权利相同注册商标、企业名称、商号或其它标志情形。乙方如需实施甲方知识产权，应经甲方书面同意并支付相关许可费用。IfapprovedinadvanceandinwritingbySupplier,DistributormayuseadvertisingormarketingmaterialspreparedbySupplierforthesolepurposeofcarryoutitsobligationsunderthisAgreement.DistributormayusesuchadvertisingmaterialsonlyuponthetermsandconditionsstatedbySupplierfromtimetotime,provided,however,thatDistributormaynotmodifyoramendanysuchadvertisingmaterials.DistributorshallnotpublishordisseminateanypromotionmaterialstoanythirdpartywithoutSupplier’spriorwrittenapproval.经甲方事先书面同意，乙方能够且只能将甲方提供广告或宣传材料用于实现本协议目标及推行其应负责任；乙方亦应根据甲方随时提出要求使用广告或宣传材料，乙方无权对甲方广告或宣传材料做任何修改变更。未经甲方事先书面同意，乙方不得将甲方广告或宣传材料向任何第三方公布、传输。DistributoracknowledgesandagreesthatdocumentationandothermaterialsandinformationreceivedfromSuppliercontainingconfidentialinformationandtradesecretsofSupplierorofSupplier’scustomer(allreferredtoas“ProprietaryInformation”)areownedbyandproprietarytoSupplierandembodyvaluablecopyrightsandtradesecrets.DistributorshallholdintrustandconfidenceforSupplieranduseduecareinprotectingfromdisclosuretoanyotherpersonsallProprietaryInformation.DistributorshallusetheProprietaryInformationonlyforthepurposecontemplatedbythisAgreementandundertakesnottodisclose,directlyorindirectly,toanythirdpartysuchProprietaryInformationotherthanasrequiredtocarryoutthepurposesoftheAgreement.Inaddition,DistributorshallmaintainadequateinternalproceduresincludingappropriatebindingagreementswithitsemployeestoprotecttheProprietaryInformationfromunauthorizeddisclosureoruse.乙方承诺并同意，对由甲方提供或知悉包含有甲方商业信息、商业秘密或用户信息（以下简称“专有信息”）在内多种文件资料由完全拥有甲方全部权，并有版权和商业秘密权。乙方应以善良管理人之注意义务保管、使用甲方商业秘密，以免其它任何人知悉商业秘密。乙方仅能够将甲方商业秘密用于实现本协议内容目标，不得私自向任何第三人直接或间接披露，乙方也应采取合适内部保密程序，包含签署保密协议，以确保其职员保护甲方商业秘密不得私自揭露或使用。NotwithstandinganyotherprovisionofthisAgreement,Distributor’sobligationsrespectingnon-useandnon-disclosureoftheProprietaryInformationshallsurviveterminationandshallremainineffectforaperiodoffive(5)yearsfollowingsuchtermination.不管本协议中是否有其它约定，乙方应在双方合作期间及双方合作终止后五年内对甲方商业秘密负担保密责任，不得私自使用或披露。Article10：BreachandIndemnity违约赔偿责任DistributorherebyagreestodefendandholdharmlessSupplierfromandagainstanyandallclaims,causesofaction,andliabilitiesarisingoutofDistributor’sbreachhereof.Intheeventofnon-compliancewiththisAgreement,SupplierhastherighttodamagesandremediesunderthisAgreement,atlawandequity.乙方在此承诺，确保甲方免受侵害并全部负担因其违反本协议约定所引发任何索赔、诉讼或法律责任。一旦乙方出现违约行为，甲方有权主张损害赔偿并依据本协议约定经过法律路径采取补救方法。Distributorshall,ifarbitrarilyrescindtheAgreement,beliablefortheliquidateddamagetoSupplieratUSD_______,andshallbeliableforthelossescausedtoSupplier,includingbutnotlimitedtothecostofpurchasedmaterial,processingfee,workingtimelossandtheliquidateddamagetothethirdparty.SupplierreservedtherighttoclaimcompensationforconsequentiallosstoDistributor.若乙方私自解除本协议，乙方应向甲方支付美元作为违约金，并应赔偿甲方所以所遭受损失，包含但不限于包含但不限于已购进材料费、加工费、误工费、和对第三方违约赔偿，且甲方保留向乙方主张间接损失权利。Duringtheperformanceoftheagreement,Distributorfailstoperformanyoneoftheclause1.3,2,7and9herein,DistributorshallpaySuppliertheliquidateddamagesatUSD_______.在本协议推行过程中，若甲方若出现任何违反本协议第1.3条、第5条、第7条及第9条任一条约定情形，乙方应该向甲方支付美元违约金。Article11：Termination协议终止Eitherpartyhastheright,inadditionandwithoutprejudicetoanyotherrightsorremedies,toterminatethisAgreementasfollows:(i)Byeitherpartyforconveniencewithathirty(30)-daywrittennoticetotheotherparty,or(ii)ByeitherpartyforbreachofthisAgreementthatisnotcuredbythedefaultingpartywithinten(10)daysofnoticeforcure.在不损害任何其它人权利或采取补救方法情况下，出现以下约定情况时，任一方有权提前终止或解除本协议：11.1.1一方提前30天书面通知对方
