中英文对照［作者：中国法律英语网转贴自：中国法律英语网点击数：448更新时间：2006-01-10文章录入：admin］会员服务协议AGREEMENT根据中华人民共和国合同法及相关法律法规规定，北京$$$有限公司（以下简称“本公司”）及会员根据本协议所列条文，以及同意此协议受法律所约束的情况下，一致达成如下协议﹕Beijing$$$Co.,Ltd.(“theCompany”)andtheMember,intendingtobelegallybound,andinconsiderationofthemutualpromisesandcovenantscontainedherein,agreeasfollows:1.服务Service本协议所指的服务，是指本公司将自己所有或第三方合法所有并授权的法律资料置于互联网上，会员通过账号及密码登录本公司网站数据库，按照《会员章程》及《订阅 格》所列的权限查询各类资料。The“Service”hereinreferredto,isthesearchandretrievalservicethroughwhichthemembercanreadontheInternettheCompany’sownlegalinformationorlegalinformationlegallyobtainedfromthirdparties.TherighttoaccesstotheServiceisthroughasetofloginnameandpasswordprovidedbytheCompanytotheMember.2.适用Application2.1本公司有绝对酌情权拒绝任何会员申请而无须提供理由；TheCompanymayinitsabsolutediscretionreservetherightstorejectanyapplicationtoregisterasaMember,withouttheneedtogiveanyreason.2.2在本公司在接受订阅者的申请及在订阅者遵守本协议规定的情况下，订阅者即成为会员。本公司向会员提供服务并保证持续更新所提供的信息。UpontheapplicationacceptedbytheCompanyandthesubscriber’scomplianceofthisAgreement,thesubscriberbecomesaMember.TheCompanyagreestoprovidetheServicetotheMemberandwarrantstocontinuouslyupdatetheinformationprovidedintheService.2.3订阅者在订阅服务时，保证BysubscribingtotheService,thesubscriberwarrantsthat:其所提供的资料为完整，最新及正确无误；allinformationprovidedbythesubscriberisaccurate,completeandcurrent;本协议一经签署，即具法律效力并同意受其约束；theAgreement,whenconcluded,constituteslegalobligationsthatarebindingandenforceable;所签署协议的人士已得必要的授权。theSubscriberhasobtainednecessaryauthorizationtosigntheAgreement.3.费用的计算与支付PriceandPaymentTerms3.1会员同意根据《订阅表格》注明的订阅年期向本公司缴付订阅费用；TheMemberagreestopaytheamountofsubscriptionfeesforthefixedtermofserviceaslistedintheSubscriptionFormtotheCompany.3.2透过支付订阅费用，会员按《会员章程》内所载的权限享用服务；Bypayingthesubscriptionfees,theMemberenjoystherightsandissubjectedtothelimitationlistedintheTerms&Conditions.3.3本公司在收到已签署的协议和汇款凭证后，在一个工作日内为会员设置好账号。若会员在提交的资料中未付汇款凭证,则须在收到账号的5个工作日内以《订阅表格》内所载的方式，缴清表内所列款项；UponreceivingthesignedAgreement,thecompanyshallsendtheloginaccountIDandpasswordtothememberwithinaworkingday.Ifthereisnotadvancepayment,themembershallpaythefundswithin5workingdaysafterreceivingtheloginaccountIDandpasswordbyanyoftheprescribedmethodsassetintheSubscriptionForm.3.4除根据3.2所享有的服务外，会员同意根据本公司在会员使用期间所订定的价格向本公司支付其它透过所持账号及密码而获取的服务的费用。OtherthantherightsenjoyedbytheMemberunder3.2,theMemberagreestopayallchargesincurredbytheuseofloginnameandpasswordprovidedbytheCompanyattheratesandinaccordancewiththeCompany’sbillingpoliciesineffectduringeachperiodinwhichthechargesareincurred.4.责任限制Disclaimers4.1会员完全理解并同意自行承担使用网络服务的风险。TheMemberfullyunderstandsandagreesthattheuseoftheServiceisattheSubscriber’sownrisk.4.2由于网络服务提供商的服务故障，造成本公司暂时不能正常通过互联网发布信息，本公司不为此承担责任，但有义务与网络服务提供商交涉，以尽快解决该问题。TheCompanyisnotresponsibleforanyinterruptionofServiceduetoproblemsoccurredontheInternetplatformoranyotherreasonsthatcannotbecontrolledbytheCompany.TheCompanyshallmakeefforttoliaisewithitsInternetServiceProviderinordertorestoretheServiceassoonaspossible.4.3由于政府有权部门或司法机构的命令，造成本公司不能通过互联网正常提供检索服务的，本公司不为此承担责任，但本公司应归还已收取的未履行期间的服务费用。TheCompanywillnotberesponsiblefortheinterruptionofServiceowingtoordersofgovernmentauthoritiesorjudicialbodies.TheCompanyagreestorefundthepaidfeesproratatotheremainingsubscriptionperiod.4.4由于本公司除维护服务器、添加资料等事项外的其它原因造成信息检索服务中断，本公司将双倍补偿会员中断的时间。如会员原因造成本公司无法正常提供服务，会员应承担相应责任。Otherthaninterruptionsarisingfromthemaintenanceofserverorregularupdate,theCompanyagreestocompensatetheSubscriberinanamountoftimeequaltotwiceasthetimelostattributabletothefaultoftheCompany.Accordingly,theSubscriberagreestocompensatetheCompanyanylossattributabletothefaultoftheSubscriber.4.5除本第4.2,4.3及4.4条规定的补偿或赔偿外，双方一致同意：本违约规定所述其它任何赔偿应限于因已方违约而给对方造成的直接经济损失，并不包括间接损失（此间接损失包括但不仅限于营业收入或利润损失、技术或经营权利的丧失、业务丧失等），也不包括惩罚性的赔偿。TheCompanyandtheSubscriberagreethatallclaims,exceptstatedin3.2,3.3,and3.4above,shallbelimitedtodirectdamagesduetothebreachofthisAgreement.Innoeventshalleitherpartybeliabletotheotherforanypenalty,consequential,indirect,specialorincidentaldamagesincluding,butnotlimitedto,lossofprofitorlossoftechnologyoroperationrightsorlossofbusinessrights.5.违约规定Termination任何一方违反本协议的任何条款，不承担或不及时、充分地承担本协议项下其应承担的义务构成违约行为，守约的一方有权以 违约的一方纠正其违约行为并采取充分、有效、及时地措施消除违约后果并赔偿守约方因违约方的违约行为而遭致的损失。EitherpartyofthisAgreementmayservenoticetotheothersidethatisinbreachofwholeorpartofthisAgreementandmayrequirethepartyinbreachtotakeimmediateactiontoredeemitsresponsibilitiesundertheAgreementandtominimizetheimpactofthebreach.Thepartyinbreachshallbeliableforanyclaimsfordamagesmadebytheotherside.6.不可抗力ForceMajeure遭受不可抗力事件的一方可暂行中止履行本协议项下的义务直至不可抗力事件的影响消除为止，并且无需为此而承担违约责任；但应尽最大努力减轻该事件负面影响。Neitherpartywillbeliablefor,orwillbeconsideredtobeinbreachofordefaultunderthisAgreementonaccountof,anydelayorfailuretoperformasrequiredbythisAgreementasaresultofanycausesorconditionsthatarebeyondsuchparty'sreasonablecontrolandthatsuchpartyisunabletoovercomethroughtheexerciseofcommerciallyreasonablediligence.Ifanyforcemajeureeventoccurs,theaffectedpartywillusecommerciallyreasonableeffortstominimizetheimpactoftheevent.7.保密条款Confidentiality7.1协议任何一方对在合同履行过程中所获知的对方的商业秘密等均负有保密义务，未经对方书面许可，任何一方不得将其泄露给第三方，否则应承担违约责任并赔偿损失。Exceptasexpresslysetforthherein,thepartiesshallmaintaininconfidencetheConfidentialInformationoftheotherside.ThepartiesshallnotdisclosesuchConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherside.7.2在本协议终止之后，各方仍需遵守本协议之保密条款，履行其所承诺的保密义务，直到对方同意其解除此项义务，或事实上不会因违反本协议的保密条款而给对方造成任何形式的损害为止。BothpartiesshallabidebythetermsofConfidentialityinthisAgreementandhaveobligationtomaintaintheConfidentialInformationaftertheterminationoftheAgreement.TheobligationshallendonlyupontheconsentoftheothersideoronlyifthedisclosureoftheConfidentialInformationwillnotcauseanylossoftheotherside.8.争议的解决DisputeResolution8.1本协议的订立、执行和解释及争议的解决均适用中华人民共和国法律。ThisAgreementisconstructedandtobeexecutedandinterpretedbythelawsofthePeople’sRepublicofChina.8.2如双方就本协议 或其执行发生任何争议，应进行友好协商；凡协商不成时，双方一致同意指定北京市海淀区人民法院管辖。IncaseofanydisputeunderthisAgreement,bothpartiesshalltrytoresolveitthroughnegotiation.Ifnegotiationfails,bothpartiesagreetosubmitthemattertobindingarbitrationinaccordancewiththePeople’sCourtofHaidianDistrict,Beijing.9.协议生效Commencement本协议在本公司收到会员已妥善签署并盖上印章的《订阅表格》当日正式生效。ThisAgreementcommencesonthedatewhentheCompanyreceivestheSubscriptionFormdulysignedandaffixedwiththeSubscriber’scompanychop.10.其它协议Otherprovisions10.1除非协议另有规定，未经本公司书面同意，会员不得擅自将协议的权利、义务转让给协议以外的第三方。Notwithstandinganycontrarytermherein,therightsspecifiedinthisAgreementarenottransferable.WithoutthewrittenconsentoftheCompany,theSubscribercannottransferorassignitsrightsorobligationtothethirdpartyandcannotreproduce,duplicate,copy,sell,resellorexploitforanycommercialpurposes,anyportionoftheService,useoftheService,oraccesstotheService.10.2《订阅表格》为本协议附件，与本协议具有同等法律效力。二者如有冲突以附件的规定为准。TheSubscriptionFormattachedtothisAgreementispartoftheAgreementandshallhavethesamelegalstatusoftheAgreement.Incaseofanyconflicts,thetermsintheSubscriptionFormprevails.10.3本公司网站上登载的《会员章程》、《法律声明》虽由本公司单方面拟订，但会员承认在签署该协议前已经阅读、理解上述文件的内容，并同意接受其中所有条款的约束。与本协议不一致之处，以本条所述文件的规定为准。BysigningtheattachedSubscriptionForm,theSubscriberherebydeclaresthatithasreadandfullyunderstoodthecontentoftheAgreementaswellastheTerms&ConditionsandLegalDisclaimerspublishedonLawyee.netandagreestobeboundbythem.10.4本协议可为一种或多种语言的译本，但最终应以中文文本为准。ThisAgreementhasbeenwrittenintheChineselanguageand,intheeventofanyconflictorinconsistencybetweentheChinese-languageversionandanytranslationhereof,theChineselanguageversionshallprevail.
