条款。Onthebasisofequalityandfreewillandthroughfullconsultation,PartyAandPartyBhavemutuallyagreedonthefollowingtermsofthesalescontractforPartyB'spurchaseofPartyA'scommodities.一、采购内容及收付款乙方向甲方采购品类产品，共品种，数量产品;采购活单见附件I.＜采购订单〉收款信息公司名称TheNameofCompany公司开户银行NameofCompanyAccountBank开户银行账号BankAccountNumber开户银行地址AddressofAccountBank国际电汇码InternationalSwiftCode联系人ContactPerson联系电话及邮件ContactPhoneNumber邮寄地址MailingAddress付款信息公司名称TheNameofCompany公司开户银行NameofCompanyAccountBank第1页共1页开户银行账号BankAccountNumberINVOICE发票等票据以为抬头提供给乙方。BillslikeinvoicewillbeissuedinthenameofforPartyB.二、商品质量质量标准及包装：原装包装，未经使用过的、全新的，合法销售渠道供应，产品质量符合出口国相关质量标准并检验合格。Qualitystandard&packaging：originalpackagingandlegalsupplyofsaleschannels.Theproductqualityconformstotherelevantqualitystandardsoftheexporterandhaspassedtheinspection.关于商品效期：若商品效期在36个月及以上的，则实际供应商品的可用效期不低于30个月;若商品效期在30个月，则实际供应商品的可用效期不低于24个月;若商品效期在24个月，则实际供应商品的可用效期不低于18个月;若商品效期在18个月及以内的，则实际供应商品的可用效期不低于15个月。特殊商品双方协商约定商品效期说明。Availableperiodofcommodities:iftheavailableperiodofcommoditieslastsfor36monthsandoverit,thentheavailableperiodoftheactualsuppliedgoodsshallbenotlessthan30months;iftheavailableperiodofcommoditiesiswithin30months,thentheavailableperiodoftheactualsuppliedgoodsshallbenotlessthan24months;iftheavailableperiodofcommoditiesiswithin24months,thentheavailableperiodofcommoditiesoftheactualsuppliedgoodsshallbenotlessthan18months;andiftheavailableperiodofcommoditieslastsfor18monthsandiswithinit,thentheavailableperiodoftheactualsuppliedgoodsshallbenotlessthan15months.Forspecialcommodities,bothpartiesshallreachanagreementontheinstructionsfortheavailableperiodofcommodities.甲方承诺所供应的商品是正规渠道合法合规的商品，甲方需对商品来源链路负责，需要有供应渠道的合法授权，并最终对商品的合规合法负责。如果一旦出现被证明提供的是假冒伪劣商品，甲方需要承担由此产生的一切后果，乙方保留对其追责的权利。甲方须保证本采购合同对应的产品合乎生产国对应的法律法规要求的各项质量技术标准。第2页共2页PartyAshallpromisethatthegoodssuppliedbyithavereregulated,lawfulandcompliantchannels.PartyAshallberesponsibleforthesourceandlinkofgoods,shallhavethelegalauthorizationofsupplychannelandshallbefinallyresponsibleforthelegalityofcommodities.Onceitisrevealedandprovedthatthesuppliedcommoditiesbelongtofakeandinferiorcommodities,PartyAshallbearalltheensuingconsequencesandPartyBshallreservetherighttoinvestigatetheaccountabilityofPartyA.PartyAshallpromisethatalltheproductsrelatedtothiscontractshallmeetallkindsofqualityandtechnicalstandardsrequiredbythelawsandregulationsoftheproducingcountry.三、商品交付商品交付方式为：此商品订单按照进行交易，甲方需做好订单商品的海外出口相关工作，并协助乙方做好订单商品国内报关、报检及入库上架等事宜及其他必要协助。Goodsdeliveryway:Inthisorder,thecommoditypriceisprice.PartyAhastheobligationtoassistPartyBtodealwithallexportaffairsofcommoditiesinthisorder.甲方需在乙方定金到账后的个工作日内做好订单商品的发货工作，到目的地交货日期不晚于****年**月**日。甲方必须确保采购商品报关单证（发票、装箱单、提单）与实际装运商品明细的一致性，否则货物到港后造成乙方无法办理报关入库等工作由甲方负责；甲方所交付的货物包装及运输包装物必须符合行业习惯和中国法律规定，否则造成无法交付由甲方负责；在合同约定期限内甲方未能及时交货的，甲方需要承担违约责任。PartyAshalldotheshipmentworkofallcommoditiesintheorderverywellwithin**daysaftersigningthecontract.IfPartyAhasbreachedthecontractandcan'ttimelydeliverthegoodswithinthestipulatedtimelimitinthecontract,PartyAshallbeartheriskofgoodsloss,damageanddestruction;andafterthegoodsdeliveryorifPartyArefusestodelivergoodsordelaysgoodsdeliveryduetothedefaultofPartyB,thentheriskofgoodsloss,damageanddestructionshallbebornebyPartyB.PartyAshallensurethattheinformationcontainedincustomsclearancedocuments（invoice,packinglistandbilloflading）shallbeidenticalwiththeactualshipmentproducts,orelsePartyAshallberesponsiblefortheresultsensued,likePartyBfailedtoclearthecustoms;TheproductspackagingandshipmentpackingshallmeetthetradepracticeandChineselawsandregulations,orelse第3页共3页PartyAshallberesponsiblefortheresultsensued;IfPartyAcouldnotdelivertheproductswithintheagreeddate,PartyAshallbeartheresponsibilityofbreachingthecontract.四、价款结算本采购订单总价款为：（币种）************整（小写金额）Thetotalpriceoftheabove-mentionedcommoditiesandtheoverallcostsis：货款结算:此次采购商品约定按照模式操作，如有部分采购商品后续需调整直邮或集货模式操作的，由双方协商确定，并以附件形式补充。Settlementofpayment:thistimeitisagreedthatthecommoditypurchaseshallbeoperatedwiththebondedandstockmode.Ifsomepurchasedgoodsneedtoadjusttheoperationofdirectmailorgoodscollectionsubsequently,bothpartiesshallmutuallynegotiateonitandsupplementitintheformofannex.双方签订跨境商品采购合同后，乙方在个工作日内按“采购订单”预付**%比例的预付定金给甲方作为同意甲方执行采购订单的依据，乙方收到出库单和空运提货单后的个工作日内完成**%款项的结算，订单商品完成入库后个工作日内完成剩余**%款项的结算。AfterbothpartieshavesignedtheCross-borderQualifiedCommodityPurchase&SalesContract,PartyBshallprepay50%downpaymenttoPartyAaccordingto"purchaseorder”within*workingdaysastheevidencetohaveagreedthatPartyAperformsthepurchaseorder.Whenseeingtheoutboundorderandbilloflading,PartyBshallpay**remainingpaymentwithin*workingdays.因集货或直邮业务零售订单发生的物流费用由乙方负责，双方约定按照个工作日周期结算，甲方需提供有效的物流费用活单作为结算凭证。PartyBshallberesponsibleforthelogisticsexpensesproducedbyretailordersduetogoodscollectionordirectmailbusiness.Bothpartiesagreetodosettlementinaccordancew第4页共4页iththeperiodof**workingdays.PartyAshallprovidetheeffectivelogisticsexpenseslistsascertificatesofsettlement.五、违约责任5.LiabilityforBreachofContract1、本合同签订后，自“第四条”定金支付后，如果甲方没有按照合同规定的日期供货，除本合同第六条所规定的不可抗力之外，如确因特殊原因导致部分或全部订单商品未能按期交付的，甲方需提前7天以书面形式通知乙方，并经乙方确认同意后以补充 另订责任和交付约定等说明。如甲方未按上述规定执行甲方应按每天**的应付款项支付违约金给乙方。未能按期交付的订单商品，甲方有义务通过调拨等方式提供相应商品以满足乙方因延期交付产生的零售订单需求。1.Afterthesigningofthecontract,accordingtodepositpaymentin"Article4",ifPartyAfailstosupplyinaccordancewiththegivendateinthecontract,becauseofotherspecialcausesthatleadthelatedeliveryofpartialorallordersexcepttheforcemajeurestipulatedinArticle6ofthecontract,PartyAshallinformPartyBinwriting7daysinadvance,anditneedstheconfirmationofPartyB'sagreementtosupplementtheagreement,makecleartheresponsibilityandarrangementfordelivery,etc.IfPartyAfailstoperforminaccordancewiththeprovisionsmentionedabove,itshouldpaythebreachpenaltytoPartyBaccordingto**payablesperday.ThegoodsthatPartyAfailedtodeliveronschedule,PartyAshallprovideforPartBbyallocatingmethodssuchassupplyingcorrespondinggoodstomeetthedemandofPartyB'sretailorderscausedbythedelays.如果甲方违约不按期交货超过7(包含)天或者乙方违约终止采购，都应当承担本订单总价款**的违约金。IfPartyAdelaysdeliveryover7(containing)daysorPartyBterminatesprocurement,boththepartiesshallbear**penaltyofthetotalpriceoftheorderduetobreachofcontract.2、如由于“第四条”中约定的乙方未按时履行相应的款项支付，并没有提前书面通知甲方取得甲方同意的，则甲方可要求乙方执行按每天**的应付款项支付滞纳金；2.Ifduetothestipulationin"Article4"thatPartyBfailstofulfillcorrespondingpaymentsontimeandinformPartyAinwritinginadvance,then,PartyAmayrequirePartyBtopayoverduefineaccordingto**payablesperday；第5页共5页若支付违约金不足以弥补守约方损失的，违约方应当赔偿给守约方造成的一切损失(包括直接损失、可得利益损失及主张权利的费用等)。Ifthepenaltyisnotenoughtomakeupforthelosstotheotherparty,thepartyinbreachshallcompensateforallthelossesfortheotherparty(includingdirectloss,lossofexpectationbenefitandcostofadvocatingrights,etc.).3、甲方对交付商品需严格遵守本合同第二条的质量约定，如果交付商品保质期与约定不符乙方可要求退货退款，由此造成的相关费用需要甲方承担；如由于交付的商品质量不符或者证明假冒伪劣产品而造成对乙方的任何损失，甲方需承担全部责任。PartyAmuststrictlyabidebythecontracttermsonthequalityofthedeliveringgoodsinArticle2ofthecontract.Iftheexpirationdateofthedeliveryofgoodsdoesnotaccordwiththecontract,PartyBmayrequestreturnsandrefunds,andtheresultingrelatedexpensesshallbebornebyPartyA;IfanylossofPartyBcausedbythegoodsthatturnouttobefakeorinferiorproducts,PartyAshalltakeallresponsibility.若违约金不足以弥*卜守约方损失的，违约方应当赔偿给守约方造成的一切损失(包括直接损失、可得利益损失及主张权利的费用等)。Ifthepenaltyisnotenoughtomakeupforthelosstotheotherparty,thepartyinbreachshallcompensateforallthelossesfortheotherparty(includingdirectloss,lossofexpectationbenefitandcostofadvocatingrights,etc.).六、其他事项1、合同的解除与终止Revocation&TerminationofContract双方协商一致的，可以终止合同的履行。一方根本性违约的，另一方有权解除合同，但应当及时书面通知到对方。Ifbothsidesreachaunanimousagreementthroughconsultation,theycanterminatetheimplementationofthecontract.Ifonepartyhasbreachedthecontractfundamentally,theotherpartyisentitledtoterminatethecontractbutshalltimelynotifytheotherpartyinwrittenform.2、不可抗力ForceMajeure第6页共6页因火灾、战争、罢工、自然灾害等不可抗力因素而致本合同不能履行的，双方终止合同的履行，各自的损失各自承担。不可抗力因素消失后，双方需要继续履行合同的，由双方另行协商。Ifthecontractisunabletobecarriedoutowingtofires,wars,strikes,naturaldisastersandotherforcemajeurefactors,bothpartiescanterminatetheperformanceofthecontractandeachofthemshallbeartheirlossesrespectively.Afterallforcemajeurefactorsvanish,ifbothpartiesneedtocontinuetoperformthecontract,theyshallseparatelydiscussoverit.因不可抗力终止合同履行的一方，应当于事件发生后15日内向对方提供有权部门出具的发生不可抗力事件的证明文件并及时通知对方。未履行通知义务而致损失扩大的，过错方应当承担赔偿责任。Ifanypartyterminatestheperformanceofcontractduetoforcemajeure,itshallprovidetheotherpartywithcertifyingdocumentsthatareissuedbyauthoritativedepartmentandprovetheoccurrenceofforcemajeureeventwithin15daysaftertheincidenthappensandshallpromptlynotifytheotherparty.Ifanypartyfailstofulfillitsobligationssoastocausefurtherlosses,theblamablepartyshallbeliableforthecompensation.3、其他约定事项3.OtherStipulatedMatters,双方联系人或授权代
