国际物流运输合同中英文版国际物流运输合同中英文版PAGE\*MERGEFORMAT1国际物流运输合同中英文版合作协议书CooperationAgreement甲方：Thefirstparty（PartyA）：乙方Thesecondparty（PartyB）：一、协议内容Content本着互利互惠的原则，甲乙双方经友好协商就进口货物的运输事宜达成以下协议：Withtheprinciplesofmutualbenefit，thetwopartieswillmakeanagreementonimporttransportasfollowing:a.Thetwopartiesshallactivelyco-operateinInternationalFreightForwardingandLogisticsservicesforshipmentsmovingbetweentheirrespectiveterritories.ThePartyBwillprovideorarrangefulllogisticalservicesnecessaryforthemovementoffreight,viaairoroceanoranyothermeans,includingancillarysupportservicesandtimelypreparationandtransmissionofrelateddocumentationand/orelectronicdata.（双方应积极合作国际货运代理和物流服务，为货物在其各自的领土之间流动。乙方将提供或安排通过空运、海运或任何其他方式运输货物所需的全部后勤服务，包括辅助支持服务和及时准备和传送相关文件和/或电子数据。）b.EachAgentwillnametheotherasconsigneeonanyMasterAirWaybill,MasterHouseAirWaybill,MasterOceanBillofLadingorMasterHouseBillofLading。（每个代理将在任何主空运提单、主空运提单、主海运提单或主空运提单上指定对方为收货人。1．甲方委托给乙方的货物必须真实申报货物品名、数量、价值、用途等产品，资料必须以书面形式委托给乙方，如因甲方申报不符所造成的所有责任由甲方负责；Thefirstpartymustprovidethethesecondpartywiththerealinformationofproduct’sname,number,value,purpose.allofthisinformationmustberepresentedtothesecondpartyinawrittenform,asaresultofdiscrepanciescausedbythefirstpartydeclaration,thefirstpartywillberesponsibleforallliability.2．甲方承诺委托之货物不能夹带易燃、易爆物品及国家规定禁止进口之物品；Thefirstpartymustpromisenottocarrycargoconsignedflammable,explosivematerialsandgoodsprohibitedforimportbystateregulations.3．甲方托运内容要求更改或取消时，必须书面形式通知乙方，在与乙方操作人员确认可以退件或终止运输方可取消订单；Beforecheckingthecontent,changingorcancelingthetranspotationterms,thefirstpartymustnotifythesecondpartyinwrittenform.Changescanbemadeonlywiththeagreementofthesecomd.4．如是因战争.台风.地震等人力不可抗拒的自然灾害所产生的货物丢失不予赔偿给甲方外；由于其它任何原因或情况产生的货物损坏和丢失，乙方应在损失产生后5天内以全额现金方式赔偿给甲方，具体赔偿 双方协商。Iftheproductsarelostbecauseofthewar,typhoon.earthquakesandotherhumanirresistiblenaturaldisasters,thesecondpartywillnevertakeresponsibility.Duetootherreasonsorcircumstancesarisingfromanydamageandlossofgoods,theywillpay100%compensationforthelossin5daystothefirstparty.Thecompensation（Claims）planisnegotiatedbybothparties.5．甲方索赔需乙方通知甲方货物丢失之日起30日内提出，过期视甲方放弃赔偿；Incasegoodsarelost,thesecondpartymustnotifythefirstpartyin30daysbeforethedateexpires,forthefirstpartytogiveupcompensation.二、甲方责任和义务ResponsibilitiesandobligationofPartyA1．货物到港前，甲方及时向乙方提供进口货物清关所需完整的、准确的和合法的单据，否则由此产生的滞港等费用由甲方承担；Beforethegood`sarrivalattheport,PartyAshallprovidethecomplete,accurateandlegaldocumentsrequiredregardinganycustomsdeclaringandtransportationservices.Incaseofthefailure,PartyAwillberesponsibleforalltheconsequences.2．甲方有责任就货物形态及货物装载要求等事宜提供给乙方；PartyAshallprovidetheinformationwithdetailsonthesizeandloadingrequirementsofthegoodstoPartyB.3．甲方在收到单据后需及时核对，如有疑问需及时反馈，在确认无误后及时通知乙方安排开具发票；Party A shall check in time after receiving the documents. If there is any doubt, it shall promptly provide feedback. After confirming the correctness, Party B shall promptly notify Party B to arrange for drawing an invoice.三、乙方的义务和责任ResponsibilitiesandobligationofPartyB1．乙方有责任向甲方提供运输咨询， ；PartyBisresponsibletoprovidethetransportationproposalwithsafe,quickandeconomicalplan.PartyBshallmakeareportongoodconditionsaccordingtoPartyAsrequirements.2.乙方对甲方提供的全套单证在2个工作日内完成审核整理，使之符合报关报检要求。如内容有遗漏，乙方应立刻通知甲方并向甲方索取所需资料信息；乙方在核对资料无误后应及时安排操作货物清关和转运。Party B shallexamine the whole set of documents which provided by Party A immediately and prepare it to meet the requirements of customs declaring and inspection application within 2 working days. Should there be any missing, Party B shall immediately remind Party A and collect the relevant information from Party A.PartyBshallarrangecustomsclearanceandtransshipmentofthegoodsintimeaftercheckingthedocuments.3．乙方要做好货运业务监督管理工作，合理安排作业流程，维护甲方利益，发现问 必须及时通知甲方，并提供合理化建议积极协助甲方积极解决；PartyBshallmakeinspectionandsupervisionoftransportation,arrangeareasonabletransportationprocedure.PartyBshallprotecttheinterestofPartyAandshallnotifyPartyAintimeandprovidethereasonableproposalandsupportswhenmeetingsomeproblems.Incaseofanyunforeseencosts,PartyBshallnotifyPartyAintime.4．如因乙方原因造成货物的延期以及因乙方原因造成的货物损坏等情况，由此产生的各种额外费用和滞期费等，由乙方负担；PartyBshalltaketheresponsibilitiescausedbyPartyB`swrongoperationsincludinganyadditionalchargesanddemurragechargesetc.5．清关完成后，乙方要首先与甲方确认费用，待甲方确认后应在清关结束后3天内将税单相关单据及时交予甲方；Afterthecompletionofcustomsclearance,PartyBshouldinformPartyAaboutthecharges,andPartyBshallforwardthecustomsdeclarationaswellasthebillofDuty&VATtoPartyAwithin3days.6.Agentsagree,tothebestoftheirability,toadheretoqualitystandardsinkeepingwithISOaccreditation.代理商同意尽其最大能力遵守与ISO认证一致的质量 。7.AfterpartybdeliversthegoodstothethirdpartyexpresscompanyintheUK,itshallprovidethesignatureform（POD）intime.IfPODcannotbeprovided,thegoodswillbeconsideredlost.Partybshallcompensateforthevalueofthegoods.乙方将货运转运至第三方快递公司后应及时提供货物签收单，如不能提供有效签收单，则视为丢失货物。乙方应赔偿货物的价值。8.如遇海关查验货物，乙方应提供专业应对方案积极安排清关，尽最大努力完成清关，以降低甲方仓储费等损失。Incaseofcustomsinspectionofthegoods,PartyBshallprovideaprofessionalresponseplantoactivelyarrangecustomsclearanceandtryitsbesttocompletecustomsclearancesoastoreducestoragechargesandotherlossesofPartyA.9.如遇海关销毁货物，乙方应及时通知甲方并提供相关有效的海关文件。Incaseofcustomsdestruction,PartyBshalltimelynotifyPartyAandproviderelevantvalidcustomsdocuments.四、付款方式payment1．甲乙双方确认费用后，乙方需及时开具发票交由甲方，待甲方收到发票后需及时安排付款Afterbothpartiesconfirmthefee,PartyBshallpromptlyissueaninvoicetoPartyA.AfterPartyAreceivestheinvoice,itshallarrangepaymentintime.2．甲、乙双方欲终止本协议，应正式书面通知对方业务部，待确认后协议终止；Ifbothsideswanttoterminatethecontract,onepartywillnotifytheotherpartyinwrittenform.Contractcanbeterminatedaftercomfirmation.3.甲方提前向乙方支付空运、海运的关税/增值税，乙方未及时清关，甲方不承担额外费用。PartyAshallpaytheDuty/VatofairtransportationandseatransportationtoPartyBinadvance,andPartyBshallclearthecustomsintimeifnotPartyashallnotpaytheadditionalcosts.五、协议修改agreementmodification本协议可经双方书面确认通知另一方修改内容，经双方共同签字确认后以签字日期为准立即生效，任何修改或补充内容双方未签字确认前仍按原协议内容执行。Thisagreementcanbemodifiedandbecomeeffectiveonlywhenbothpartiesmakeanagreementaboutthecontent.六、法律与仲裁lawandarbitration如双方产生法律纠纷并经协商无法达成一致，双方同意委托当地法院调解，仲裁或诉讼解决。Ifbothsidescannotproducelegaldisputesandcannotreachagreementbynegotiation,bothsidesagreetocommissionalocalcourtmediation,arbitrationorlitigationtoresolve.七、协议生效agreement1．本协议自双方签订日起生效，一单一签，有效期至甲方收货后7日内确认无异议则自动终止，否则自动顺延；ThisAgreementshalltakeeffectfromthedatecontractissignedbybothparties,asinglesign,validuntil7daysafterreceivingconfirmationpartywithoutobjectionwillautomaticallyterminate,orautomaticallyextended.2．在协议执行过程中，如双方有何异议，双方应以友好协商的方法解决。如任何一方要终止协议应提前一个月以书面形式通知对方。任何一方须履行协议中未尽事宜并负相应责任。Ifanydifferentopinionsduringtheexecutionoftheagreement,bothsidesshouldusefriendlyconsultationswaytoreachtheaggrement.Ifanypartywantstoterminatetheagreement,thereshouldbeawrittennoticefromonepartytoanotheronemonthinadvance.Implementationoftheagreementbyeitherpartytobeheldintheoutstandingissuesandthecorrespondingresponsibility.3.TheAgentsmutuallyagreethateachwillcomplywithallapplicablelawsintheirrespectiveterritory.代理商相互同意，每个代理商均应遵守各自领土内的所有适用法律。4.ThisagreementshallbegovernedbyandconstruedinaccordancewiththelawsofUnitedKingdom.本协议受英国、中国法律管辖并根据英国法律解释。收款账户PartyBaccountsreceivable：Account name：Account number:：1Sort Code： 4BlC： HIBAN：GVAT：GBankandaddress：甲方签字Signature：乙方签字Sinature：甲方公司盖章Companychop：乙方公司盖章Companychop：电话Tel：电话Tel：2019年12月1日2019年12月1日
