mentThetermofentrustmentshallbeaperiodstartingfromtheeffectivedateofthisagreementandendingwhenPartyAissuesthewrittenconsenttoPartyBfortermination.AllofagreementsandmodificationforagreementsThisagreementtogetherwithallofthementionedorexplicitlyincludedagreementsand/orallofagreementsreachedbydocumentdraftingpartiesintermsofsubject-mattersofthisagreementshallreplacealloftheoral,writtenagreements,contracts,understandingsandaddressbooksreachedbyallpartiespreviouslywithrespecttosubject-mattersofthisagreement.Anymodificationforthisagreementwillgointoeffectonlyafterallpartieshavesignedthewrittenagreement.Themodifiedagreementsandsupplementaryagreementsrelatedtothisagreementsignedbyallpartiesaretheimportantpartsofthisagreement.Theseagreementshavethesamelegalforcewiththisagreement.ImplementationofagreementThisagreementisintriplicateandeachpartyholdsone.ThisagreementwillgointoeffectsincePartyA'sauthorizedrepresentativeaffixesthesignatureandtheofficialsealandPartyBTogetheraffixesthesignature.JurisdictionoflawsSubscription,effectiveness,implementationandinterpretationofthisagreementtogetherwithsettlementofdisputesisruledoverbyPRClawsanditisinterpretedasperPRClaws.SettlementofdisputesWhenallofrelevantpartieshavedisputeswithrespecttointerpretationandimplementationofitemsofthisagreement,allpartiesshallsettledisputesthroughfriendlynegotiation.AnypartycansubmittherelevantdisputestoChinaInternationalEconomicandTradeArbitrationCommissiontomakeasettlementaspereffectivearbitrationrulesifthedisputescanbesettledthroughnegotiation.ThearbitrationlocaleisBeijing.ThearbitrationlanguageisChinese.Thearbitramentshallbefinalanditbringsconstraintforallparties.Allpartiesshallstillcontinuetofulfilltheirrespectiveobligationsasperregulationsofthisagreementbasedonfriendshipprinciple,unlesstherearesomedisputes.PartyA:ShengyuanNutritionFoodCo.,Ltd.(stamp)Authorizedrepresentative:/s/ZhangLiang(signature)PartyB:JiangYunpeng:/s/JiangYunpeng??????(signature)ZhangJibin:??/s/ZhangJibin??????????(signature)
