Should any infringement be found, Party B shall promptly notify and assist Party A to take steps to protect the latter's rights. 12.2 乙方不得申请注册附件一所列商标或者申请与其商标相同或相 似的商标。未经甲方专门允许的情况下～乙方在任何时候都不得表述 其拥有商标的权利和商标所有权。乙方必须同意不作出任何损害商标 权利或所有权的行为或事件。 Party B shall not apply for the registration of the trademarks in Annex ?or cause to be done so in whole or in part or other trademarks similar thereto with respect to the products or any other products in territory. Party B shall be treated as qualified exclusive agent and exclusive exporter if party B reaches the sales target no less than %, the agreement will be effective. 13.4. 协议的终止 Termination 在本协议有效期内～如果乙方被发现违背协议条款～甲方有权终止协 议。 During the validity of this agreement, if party B is found to have violated the stipulations herein, party A has the right to terminate this agreement. 8 14. 不可抗力 Force Majeure 由于水灾、火灾、 地震、干旱、战争或协议一方无法预见、控 制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协 议～该方不负责任。但是～受不可抗力事件影响的一 方须尽快将发 生的事件通知另一方～并在不可抗力事件发生15天内将有关机构出 具的不可抗力事件的证明寄交对方。 Either party shall not be responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence. 15. 仲裁条款: Arbitration : 此协议适用于中华人民共和国法律。如有争端～双方友好协商解 决。如协商不成的～均应提交中国国际经济贸易仲裁委员会天津国际 9 经济金融仲裁中心～按照申请仲裁时该会实施的仲裁规则进行仲裁。 仲裁裁决是终局的～对双方均有约束力。 This agreement is enforceable in China court of laws and regulations. Incase any disputes, firstly both parties shall discuss for the settlement friendly. If can not reach agreement, shall be submitted to Tianjin International Economic and Financial Arbitration Center of the China International Economic and Trade Arbitration Commission, which shall be conducted in accordance with the Commission's arbitration rules in effect at the time of applying for arbitration. Other issues shall be negotiated and signed as the attachment of the agreement. And all the attachments of this Agreement have 10 the same legal force with this Agreement.
