Share—holdingEntrustmentAgreement Thisentrustmentagreement（hereinaftercalledas“thisagreement”）wassignedbyfollowingparties(hereinaftercalledas“agreementparties）inQingdao，ChinaonJuly20,2008。 PartyA：ShengyuanNutritionalFoodCo.，Ltd。(“ShengyuanNutrition”）Address:SeashoreIndustrialPark,Jiaonan,QingdaoNaturalpersonA：JiangYunpeng；IDcardNo。：231026196305045811NaturalpersonB:ZhangJibin；IDcardNo。：370223196408110032（hereinaftercalledas“PartyB”or“PartyBTogether"）Whereas： 1ValidlyexistingandlawfullyestablishedwithintheterritoryofthePeople'sRepublicofChina，PartyAisanexclusivelyforeign—ownedenterprise，whoselawfulregistrationcertificatenumberis：370284400001270; 2PartyBisacitizenofPRC； 3PartyAwillentrustPartyBtosetupthecompanyinmainlandChinatodeploypregnantwomandetectioncenterproject(“project”）。PartyAwilljoinforcewiththecompanyofPartyBandPartyBTogether(“PartyBCompany"）tosign“ExclusiveConsultingandServiceAgreement”andsomeotheragreementstoestablishbusinessrelationship; 4PartyBisrequiredtousecapitaltodeploysomemattersincludingprophaseoperationofproject。 Therefore， afterfriendlyconsultationsbetweenbothPartiesontheprincipleofmutualbenefit,thePartiesherebyagreeasfollows： IStockequity-holdingonbehalfofholdersandrelevantfunditems 1。1PartyAshallappropriatefundtoPartyBasperPartyB'swrittenapplicationsincetheagreementwassigned.ThesumshallbeRMB15mforeachofPartyBandthetotalshallbeRMB30m（“fund—holdingonbehalfofholders”)。PartyBshallberesponsibleforutilizingthisfundasregisteredcapitaltoestablishthecompany(hereinaftercalledas“thiscompany”）。 1。2ThiscompanywillsignaseriesofagreementswithPartyA,includingbutnotlimitedto“ExclusiveConsultingandServiceAgreement”，“BusinessOperationAgreement”,“StockEquityDisposalAgreement”and“StockEquityPledgeAgreement”。BothPartieshavebasicallyagreedtothecontentframework(AnnexOne,Two,ThreeandFour）oftheseagreements。 1.3Beingasthenominalholderofshares（hereinaftercalledas“shares—holdingonbehalfoftheholder"）ofthiscompany，PartyBshallperformrelevantshareholders’  rightsonbehalfoftheholderdependingonPartyA’sindication。 1。4Theownershipofshare—holdingonbehalfoftheholderunderthenameofPartyBbelongstoPartyA。PartyBshallonlysetupthiscompanyandholdthesharesofthiscompanyunderthenameofthetrustee。 IIAuthorizationofentrustment TherightsentrustedbyPartyAtoPartyBtoperformonbehalfofPartyAinclude：   1   2。1SetupthiscompanyunderthenameofPartyB; 2.2RegisterPartyBtobetheshareholderintheshareholderregistrationrosterofthiscompany； 2.3Performshareholder’srightsastheshareholderofthiscompany，includingbutnotlimitedtochargingdividendorbonus，participatingtheshareholdermeeting，performingvotingrightandetc.; 2.4Performshareholders’otherrightsasperrelevantlaws，regulationsandconstitutionofthiscompanyinregistrationlocation。 IIIPartyA’srightsandobligations 3。1Beingastheactualinvestorofshare—holdingonbehalfoftheholder，PartyAhastherighttoenjoyactualshareholder’srightsandhastherighttoobtainrelevantinvestingincome. 3.2PartyAcanissuecommandstoPartyBatanymomentwithrespecttoPartyA’sperformingshareholders'rightandPartyBshallexecutePartyA'scommandsunconditionally. 3。3PartyAhastherighttotransfertheshare-holdingonbehalfoftheholderandrelevantshareholder’sequitytoitsownaccountortheaccountofanythirdPartydesignatedbyPartyAwhenPartyAthinksroper.PartyBshallagreetotheabove—mentionedtransferenceunconditionallyandshalltransactthetransferenceasperPartyA’scommand. 3。4DuringtheperiodofPartyB’sholdingshare—holdingonbehalfoftheholder,PartyAshallshoulderallofrelevantgeneratedexpensesoftaxation(ifany）；PartyAshallalsoshoulderthegeneratedexpensesoftaxationwhenPartyBtransferstheshare—holdingonbehalfofPartyAtoPartyAoranythirdPartydesignatedbyPartyAtoholdasperPartyA’scommands。 3.5Beingastheactualholderoftheshare，PartyAhastherighttosuperviseandcorrectPartyB’simproperbehaviorsofentrustmentasperthisagreementandalsohastherighttorequirePartyBtocompensateactuallossesduetoPartyB'simproperbehaviors. 3。6PartyAhastherighttonotifycancellingentrustingPartyBatanymomentandrequesttotransferrelevantsharetoPartyAornewtrusteeselectedbyPartyAoranythirdPartydesignatedbythePartyAinaccordancewithlaws. IVPartyB'srightsandobligations 4。1PartyBwillnotenjoyanyusufructordisposalright（includingbutnotlimitedtotransferenceandpledgeofshareholders’equity）ofshareholders'equityformedbythisshare-holdingonbehalfofthePartyA，underPartyB’sownname。 4。2PartyBshallnottransfertheauthorityofentrustmenttotheThirdPartytoholdabove—mentionedshare—holdingonbehalfofthePartyAorenjoyshareholder’sequityatanymomentorinanysituation，unlessPartyBobtainsPartyA’scommandsorPartyA’swrittenconsent。 4.3UndertheconditionofnotobtainingPartyA'swrittenauthorization，PartyBisnotpermittedtomaketransferenceanddisposalorsetguaranteeofanyformforshare—holdingonbehalfofPartyAandallofbenefitsheldbyitself，moreover，PartyBisnotpermittedtoimplementanyotherbehaviorspossiblydamagingPartyA’sbenefits。   2   4。4PartyBshalldeliverallofbenefitsgeneratedfromshare-holdingonbehalfofPartyAtoPartyAtimely（incl.cashdividend，bonusoranyotherbenefitallocations）。 4。5PartyBshalltryitsbesttocooperatewithPartyAtotransferallofrelevantproceduresunderitsownname，whenPartyAplanstotransfershare—holdingonbehalfoftheholdertothethirdParty. VTermofentrustment ThetermofentrustmentshallbeaperiodstartingfromtheeffectivedateofthisagreementandendingwhenPartyAissuesthewrittenconsenttoPartyBfortermination。 VIAllofagreementsandmodificationforagreements 6。1Thisagreementtogetherwithallofthementionedorexplicitlyincludedagreementsand/orallofagreementsreachedbydocumentdraftingpartiesintermsofsubject—mattersofthisagreementshallreplacealloftheoral，writtenagreements,contracts，understandingsandaddressbooksreachedbyallpartiespreviouslywithrespecttosubject-mattersofthisagreement. 6。2Anymodificationforthisagreementwillgointoeffectonlyafterallpartieshavesignedthewrittenagreement。Themodifiedagreementsandsupplementaryagreementsrelatedtothisagreementsignedbyallpartiesaretheimportantpartsofthisagreement.Theseagreementshavethesamelegalforcewiththisagreement。 VIIImplementationofagreement Thisagreementisintriplicateandeachpartyholdsone。ThisagreementwillgointoeffectsincePartyA’sauthorizedrepresentativeaffixesthesignatureandtheofficialsealandPartyBTogetheraffixesthesignature。 VIIIJurisdictionoflaws Subscription,effectiveness，implementationandinterpretationofthisagreementtogetherwithsettlementofdisputesisruledoverbyPRClawsanditisinterpretedasperPRClaws. IXSettlementofdisputes 9.1Whenallofrelevantpartieshavedisputeswithrespecttointerpretationandimplementationofitemsofthisagreement，allpartiesshallsettledisputesthroughfriendlynegotiation.AnypartycansubmittherelevantdisputestoChinaInternationalEconomicandTradeArbitrationCommissiontomakeasettlementaspereffectivearbitrationrulesifthedisputescan'tbesettledthroughnegotiation。ThearbitrationlocaleisBeijing.ThearbitrationlanguageisChinese。Thearbitramentshallbefinalanditbringsconstraintforallparties。 9。2Allpartiesshallstillcontinuetofulfilltheirrespectiveobligationsasperregulationsofthisagreementbasedonfriendshipprinciple,unlesstherearesomedisputes. PartyA：ShengyuanNutritionFoodCo.,Ltd。（stamp)Authorizedrepresentative：/s/ZhangLiang(signature） PartyB:JiangYunpeng：/s/JiangYunpeng      （signature）ZhangJibin：  /s/ZhangJibin          (signature）
