Share-holdingEntrustmentAgreementThisentrustmentagreement(hereinaftercalledas“thisagreement”)wassignedbyfollowingparties(hereinaftercalledas“agreementparties)inQingdao,ChinaonJuly20,2008.PartyA:ShengyuanNutritionalFoodCo.,Ltd.(“ShengyuanNutrition”)Address:SeashoreIndustrialPark,Jiaonan,QingdaoNaturalpersonA:JiangYunpeng;IDcardNo.:23811NaturalpersonB:ZhangJibin;IDcardNo.:370223(hereinaftercalledas“PartyB”or“PartyBTogether”)Whereas:1ValidlyexistingandlawfullyestablishedwithintheterritoryofthePeople’sRepublicofChina,PartyAisanexclusivelyforeign-ownedenterprise,whoselawfulregistrationcertificatenumberis:0001270;2PartyBisacitizenofPRC;3PartyAwillentrustPartyBtosetupthecompanyinmainlandChinatodeploypregnantwomandetectioncenterproject(“project”).PartyAwilljoinforcewiththecompanyofPartyBandPartyBTogether(“PartyBCompany”)tosign“ExclusiveConsultingandServiceAgreementagreementstoestablishbusinessrelationship;”andsomeother4PartyBisrequiredtousecapitaltodeploysomemattersincludingprophaseoperationofproject.Therefore,?afterfriendlyconsultationsbetweenbothPartiesontheprincipleofmutualbenefit,thePartiesherebyagreeasfollows:IStockequity-holdingonbehalfofholdersandrelevantfunditemsPartyAshallappropriatefundtoPartyBasperPartyBwrittenapplicationsincetheagreementwassigned.ThesumshallbeRMB15mforeachofPartyBandthetotalshallbe’sRMB30m(“fund-holdingonbehalfofholders”).PartyBshallberesponsibleforutilizingthisfundasregisteredcapitaltoestablishthecompany(hereinaftercalledas“thiscompanyThiscompanywillsignaseriesofagreementswithParty”).A,includingbutnotlimitedto“ExclusiveConsultingandServiceAgreement”,“BusinessOperationAgreement”,“StockEquityDisposalAgreement”and“StockEquityPledgeAgreement”.BothPartieshavebasicallyagreedtothecontentframework(AnnexOne,Two,ThreeandFour)oftheseagreements.Beingasthenominalholderofshares(hereinaftercalledas“shares-holdingonbehalfoftheholder”)ofthiscompany,PartyBshallperformrelevantshareholders’??rightsonbehalfoftheholderdependingonPartyA’sindication.Theownershipofshare-holdingonbehalfoftheholderunderthenameofPartyBbelongstoPartyA.PartyBshallonlysetupthiscompanyandholdthesharesofthiscompanyunderthenameofthetrustee.IIAuthorizationofentrustmentTherightsentrustedbyPartyAtoPartyBtoperformonbehalfofPartyAinclude:1SetupthiscompanyunderthenameofPartyB;RegisterPartyBtobetheshareholderintheshareholderregistrationrosterofthiscompany;Performshareholder’srightsastheshareholderofthiscompany,includingbutnotlimitedtochargingdividendorbonus,participatingtheshareholdermeeting,performingvotingrightandetc.;Performshareholders’otherrightsasperrelevantlaws,regulationsandconstitutionofthiscompanyinregistrationlocation.IIIPartyA’srightsandobligationsBeingastheactualinvestorofshare-holdingonbehalfoftheholder,PartyAhastherighttoenjoyactualshareholderrightsandhastherighttoobtainrelevantinvestingincome.PartyAcanissuecommandstoPartyBatanymoment’withrespecttoPartyA’sperformingshareholders’rightandPartyBshallexecutePartyA’scommandsunconditionally.PartyAhastherighttotransfertheshare-holdingonbehalfoftheholderandrelevantshareholder’sequitytoitsownaccountortheaccountofanythirdPartydesignatedbyPartyAwhenPartyAthinksroper.PartyBshallagreetotheabove-mentionedtransferenceunconditionallyandshalltransactthetransferenceasperPartyA’scommand.DuringtheperiodofPartyB’sholdings-hareoldingonbehalfoftheholder,PartyAshallshoulderallofrelevantgeneratedexpensesoftaxation(ifany);PartyAshallalsoshoulderthegeneratedexpensesoftaxationwhenPartyBtransferstheshare-holdingonbehalfofPartyAtoPartyAoranythirdPartydesignatedbyPartyAtoholdasperPartyAcommands.Beingastheactualholderoftheshare,PartyAhasthe’srighttosuperviseandcorrectPartyBimproper’behaviorsofentrustmentasperthisagreementandalsohastherighttorequirePartyBtocompensateactuallossesduetoPartyB’simproperbehaviors.PartyAhastherighttonotifycancellingentrustingPartyBatanymomentandrequesttotransferrelevantsharetoPartyAornewtrusteeselectedbyPartyAoranythirdPartydesignatedbythePartyAinaccordancewithlaws.IVPartyB’srightsandobligationsPartyBwillnotenjoyanyusufructordisposalright(includingbutnotlimitedtotransferenceandpledgeofshareholders’equity)ofshareholders’equityformedbythisshare-holdingonbehalfofthePartyA,underPartyBname.PartyBshallnottransfertheauthorityofentrustmenttotheThirdPartytoholdabove-mentionedshare-holdingon’sownbehalfofthePartyAorenjoyshareholder’sequityatanymomentorinanysituation,unlessPartyBobtainsPartyA’scommandsorPartyA’swrittenconsent.UndertheconditionofnotobtainingPartyAauthorization,PartyBisnotpermittedtomaketransference’swrittenanddisposalorsetguaranteeofanyformforshare-holdingonbehalfofPartyAandallofbenefitsheldbyitself,moreover,PartyBisnotpermittedtoimplementanyotherbehaviorspossiblydamagingPartyA’sbenefits.2PartyBshalldeliverallofbenefitsgeneratedfromshare-holdingonbehalfofPartyAtoPartyAtimely(incl.cashdividend,bonusoranyotherbenefitallocations).PartyBshalltryitsbesttocooperatewithPartyAtotransferallofrelevantproceduresunderitsownname,whenPartyAplanstotransfershare-holdingonbehalfoftheholdertothethirdParty.VTermofentrustmentThetermofentrustmentshallbeaperiodstartingfromtheeffectivedateofthisagreementandendingwhenPartyAissuesthewrittenconsenttoPartyBfortermination.VIAllofagreementsandmodificationforagreementsThisagreementtogetherwithallofthementionedorexplicitlyincludedagreementsand/orallofagreementsreachedbydocumentdraftingpartiesintermsofsubject-mattersofthisagreementshallreplacealloftheoral,writtenagreements,contracts,understandingsandaddressbooksreachedbyallpartiespreviouslywithrespecttosubject-mattersofthisagreement.Anymodificationforthisagreementwillgointoeffectonlyafterallpartieshavesignedthewrittenagreement.Themodifiedagreementsandsupplementaryagreementsrelatedtothisagreementsignedbyallpartiesaretheimportantpartsofthisagreement.Theseagreementshavethesamelegalforcewiththisagreement.VIIImplementationofagreementThisagreementisintriplicateandeachpartyholdsone.ThisagreementwillgointoeffectsincePartyArepresentativeaffixesthesignatureandtheofficialsealandPartyBTogetheraffixesthesignature.VIIIJurisdictionoflawsSubscription,effectiveness,implementationandinterpretationofthisagreementtogetherwithsettlementofdisputesisruledoverbyPRClawsanditisinterpretedasperPRClaws.IXSettlementofdisputesWhenallofrelevantpartieshavedisputeswithrespecttointerpretationandimplementationofitemsofthisagreement,allpartiesshallsettledisputesthroughfriendlynegotiation.AnypartycansubmittherelevantdisputestoChinaInternationalEconomicandTradeArbitrationCommissiontomakea’sauthorizedsettlementaspereffectivearbitrationrulesifthedisputescanbesettledthroughnegotiation.ThearbitrationlocaleisBeijing.ThearbitrationlanguageisChinese.Thearbitramentshallbefinalanditbringsconstraintforallparties.Allpartiesshallstillcontinuetofulfilltheirrespectiveobligationsasperregulationsofthisagreementbasedonfriendshipprinciple,unlesstherearesomedisputes.PartyA:ShengyuanNutritionFoodCo.,Ltd.(stamp)Authorizedrepresentative:/s/ZhangLiang(signature)PartyB:JiangYunpeng:/s/JiangYunpeng??????(signature)ZhangJibin:??/s/ZhangJibin??????????(signature)
