LaborContractLawofthePeople'sRepublicofChinaOrderofthePresidentofthePeople’sRepublicofChinaNoTheLaborContractLawofthePeople’sRepublicofChina,adoptedatthethMeetingoftheStandingCommitteeoftheTenthNationalPeople’sCongressofthePeople’sRepublicoftheChinaonJune,,isherebypromulgatedandshallgointoeffectasofJanuary,HuJintaoPresidentofthePeople’sRepublicofChinaJune, LaborContractLawofthePeople'sRepublicofChina(AdoptedatthethMeetingoftheStandingCommitteeoftheTenthNationalPeople’sCongressonJune,) ContentsChapterIGeneralProvisionsChapterIIConclusionofaLaborContractChapterIIIPerformanceandModificationofaLaborContractChapterIVRevocationandTerminationofaLaborContractChapterVSpecialProvisionsSectionACollectiveContractSectionLaborDispatchSectionPartTimeEmploymentChapterVISupervisionandInspectionChapterVIILegalResponsibilityChapterVIIISupplementaryProvisions ChapterIGeneralProvisionsArticleThisLawisenactedinordertoimprovethelaborcontractsystem,definetherightsandobligationsofbothpartiestoalaborcontract,protectthelegitimaterightsandinterestsofworkers,andestablishanddevelopaharmoniousandstablelaborrelationshipArticleThisLawisapplicablewhereorganizationssuchasenterprises,selfemployedeconomicorganizationsandprivatenonenterpriseunitswithintheterritoryofthePeople’sRepublicofChina(hereinafterreferredtoasemployingunits)establishlaborrelationshipswithworkersthroughconcluding,performing,modifying,revokingorterminatinglaborcontractswiththemStateorgans,institutionsandpublicorganizationsandtheworkerswithwhomtheyaretoestablishlaborrelationshipsshallconclude,perform,modify,revokeorterminatelaborcontractsinaccordancewiththisLawArticleLaborcontractsshallbeconcludedinadherencetotheprinciplesoflawfulness,fairness,equality,voluntariness,consensusthroughconsultation,andgoodfaithAlaborcontractconcludedinaccordancewithlawshallhavebindingforceBoththeemployingunitandtheworkershallfulfilltheobligationsstipulatedinthelaborcontractArticleEmployingunitsshallestablishandimprovelaborrulesandregulationstoensurethatworkersenjoythelaborrightsandfulfillthelaborobligationsWhenformulatingormodifyingtherulesandregulations,ormakingdecisionsonimportantmatters,whichhaveadirectbearingontheimmediateinterestsofworkers,suchaslaborremuneration,workinghours,restandvacation,occupationalsafetyandhealth,insuranceandwelfare,training,labordisciplineandlaborquotacontrol,theemployingunitshall,afterdiscussionbytheconferenceofworkersoralltheworkers,putforwardplansandsuggestionsandmakedecisionsafterconsultingwiththetradeunionortherepresentativesoftheworkersonanequalfootingIf,duringtheimplementationoftherulesandregulationsorthedecisionsonimportantmatters,thetradeunionortheworkersholdthatsuchrules,regulationsordecisionsareinappropriate,itortheyareentitledtoputforwardtheopiniontotheemployingunit,andhavetherules,regulationsordecisionsmodifiedandimprovedthroughconsultationTheemployingunitshallmakepublicorinformtheworkersoftherulesandregulations,andthedecisionsonimportantmatters,whichhaveadirectbearingontheimmediateinterestsoftheworkersArticleTheadministrativedepartmentoflaborofthepeople’sgovernmentatorabovethecountylevelshall,togetherwiththerepresentativesofthetradeunionandtheenterprise,establishasoundtripartitemechanismforcoordinationoflaborrelationships,inordertojointlydiscussandresolvethemajorissuesconcerninglaborrelationshipsArticleThetradeunionshallgiveassistanceandguidancetotheworkersinlawfullyconcludinglaborcontractswiththeemployingunitandperformingthesame,andestablishacollectiveconsultationmechanismwiththeemployingunitinordertoprotectthelegitimaterightsandinterestsofworkersChapterIIConclusionofaLaborContractArticleAlaborrelationshipisestablishedbyanemployingunitwithaworkerasofthedatetheformeremploysthelatterAnemployingunitshallkeeparegisterofworkersforreferenceArticleWhenanemployingunitrecruitsaworker,itshalltruthfullyinformhimofthejobdescription,theworkingconditions,theplaceofwork,occupationalhazards,conditionsforworksafety,laborremunerationandothermatterswhichtheworkerrequeststobeinformedofTheemployingunithastherighttoacquirethebasicinformationoftheworkerwhichisdirectlyrelatedtothelaborcontract,andtheworkershalltruthfullyprovidethesameArticleWhenrecruitingaworker,theemployingunitmaynotdetaintheworker’sresidentidentitycardorothercertificates,normayitrequirehimtoprovideguarantyorcollectmoneyorthingsofvaluefromhiminothernamesArticleToestablishalaborrelationship,awrittenlaborcontractshallbeconcludedIntheeventthatnowrittenlaborcontractisconcludedatthetimewhenalaborrelationshipisestablished,suchacontractshallbeconcludedwithinonemonthasofthedatewhentheemployingunitemploysaworkerWhereanemployingunitandaworkerconcludealaborcontractbeforethelatterstartstowork,thelaborrelationshipshallbeestablishedasofthedatewhenthelatterstartstoworkArticleIntheeventthatanemployingunitfailstoconcludeawrittenlaborcontractwithaworkeratthesametimeasitemployshim,andlaborremunerationagreeduponwithhimisnotdefinite,theremunerationshallbedecidedonaccordingtotheratespecifiedinthecollectivecontractwherethereisnocollectivecontractorthecollectivecontractissilentonthematter,equalpayforequalworkshallbepracticedArticleLaborcontractsconsistoffixedtermlaborcontracts,openendedlaborcontractsandlaborcontractsthatexpireuponcompletionofgivenjobsArticleAfixedtermlaborcontractisonetheendingdateofwhichisagreeduponbetweentheemployingunitandtheworkerAnemployingunitandaworkermayconcludeafixedtermlaborcontractuponreachingconsensusthroughconsultationArticleAnopenendedlaborcontractisonewheretheemployingunitandtheworkerhaveagreednottostipulateadefiniteendingdateAnemployingunitandaworkermayconcludeanopenendedlaborcontractuponreachingconsensusthroughconsultationIfaworkerproposesoragreestorenewthelaborcontractortoconcludealaborcontractinanyofthefollowingcircumstances,anopenendedlaborcontractshallbeconcluded,unlesstheworkerrequeststheconclusionofafixedtermlaborcontract:()Theworkerhasbeenworkingfortheemployingunitforaconsecutiveperiodoformoreyears()TheworkerhasbeenworkingfortheemployingunitforaconsecutiveperiodoformoreyearsbutlessthanyearsawayfromthestatutoryretirementagewhentheemployingunitintroducesthelaborcontractsystemorwhentheStateownedenterprisehastoconcludeanewlaborcontractwithhimasaresultofrestructuringor()TheworkerintendstorenewthelaborcontractafterhehasconsecutivelyconcludedafixedtermlaborcontractwiththeemployingunittwiceandhehasnotbeenfoundinanyofthecircumstancesspecifiedinArticleorSubparagraph()or()inArticleofthisLawIfanemployingunitfailstoconcludeawrittenlaborcontractwithaworkerwithinoneyearasofthedatewhenitemploystheworker,itshallbedeemedtohaveconcludedanopenendedlaborcontractwiththelatterArticleAlaborcontractthatexpiresuponcompletionofagivenjobisoneinwhichtheemployingunitandtheworkerhaveagreedthattheperiodforcompletionofthegivenjobisthetermofthecontractAnemployingunitandaworkermay,uponreachingconsensusthroughconsultation,concludealaborcontractwhichexpiresuponcompletionofagivenjobArticleAlaborcontractshallbecomeeffectivewhentheemployingunitandtheworkerreachagreementthroughconsultationthereonandbothpartiessignoraffixtheirsealsonthecopiesofthecontractTheemployingunitandtheworkershalleachkeepacopyofthelaborcontractArticleAlaborcontractshallcontainthefollowingterms:()name,domicileandlegalrepresentativeortheprincipalleadingpersonoftheemployingunit()name,addressandthenumberoftheresidentidentitycardorofothervalididentitydocumentsoftheworker()termofthelaborcontract()jobdescriptionandtheplaceofwork()workinghours,restandvacation()laborremuneration()socialinsurance()occupationalprotection,workingconditionsandprotectionagainstoccupationalhazardsand()othertermswhicharerequiredtobeincludedinalaborcontract,asprovidedforbylawsandregulationsInadditiontotherequisitetermsmentionedabove,anemployingunitandaworkermayagreetohaveothermattersstipulatedinthelaborcontract,suchasprobationperiod,training,confidentiality,supplementaryinsuranceandwelfarebenefitsArticleIfadisputearisesbecausethelaborremunerationrate,thestandardforworkingconditions,etcarenotdefinitelyspecifiedinthelaborcontract,theemployingunitandtheworkermaynegotiateanewIfthenegotiationisunsuccessful,therelevantstipulationsofthecollectivecontractshallbeapplicableIfthereisnocollectivecontractorthecollectivecontractissilentontheissueoflaborremuneration,equalpayforequalworkshallbepracticedIfthereisnocollectivecontractorthecollectivecontractissilentonthestandardsforworkingconditions,etc,therelevantregulationsoftheStateshallapplyArticleIfthetermofalaborcontractismorethanthreemonthsbutlessthanoneyear,theprobationperiodmaynotexceedonemonthifthetermismorethanoneyearbutlessthanthreeyears,theprobationperiodmaynotexceedtwomonthsandifthetermisfixedforthreeormoreyearsorisopenended,theprobationperiodmaynotexceedsixmonthsAnemployingunitandaworkermayagreeupononlyoneprobationperiodNoprobationperiodmaybestipulatedinalaborcontractthatexpiresuponcompletionofagivenjoborinalaborcontractforatermoflessthanthreemonthsTheprobationperiodshallbeincludedinthetermofalaborcontractIfalaborcontractonlyprovidesforaprobationperiod,thatperiodshallnotstandandthetermprovidedforshallbethetermofthelaborcontractArticleThewageofaworkeronprobationshallnotbelowerthanthelowestwagelevelforthesamejoboftheemployingunitorbelessthanpercentofthewageagreeduponinthelaborcontract,andshallnotbelowerthantheminimumwagerateintheplacewheretheemployingunitislocatedArticleAnemployingunitmaynotrevokealaborcontractduringtheprobationperiodunlesstheworkerisfoundinoneofthecircumstancesspecifiedinArticleorSubparagraph()or()inArticleofthisLawIfanemployingunitrevokesalaborcontractduringtheprobationperiod,itshallexplainthereasonstotheworkerArticleIfanemployingunitprovidesspecialfundingforaworker’strainingandgiveshimprofessionaltechnicaltraining,itmayconcludeanagreementwiththeworkerspecifyingthetermofserviceIftheworkerbreachestheagreementonthetermofservice,heshallpayapenaltytotheemployingunitasagreeduponThesumofthepenaltymaynotexceedthetrainingexpensespaidbytheemployingunitThepenaltythattheemployingunitrequirestheworkertopaymaynotexceedtheportionofthetrainingexpensesallocabletotheunperformedportionofthetermofserviceWheretheemployingunitandtheworkerreachanagreementonthetermofservice,theraiseintheworker’sremunerationaccordingtotheregularwageadjustmentmechanismduringthetermofserviceshallnotbeadverselyaffectedArticleAnemployingunitandaworkermayhavesuchtermsstipulatedinthelaborcontractaskeepingbusinesssecretsoftheemployingunitandkeepingconfidentialthemattersrelatingtoitsintellectualpropertyrightsWithregardtoaworkerwhohasaconfidentialityobligation,theemployingunitmayhavestipulatedinthelaborcontractorconfidentialityagreementcompetitionrestrictionandpaymentoffinancialcompensationtohimonamonthlybasisduringthetermofthecompetitionrestrictionafterthelaborcontractisrevokedorterminatedIftheworkerbreachesthestipulationoncompetitionrestriction,heshallpaypenaltytotheemployingunitasagreeduponArticleThepersonssubjecttocompetitionrestrictionshallbelimitedtoseniormanagers,seniortechniciansandotherpersonswhoareundertheconfidentialityobligationtotheemployingunitThescope,geographicareaandtermofcompetitionrestrictionshallbeagreeduponbytheemployingunitandtheworker,andsuchagreementshallnotbeatvariancewiththeprovisionsoflawsandregulationsThetermofcompetitionrestriction,calculatedfromtherevocationorterminationofthelaborcontract,foroneofthepersons,asmentionedintheprecedingparagraph,togotoworkforacompetingemployingunitthatproducesordealsinthesametypeofproductsorisengagedinthesametypeofbusinessashisoriginalemployingunit,ortoestablishhisownbusinesstoproduceordealinthesametypeofproductsorengageinthesametypeofbusinessshallnotexceedtwoyearsArticleWiththeexceptionofthecircumstancesspecifiedinArticlesandofthisLaw,anemployingunitshallnotenterintoanagreementwithaworkeronpaymentofpenaltybytheworkerforbreachofcontractArticleAlaborcontractshallbeinvalidorpartiallyinvalidunderoneofthefollowingcircumstances:()Thelaborcontractisconcludedormodifiedagainstaparty’strueintentionbymeansofdeceptionorcoercion,orwhenthepartyisinprecarioussituations()Theemployingunitdisclaimsitsstatutoryresponsibilityordeniestheworkerhisrightsor()ThelaborcontractisatvariancewiththemandatoryprovisionsoflawsoradministrativeregulationsIfadisputearisesovertheinvalidityorpartialinvalidityofalaborcontract,themattershallbedeterminedbyalabordisputearbitrationinstitutionorapeople’scourtArticleIfpartofalaborcontractisinvalid,whichdoesnotaffectthevalidityoftherestofthecontract,therestshallremainvalidArticleIfalaborcontractisdeterminedtobeinvalidbuttheworkerhasperformedit,theemployingunitshallpaytheworkerremunerationTheamountofremunerationshallbedeterminedmutatismutandisaccordingtothatfortheworkersholdingthesameorsimilarpostsintheemployingunitChapterIIIPerformanceandModificationofaLaborContractArticleAnemployingunitandaworkershallfullyperformtheirrespectiveobligationsinaccordancewiththelaborcontractArticleTheemployingunitshallpaytheirworkersremunerationontimeandinfullinaccordancewiththelaborcontractandtheregulationsoftheStateIfanemployingunitdefaultsinpaymentorunderpaysthelaborremuneration,theworkerconcernedmay,inaccordancewithlaw,applytothelocalpeople’scourtforanorderforpayment,andthepeople’scourtshallissuesuchanorderinaccordancewithlawArticleTheemployingunitshallstrictlyimplementthenormsetforlaborquotaandshallnotcompeltheworkerstoworkovertimeordosoindisguisedformIfanemployingunitarrangesforaworkertoworkovertime,itshallgivehimovertimepayinaccordancewiththerelevantregulationsoftheStateArticleAworkershallnotbedeemedtobebreachingthelaborcontractifherefusestoperformhazardousoperationsunderinstructionsgiveninviolationofrulesandregulationsorperemptorilygivenbyamanageroftheemployingunitAworkershallhavetherighttocriticizeorreportorlodgeaccusationsagainsttheemployingunitinrespectoftheworkingconditionsthatendangerhislifeorhealthArticleWhereanemployingunitaltersitsname,replacesitslegalrepresentative,theprincipalleadingpersonorinvestor(s),etc,performanceofthelaborcontractshallnotbeaffectedArticleWhereanemployingunitismerged,divided,etc,theexistinglaborcontractshallremainvalidandcontinuetobeperformedbytheemployingunitwhichsucceedstoitsrightsandobligationsArticleAnemployingunitandaworkermaymodifytheprovisionsofthelaborcontract,iftheyreachconsensusonthematterthroughconsultationModificationofalaborcontractshallbemadeinwritingTheemployingunitandtheworkershalleachkeepacopyofthemodifiedlaborcontractChapterIVRevocationandTerminationofaLaborContractArticleAnemployingunitandaworkermayrevokethelaborcontractiftheyreachconsensusonthematterthroughconsultationArticleAworkermayhavethelaborcontractrevokedbygivingawrittennotificationtotheemployingunitdaysinadvanceDuringtheprobationperiod,aworkermayhavethelaborcontractrevokedbynotifyingtheemployingunitofhisintentionthreedaysinadvanceArticleAworkermayhavethelaborcontractrevokediftheemployingunitisfoundinanyofthefollowingcircumstances:()failingtoprovideoccupationalprotectionorworkingconditionsasagreeduponinthelaborcontract()failingtopaylaborremunerationontimeandinfull()failingtopaythesocialinsurancepremiumsfortheworkerinaccordancewithlaw()havingrulesandregulationsthatareatvariancewithlawsorregulations,therebyimpairingtheworker’srightsandinterests()invalidatingthelaborcontractasaresultofoneofthecircumstancesspecifiedinthefirstparagraphofArticleofthisLawor()othercircumstancesinwhichaworkermayhavethelaborcontractrevokedasprovidedforbylawsoradministrativeregulationsIfanemployingunitforcesapersontoworkbyresortingtoviolence,intimidationorillegalrestrictionofpersonalfreedom,orifitgivesinstructionsinviolationofrulesandregulationsorgivesperemptoryorderstotheworkertoperformhazardousoperations,whichendangerhispersonalsafety,thelattermayrevokethelaborcontractforthwithwithoutnotifyingtheemployingunitofthematterinadvanceArticleTheemployingunitmayhavethelaborcontractrevokedifaworkerisfoundinanyofthefollowingcircumstances:()beingprovedunqualifiedforrecruitmentduringtheprobationperiod()seriouslyviolatingtherulesandregulationsoftheemployingunit()causingmajorlossestotheemployingunitduetoseriousderelictionofdutyorengagementinmalpracticesforpersonalgain()concurrentlyestablishingalaborrelationshipwithanotheremployingunit,whichseriouslyaffectstheaccomplishmentofthetaskoftheoriginalemployingunit,orrefusingtorectifyaftertheoriginalemployingunitbringsthemattertohisattention()invalidatingthelaborcontractasaresultofthecircumstancespecifiedinSubparagraph()ofthefirstparagrap
