Add: Room 1903, A Bldg, No.289 ZheQiao Road Pudong District Shanghai 201206, China Tel: 86 (21) 58543235 Fax: 86 (21) 58543235 乙方:_________________________________________ Party B:________________________________________ Add: _____________________________________________________________ __________________________________________________________________ Tel: _______________________ Fax:_______________________ 2、委任 Appointment 甲方指定乙方为其在代理区域内的独家代理，为第三条所列商品从第四条所列区域的顾 客中招揽订单、履行代理职责，乙方接受上述委任。 Party A hereby appoints Party B as its Exclusive Agent to solicit orders, responsible for the commodity stipulate in Article 3 from customers in the territory stipulated in Article 4,and Party B in agent area, accepts and assumes such appointment. 3、代理商品 Commodity to agent 博卡锥形流量传感器。 Boocca Cone-shaped Flow Sensor. 4. 代理区域Territory ______________ ________________ 5、最低订单成交金额 Minimum order turnover 乙方同意，在本协议有效期内从上述代理区域内的顾客处招揽的上述商品的订单(乙方 下给甲方)价值不低于20万美元(出厂价)。 Party B shall undertake to solicit orders for the above commodity from customers in the above territory during the effective period of this agreement for not less than USD200,000.00 (EX-FACTORY). 6、价格与支付 Price and Payment 每一笔交易的货物价格应由乙方与买主通过谈判确定，并须经甲方最后确认。付款方 式分两种: A. 单笔交易金额在USD 5,000以下，出货前100% 预付 B. 单笔生意金额在USD5.000以上是 采购 采购部分工政府采购法87号令广东省政府采购政府采购法及采购员下一步工作计划 合同 劳动合同范本免费下载装修合同范本免费下载租赁合同免费下载房屋买卖合同下载劳务合同范本下载 确认签订后乙方先支付15%的定金 (电汇)，余款在出货前全部付清。交货期以乙方汇款到达甲方提供的银行账户之日算 起。 The price for each individual transaction shall be fixed through negotiations between Party B and the buyer, and subject to Party A’s final confirmation. Below as two payments: A。If total price of individual transaction less than USD 5,000, Payment method by T/T after the order is confirmed and 100% payment will be fully paid before shipment B. If total price of individual transaction more than USD 5,000, Part A accept 15% deposit Payment method by T/T after the order is confirmed and rest payment will be fully paid before shipment. The delivery date will begin with the date when the remittance enters the bank account which Part A provides. 7、独家代理权 Exclusive Right 基于本协议授予的独家代理权，在乙方完全履行其义务或乙方未从事任何有损甲方权益 行为的前提下，甲方不得直接或间接地通过乙方以外的渠道向马来西亚顾客销售或出口 第三条所列商品，乙方不得在马来西亚经销、分销或促销与上述商品相竞争或类似的产 品，也不得招揽或接受以到马来西亚以外地区销售为目的的订单，在本协议有效期内， 甲方应将其收到的来自马来西亚其他商家的有关代理产品的询价或订单转交给乙方。 In consideration of the exclusive rights granted herein, under the premise that Party B completely fulfill its obligations or party B did not engage in any act prejudicial to the interests of the Party A. Party A shall not, directly or indirectly, sell or export the commodity stipulated in Article 4 to customers in Malaysia through channels other than Party B; Party B shall not sell, distribute or promote the sales of any products competitive with or similar to the above commodity in Malaysia and shall not solicit or accept orders for the purpose of selling them outside Malaysia. Party B shall also supply party A with quotations and advertising materials, catalogues, brochures, etc on similar products of other suppliers. 9、广告及费用 Advertising and Expenses 乙方负担本协议有效期内在马来西亚销售代理商品做广告宣传的一切费用，并向甲方提 交所用于广告的声像资料，供甲方事先核准。一旦本代理终止，乙方应立即终止商品的 广告发布。 Party A shall bear all expenses for advertising and publicity in connection with the commodity in the validity of this agreement, and shall submit to Party A all audio and video materials intended for advertising for prior approval. Once the agent terminated, Part B should immediately stop the advertising of products. 10、佣金或折扣 Commission or Discount 乙方在代理有限期内保证完成最低订单成交金额的前提下，可以获得40%折扣;代理 有效期内订单成交金额超过20万美元，少于30万美元，超出的部分(减去20万的差 值)可以得到40%折扣;订单成交金额超过30万美元，少于40万美元，超出的部分 (减去20万的差值)可以得到43%的折扣;订单成交金额超过40万美元，超出的部 分(减去20万的差值)可以得到45%的折扣。根据乙方竞标的激烈情况，乙方针对项 目有权要求获得特别的折扣。如果乙方未能达到协议中承诺的最订单成交金额，甲方将 考虑在此协议有效期失效后取消乙方的代理资格。 Part B will get standard forty percent (40%) discount of the price agreement during the valid period of this agreement as long as they guarantee to reach the minimum order turnover. During the valid period of this agreement，if Part B’s order turnover surpasses USD200,000.00 but less than USD300,000.00, the para-turnover (of which real order turnover deducts USD200,000.00) will be gave 40% discount. If Part B’s order turnover surpasses USD300,000.00 but less than USD400,000.00, the para-turnover (of which real order turnover deducts USD200,000.00) will be gave 47% discount. If Part B’s order turnover surpasses USD400,000.00, the para-turnover (of which real order turnover deducts USD200,000.00) will be gave 45% discount. However for competitive biding, Party B has right to request special discount subject project to project basis. During the valid period of this agreement, If Part B’s order turnover can’t reach minimum order turnover, Part A will consider to abrogate the Part B’s right of acting as its agent for in next year. 11. 质量保证 Quality Guarantee 甲方保证出售给乙方的锥形流量传感器经过严格的出厂检验，产品质量可靠; 货到交货 地验收合格后18个月或安装调试后12个月为质保有效期，两个时间以先到者为准;若 因甲方原因导致质量上的问题，甲方负责返修的一切费用。 Part A guarantees that all the cone-shaped flow sensors sold to Part B are undergone strict inspection according to project requirement. 18 months after Part B accepts the flow sensor’s quality though inspection when the goods are shipped to destination or 12 months after the flow sensors are installed and debugged is the quality guarantee valid period. The final quality guarantee valid period will take priority of the earlier one which reaches expiry date first. Part A will take all the cost of repair and transport arising from flow sensor’s quality caused by theirs own reasons. 12. 交货期条款Terms of Delivery time 甲方保证按照每次的合同约定准时交货，因甲方原因需要延期，双方协商解决，协商不 成，则每延期交货一天，甲方即需按照合同金额的0.1%赔付给乙方;但最多不超过该 单合同总金额的3%. Part A undertakes to delivery products according to the purchase contract. If the delivery date should be delayed for Part A’s reason, both sides try to negotiate to solve it, or else Part A should compensates Part B with 0.1% of the contract amount money for each day. But the accumulative reimbursement won’t surpass 3% of each single contract amount money. 13. 政府部门间的交易Transactions Between Governmental Bodies 在甲、乙双方政府部门之间达成的交易不受本协议条款的限制，此类交易的金额也不应 计入第五条规定的最低订单成交金额。 Transactions concluded between governmental bodies of Party A and Party B shall not be restricted by the terms and conditions of this agreement, nor shall the amount of such transactions be counted as part of the turnover stipulated in Article 5. 14. 工业产权 Industrial Property Rights 在本协议有效期内，为销售有关锥形传感器，乙方在代理有效期内可以使用甲方拥有的 商标，并承认使用于或包含于锥形传感器中的任何专利商标、版权或其他工业产权为甲 方独家拥有。 一旦发现侵权，乙方应立即 通知 关于发布提成方案的通知关于xx通知关于成立公司筹建组的通知关于红头文件的使用公开通知关于计发全勤奖的通知 甲方并协助甲方采取措施保护甲方权益。 乙方不得利用甲方的工业产权从事任何有损甲方权益的行为。 Party B may use the trade-marks owned by Party A for the sale of Cone-shaped Flow sensor covered herein and can use the brand owned Party A by within the validity of this agreement, and shall acknowledge that all patents, trademarks, copy rights or any other industrial property rights used or embodied in the Washing Machines shall remain to be the sole properties of Party A. Should any infringement be found, Party B shall promptly notify and assist Party A to take steps to protect the latter’s rights. 15. 协议有效期 Validity of Agreement 本协议经有关双方如期签署后生效，有效期为1年，从2008年7月3日至2009年8 月1日。 除非作出相反通知，本协议期满后将延长12个月。 This agreement, when duly signed by the both parties concerned, shall remain if force for 12 months from 1st Aug, 2008 to 1st Aug,2009, and it shall be extended for another 12 months upon expiration unless notice in writing is given to the contrary. 16. 协议的终止 Termination 在本协议有效期内，如果一方被发现违背协议条款，另一方有权终止协议。 During the validity of this agreement, if either of the two parties is found to have violated the stipulations herein, the other party has the right to terminate this agreement. 17. 不可抗力 Force Majeure 由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事 件导致不能或暂时不能全部或部分履行本协议，该方不负责任。但是，受不可抗力事件 影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机 构出具的不可抗力事件的证明寄交对方。 Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence. 18. 仲裁 Arbitration 因履行本协议所发生的一切争议应通过友好协商解决。如协商不能解决争议，则应将 争议提交中国国际经济贸易仲裁委员会上海分会，依据其仲裁规则进行仲裁。仲裁裁 决是终局的，对双方都有约束力。 All disputes arising from the performance of this agreement shall be settled through friendly negotiation. Should no settlement be reached through negotiation, the case shall then be submitted for arbitration to the China International Economic and Trade Arbitration Commission (Shanghai) and the rules of this Commission shall be applied. The award of the arbitration shall be final and binding upon both parties. 19. 本协议以中文本为准。如中、英文二本互相歧异或抵触时，以中文本为准。 The Chinese text of this Agreement shall be deemed the original. In the event of any dispute or misunderstanding as to the interpretation of the language or terms of this Agreement, the Chinese language version shall control.
