ained,including:①PartyAmakesdefaultinthepaymentofanyofthepaymentsdueonitsparttobemadehereunderasandwhenthesamefalldue,②commitsanactofbankruptcy,③beingaCompany,ifanorderismadeorresolutionispassedforitswinding-up,whethercompulsoryorvoluntary,④ifareceiverorofficialmanagerbeappointed,orifPartyAisotherwiseindefaultofthisAgreementandsuchdefaulthasnotbeenrectifiedwithin90daysofreceiptofanynoticetorectifyfromPartyB,attheexpiryofninety(90)days,PartyBmay,atanytimethereafterbynoticeinwritingtoPartyAathisaddresshereinbeforestated,forthwithterminatethisAgreement,andPartyBliabilitiesandobligationshereundershallimmediatelythereuponcease.  如果甲方未能按照本合同的约定支付到期应付款项，包括以下情况：①甲方作出破产行为，②甲方和债权人达成破产和解
