根据《中华人民共和国合同法》及相关法律法规的规定，甲、乙双方在平等、自愿的基础上，就甲方将火锅店转让给乙方的事宜，为明确双方权利义务，经协商一致，订立本协议。
一、转让火锅馆的地址

二、转让火锅馆房屋的性质和面积

三、转让火锅馆的装修、装饰和设备
该火锅馆现有装修、装饰和设备在甲方收到乙方所有转让金后全部归乙方所有，具体如下:

四、转让火锅馆的费用

五、转让火锅馆的证照及债务
该火锅馆的证照已办理，收购后火锅馆的证照由乙方另行办理，甲方向乙方提供办理证照的必要手续，该火锅馆接手前经营引起的债权债务全部由甲方负责，乙方接手经营后引起的债权债务全部由乙方负责。
六、转让火锅馆的违约责任
乙方逾期交付转让金，除甲方交铺日期相应顺延外，乙方每日向甲方支付转让费金额的千分之一的违约金，逾期30日的，甲方有权解除合同，乙方按转让费金额的10%向甲方支付违约金;甲方在本协议有效期内应保证同意转让该火锅馆(以本协议转让金额为准)，如果由于甲方单方面原因在本协议有效期内导致本协议不能实际履行的责任由甲方承担违约责任，如果协议签订前政府已下令拆迁店铺，甲方退还乙方已经支付的所有费用，赔还乙方接手该店铺的装修损失费并承担违约责任，甲方违约向乙方支付转让费金额的的10%作为违约金。
七、转让火锅馆的其它责任

如因自然灾害等不可抗因素导致乙方经营受损的与甲方无关，但因国家征用拆迁店铺，有关补偿归乙方(产权补偿除外);如果本协议签订之前政府明令拆迁店铺，或者市政建设(如修、扩路、建天桥、立交桥、修地铁等)导致乙方难以经营，乙方有权解除合同，甲方退还剩余租期的房租和转让费。
八、转让火锅馆的纠纷解决
双方之间如发生纠纷，应共同协商，本着有利于合作事业发展的原则予以解决。如协商不成，可以向当地人民法院诉讼。 九、本合同一式两份，双方各执一份，经双方签字捺印后生效。
