：甲方在乙方__（简称“该网站”）__网站的位置（详见附件一，附件一作为本合同不可分割的一部分）上放置乙方广告条。甲方在乙方的该网站投放以下两种广告位：1.1PartyAandBundertheprincipalofmutualbenefitreachedthefollowingagreement:PartyAatPartyB’s__kissanime.ru__website’splacement(fordetailpleaseseeAttachment1,Attachment1isanintegralpartofthisContract)positionPartyB’sads.PartyAplacethefollowingtwotypesofadsinPartyB’swebsite:1.1.1、在________下，Banner的规格_160___pixed×___600__pixed。每个月的展示量不低于4.5亿，甲方即支付35,000.00（叁万伍千）美金，以上所有的展示量需要有55%来自于Desktop。若乙方的展示量达不到4.5亿，则甲方的支付金额进行相应的递减。1.1.1Atkissanime.ru,theBanner’sdimensionis160pixel×600pixel.Eachmonth’simpressionsarenotlowerthan0.45billiontimes,PartyAwillpayUSD$35,000.00(thirty-fivethousanddollars),andoutofthetotalimpressions,55%mustcomefromDesktop.IfPartyB’simpressionsdonotreach0.45billiontimes,thenPartyA’spaymentamountwillcorrespondinglydecrease.1.1.2、乙方上述Banner的展示量低于甲方要求的20%（即3.6亿展示量），或者展示量来自于Desktop低于55%，则甲方有权要求解除本协议。1.1.2IftheaboveBanner’simpressioninPartyB’swebsiteislowerthanPartyA’srequestby20%(0.36billionimpressions),orlessthan55%oftheimpressionsarefromDesktop,thenPartyAhastherighttoterminatethiscontract.1.1.3、Skin每个月的展示量不低于2亿，甲方即支付15,000.00（壹万伍千）美金，以上所有的展示量需要有55%来自于Desktop。若乙方的展示量达不到2亿，则甲方的支付金额进行相应的递减。1.1.3Skin’smonthlyimpressionsshallnotbelowerthan0.2billion,PartAwillpayUSD$15,000.00(fifteen-thousanddollars),andoutofthetotalimpressions,55%mustcomefromDesktop.IfPartyB’simpressionsdonotreach0.2billiontimes,thenPartyA’spaymentamountwillcorrespondinglydecrease.1.1.4、乙方上述Skin的展示量低于甲方要求的20%（即1.2亿展示量），或者展示量来自于Desktop低于55%，则甲方有权要求解除协议。1.1.4IftheaboveSkin’simpressioninPartyB’swebsiteislowerthanPartyA’srequestby20%(0.12billionimpressions),orlessthan55%oftheimpressionsarefromDesktop,thenPartyAhastherighttoterminatethiscontract.1.2、甲方后续需要对广告的功能做调整，乙方应予配合1.2PartyAwillneedtomakeadjustmenttotheads’function,PartyBshallcooperate.1.2、投放期限为___12_____个月，广告链接到甲方的指定链接或代码，广告投放时间从__2017__年__3__月__10__日至___2018____年__3___月____9___日。双方从2017年4月份开始，于每个自然月的10号之前进行核对展示量的数据，双方确认数据后，乙方在10个工作日内开具invoice，甲方收到invoice后，10个工作日内支付款项。1.3Theadvertisingperiodis12months,advertisinglinktoPartyAsdesignatedlinkorcode,advertisingperiodstartsonMarch10,2017untilMarch9,2018.BothsideswillstartinAprilof2017,beforethe10thofeverynaturalmonthtoverifyimpressions’data.Afterconfirmingdata,PartyBwillsentoutinvoicewithin10workingdays.AfterPartyAreceivestheinvoice,willpaythepaymentwithin10workingdays.1.4、本合同所指的广告内容是指甲方拟在乙方公司网站所有广告载体上发布的有关甲方业务的信息，广告形式为静/动态GIF图、视频，视频最长时间不超过20秒。1.4TheadscontentinthisContractmeanstheadsrelatingtoPartyA’sbusinessthatPartyAplanstoadvertiseonPartyB’swebsitewithinallads.Theadsmodeisstatic/animatedGIForvideo,videocannotbelongerthan20seconds.二、合同的生效和履行II.Contract’sValidityandImplementation2.1、本协议自签定之日开始生效，一方可在收到对方盖章签字的扫描件后进行盖章签字，再将有双方签字盖章的扫描件发至另一方。此种签订方式即为生效。2.1ThisContractbecomesvalidstartingfromthesignaturedate.Onepartyafterreceivingthescancopyofotherparty’ssignatureandstampcansignandstamp,thensendthescancopyofbothparty’ssignaturesandstampstotheotherparty.Thissignaturemethodisvalid.2.2、甲方指定负责人需尽快提供广告条的磁盘文件或者将该广告条作为附件的邮件以及广告所对应到的链接或代码，并在发出5个工作日内 通知 关于发布提成方案的通知关于xx通知关于成立公司筹建组的通知关于红头文件的使用公开通知关于计发全勤奖的通知 乙方指定负责人；乙方指定负责人必须在收到该文件后的3个工作日内返回收到的确认信息给甲方的指定负责人；2.2PartyA’sdesignatedpersoninchargeshallprovidethediskfileoftheadvertisementassoonaspossibleorthemailthelinkorthecorrespondingcodeoftheadvertisementastheattachmentandnotifyPartyB’sdesignatedpersoninchargewithin5workingdays;PartyB’sdesignatedpersoninchargemustwithin3workingdaysafterthereceiptofthedocumentfeedbackconfirmationofinformationreceivedtoPartyA’sdesignatedpersonincharge.2.3、如果甲方指定负责人在通知乙方指定负责人后5个工作日内没有获得反馈消息，应该立即与乙方指定负责人取得联系，如果乙方不能解释逾期反馈的理由，视为乙方违约；如果双方指定负责人在10个工作日内仍旧无法完成广告条交换，造成甲方损失，视为乙方违约，需赔偿甲方违约金；2.3IfafterPartyA’sdesignatedpersonincharge,afternoticingPartyB’sdesignatedpersonincharge,within5workingdaysdidnotreceivefeedbackinformation,shallimmediatelycontactPartyB’sdesignatedpersonincharge.IfPartyBcannotexplaindelayinsendingbackfeedback,thenPartyBviolatesthecontract;ifbothparty’sdesignatedpersoninchargewithin10workingdaysstillcannotcompleteexchangeofadvertisements,leadingtoPartyA’sloss,thenPartyBviolatesthecontractandneedtocompensatePartyAwithlatefee.2.4、乙方在接到甲方的广告条后的5个工作日，必须将接到的广告条放在本合同中要求的位置。2.4Within5workingdaysafterPartyBreceivesPartyA’sadvertisements,PartyBmustplacetheadvertisementwithinthepositionrequiredbythisContract.III.乙方的责任和义务III.PartyB’sDutiesandResponsibilities3.1、乙方在甲方广告投放期间不能访问超过1个小时，则产生的中断时间，乙方应该允许甲方的广告期间进行相应的顺延。3.1PartyB’swebsite,duringPartyA’sadvertisingcampaign,cannotbevisitedformorethan1hour,theresultinginterruptiontime,PartyBshouldallowPartyA’sadvertisingperiodbeextendedforthecorrespondingamountoftime.3.2、乙方不得擅自改变约定发布广告的内容、时间和发布位置。乙方因不可抗力等原因需将甲方广告调整至其他栏目或时段发布的，需在发布日的7个自然日前，书面通甲方，得到甲方书面同意才能更改，否则视为乙方违约。3.2PartyBshallnotarbitrarilychangetheagreedads’content,timeandplacementofpublication.IfPartyBduetoforcemajeureandotherreasonsneedtoadjustthePartyadvertisingtoothercolumnsorperiodoftime,needtowithin7naturaldaysbeforethepublishdate,writtennoticetoPartyA,andcanbechangedafterreceivingPartyA’swrittenconsent,orPartyBbreachthecontract.3.3、乙方承诺不在甲方的广告位置上投放其他公司的广告条或者遮挡甲方的广告条。3.3PartyBpromisestonotplaceothercompaniesadvertisementsorblockPartyA’sadvertisementatPartyA’sadvertisingplacement.3.4、乙方必须提供广告的有效展示量，方便甲方查看。3.4PartyBmustprovidetheadvertisement’svalidimpressions,soPartyAcancheck.3.5、乙方应根据甲方的要求及时对甲方的广告进行更新和维护。3.5PartyBshalltimelychangeandmaintainPartyA’sadvertisementinaccordancetoPartyA’srequirement.3.6 乙方不得随意在甲方所签订广告位的页面上增加其他广告位，需要在征得甲方同意后才能进行相关的广告位新增操作。PartyBshallnotarbitrarilyaddadvertisingplacementonthepageofPartyA’sadvertisingplacement,andshallobtaintheconsentofPartyAtocarryouttherelevantoperationofaddingnewadvertisingplacement.3.7 乙方不得对甲方的广告代码或链接进行任何修改。3.7PartyBshallnotmakeanychangestoPartyA’sadvertisementcodeorlink.四、违约责任IV.BreachofContract4.1、甲乙双方违反上述条款，则违约方需要守约方支付本合同总金额的30%作为违约金。4.1Eitherpartyviolatestheaboveclause,thentheviolatingpartyneedstopaytheotherparty30%ofthetotalContractamountaspenaltyfee.4.2、一方违反上述义务，在另一方通知后10个自然日内不进行改正，视为违约，另一方有权解除合同，违约方需向守约方支付违约金。4.2Onepartyviolatestheaboveresponsibilities,andwithin10naturaldaysaftertheotherpartynotifiesandstilldidnotmakeamends,considerasbreachofcontract,theotherpartyhastherighttoterminatetheContract,andtheviolatingpartyneedstopaytheotherpartypenaltyfee.五、合同解除V.ContractTermination5.1、合同在下述情形下终止，双方互不负责，但终止方应书面通知另一方：5.2、一方严重违反本合同，另一方根据本合同的约定解除本合同。5.3、因不可抗力而解除本合同或者双方当事人协商一致解除本合同的。5.4、依法律、法规规定的情形而终止。5.5、在合同有效期间，如果一方提出终止要求，应提前一个月通知对方；否则应赔付本合同总金额的30%作为赔偿金。5.6、截止到合同到期前15个工作日，如果甲方没有按时支付续约款项，也没有与甲方签定其他合作，则双方认同合同到期后执行终止。5.7、由于一方不履行协议约定的义务，或严重违反本合同约定的义务，造成本合同无法履行或履行不必要时，视作违约方片面终止本合同，守约方除有权向违约方索赔外，并有权终止本合同。5.1TheContractshallterminateduetothefollowingreasons,neitherpartyshallbearresponsibilities,buttheterminatingpartyshallsentwrittennoticetotheotherparty:5.2OnepartyseriouslyviolatesthisContract,andtheotherpartyterminatestheContractaccordingtothisContract’sagreement.5.3DuetoforcemajeureleadtoterminatingofthisContractorthepartiesthroughnegotiationtoterminatethisContractbyconsensus.5.4Terminateinaccordancetolawsorregulations.5.5IntheperiodofvalidityoftheContract,ifapartyrequesttoterminate,shallnotifytheotherpartyonemonthinadvance;otherwiseitshouldpay30%ofthetotalamountofthisContractascompensation.5.6Asof15workingdaysbeforetheexpirationoftheContract,ifPartyAfailstopaytherenewalfeeontime,andsignednoothercooperationwithPartyA,thetwopartiesagreethattheContractwillbeterminatedaftertheexpirationofthecontract.5.7IntheeventthatapartyfailstoperformitsobligationsundertheContractorisinseriousbreachofitsobligationsunderthisContract,theContractmaynotbefulfilledorunnecessarytobefulfilled,consideredastheviolatingpartywantstoterminatetheContract,theotherpartyareentitledtoclaimagainsttheviolatingpartyandhavetherighttoterminatethisContract.六、保密条款VI.ConfidentialityClause6.1本合同各方对于因签署和履行本合同而获得的，与下列各项有关的信息，应当严格保密：（1）本合同的各项条款；（2）有关本合同的谈判；（3）各方的商业秘密。6.1Eachpartyofthiscontractobtainedthefollowingrelatedinformationthroughsigningandimplementationofthiscontract,shallremainstrictlyconfidential:(1)ThisContract’sclauses;(2)RegardingnegotiationofthisContract;(3)Eachparty’sbusinesssecrets.6.2、但在下列情形时，本协议各方尚可披露以上所述信息：（1）法律的要求；（2）任何有管辖权的政府机关、监管机构或证券交易所的要求；（3）向该方的专业顾问或律师披露；（4）非因该方过错，信息进入公有领域；6.2Incaseofthefollowingsituation,thepartiesofthisContractcandisclosetheabovelistedinformation:(1)Requirementbylaw;(2)Requirementbygovernmentagency,regulatorybodyorstockexchangewhichhasjurisdiction;(3)Disclosetoownside’sprofessionalconsultantorlawyer;(4)Notbecauseoftheparty’sfault,theinformationenterintopublicdomain.七、争议条款DisputeClause凡因本合同所引起的或与之相关的任何争议､纠纷､分歧或索赔，包括合同的存在､效力､解释､履行､违反或终止，或因本合同引起的或与之相关的任何非合同性争议，双方首先协商解决。发生争议后三十天内协商不成，应提交由VietnamInternationalArbitrationCentre仲裁。本仲裁条款适用的法律为香港法律。Anydispute,issue,differenceorclaimarisingoutoforinconnectionwiththisContract,includingtheexistence,validity,interpretation,performance,breachorterminationoftheContract,oranynon-contractdisputearisingoutoforinconnectionwiththisContract,thetwosidesfirstresolvedthroughnegotiations.Ifnoarbitrationcanbereachedwithinthirtydaysafterthedispute,shallbesubmittedtotheVietnamInternationalArbitrationCenterforarbitration.Thisarbitrationclause’sapplicablelawisthelawofHongKong.八、其他约定VIII.OtherAgreement本合同一式两份，自甲、乙双方签字盖章之日起生效，合同附件及合同文本具有同等的法律效力。Thecontractinduplicate,andenterintoforcestartingfromthedatePartyAandBsignedandstamped,theContractattachmentandtheContracttexthasthesamelegaleffect.（以下无正文）(Thereisnotext)甲方（盖章）：_________　　　　乙方（盖章）：_________　　　　　　　　负责人（签字）：_________　负责人（签字）_________　　　　　_________年____月____日　　　　_________年____月____日　　　　　　　　签约地点：_________　　　　　　签约地点：_________　　　AttachmentI（PartyAneedtodisplaytheadvertisingposition）Skinonbothsides,ithasbeenmarkedbyredarrows.Bannerinthelowerright,asshown.如有侵权请联系告知删除，感谢你们的配合！精品精品精品
